Strategic Development of Business Model in the Context of Legal Aspects

This diploma thesis focuses on the issue of the impact of legal regulation on the business model during its formulation and implementation. This work outlines the theoretical background in which are described the key concepts of work, strategic management and strategy, the insured strategy of corporate and business strategy and innovative approach as a business model Canvas. Furthermore, the basic characteristics of the level and method of legal regulation are outlined. The analytical part presents a specific business model, which will be used to reveal key areas subjected to legislation, which will then be compared with the solutions of the most successful companies in the given area. Based on these findings, the design part deals with the formulation and implementation of the business model so that it is legally compliant at both national and supranational levels, with the economic impact of the selected solution according to the degree of complexity and risk.
Company's strategic change due to merger or acquisition

The dissertation’s subject matter is mergers and acquisitions (“M&A”). The reason standing behind the dissertation is the ever growing number of announced M&A transactions around the world. The research shows why M&A are important for the company management and why managers today see them as one of the greatest challenges. The work includes a chapter dedicated to the history of M&A and its current state, which has been affected by the financial crisis. One of the main objectives of the dissertation is to connect the economic and legal views on M&A. The work confronts theoretical knowledge with actual M&A cases. In order to provide a clearer understanding of M&A, cases of both successful and unsuccessful M&A transactions in various industries are described. The dissertation includes a detailed description of the specific stages in the M&A process. It deals with the preparatory stage, due diligence, implementation, and the subsequent integration of the two and more merged companies. The dissertation also provides evaluation of the individual stages’ importance. Special attention is given to the most frequent problems occurring during the entire M&A process: human resources and the integration process. In addition, the dissertation responds to the changes in economic environment that took place between the economic boom, at the beginning of the millennium, and the recession that commenced in autumn 2008. It also shows possible future developments in M&A. The dissertation was based on a review of the existing secondary sources; on primary research in companies with experience in M&A, and on collaboration with the tutor and other experts in the M&A field. On the grounds of secondary sources review, primary research, and discussions with experts, a guide on how to successfully implement an M&A transaction was prepared. The dissertation is to serve for didactic purposes in educating future managers, as a guide for companies’ management which implement M&A transaction, and should provide a basis for further research and scientific work in the M&A field. The dissertation’s conclusion evaluates hypotheses formulated prior to its elaboration.
Hedge Funds Analysis Focused on Legal Regulation

This Thesis aims at hedge funds analysis focused on legal regulation. Hedge funds are not very well-known in our country, they represent a specific kind of investment funds. A term which describes these funds most closely within our legal environment is "Funds of qalified investors". The first part of this Thesis is focused predominantely on general descsription of hedge funds, their histroy and specific features. The second part of the Thesis deals with strategy, legislation and some other aspects of hedge funds.
INSTITUTIONAL ASPECTS OF EXPERT ACTIVITY

The thesis analyzes an expert in social (institutional) relations that constitute the organizational and institutional background of Forensic Expertise as part of forensic engineering. The work explains the terminology and definitions used, with the greatest attention is paid to the analysis of the conditions for the exercise of expert activities from different perspectives (in particular legal and economic). Is discussed in detail in particular the status of expert institutes, and in all contexts: both in terms of expertise and its guarantee, as well as in terms of responsibility processors appraisal institute. Further describes the work of existing associations and experts estimated their future development. An important part of the work is a comparison of the conditions for the exercise of expert activities (advantages and disadvantages) in selected European countries: Slovak Republic, England and Austria. Based on the findings in the final section are designed and justified by changes in the conditions and rules for the performance of expert activities and other related aspects.

This Bachelor Thesis deals with elaboration of requirements on metrological system in the production process of vibro-pressed products for pavement coverings and masonry. The thesis represents a research of legal regulations and norms. It identifies researched metrological quantities in the production process and control activity. The goal is to make an overview of measuring devices and proposal of their justification periodicity.

1 Legal nature of technical regulations and technical standards Abstract This thesis deals with the question of the legal nature of technical regulations and technical standards. The position of both types of documents is quite different, because unlike technical standards, technical regulations are legal regulations. In particular, the legal nature of technical standards has changed over time. The aim of this thesis is to define both types of documents with regard to their nature in relation to law and the legal system, as well as to each other. The thesis is divided, if the introduction and conclusion are not counted, into seven chapters. The first chapter deals with the question of the development of legislation of technical regulations and technical standards. In both cases, past legislation was compared with current legislation. In the case of technical regulations, the issue of non-compliance of this definition with the definition of technical regulations in EU legislation and international treaties is addressed here, which resulted in the need to create a category of technical documents. Environmental legal aspects of climbing

The presented thesis analyzes legal regulation concerning protection of nature and landscape in relation to climbing in the Czech Republic. The aim of the thesis is to create a comprehensive overview on legal aspects of climbing and its critical analysis. For these reasons the thesis attends to another activity closely connected to climbing which is movement of persons in free nature. Rights of owners of properties as one of the important private law aspects is considered as well. The key part addresses itself to legal regulation of climbing in specially protected areas which are important locations for the subject activity. Conclusions of the thesis are based on not only legislative and regulatory acts, but many administrative decisions and measures of general nature issued by nature conservation authority. The thesis is divided into six thematically intertwined chapters. These chapters pursue a definition of climbing, an identification of reasons for which law regulation is needed and mainly presentation and analysis of legal regulation and legal aspects of climbing including issues of responsibility according to both private and public law. History and present of the legislative process in the Czech Republic and the Federal Republic of Germany

This bachelor thesis focuses on the issue of the legislature as an integral part of any rule of law. Specifically, the thesis focuses on the creation of primary (statutory) regulations and secondary (sub-statutory) regulations in a comparative perspective of the Czech Republic and the Federal Republic of Germany. The historical context of lawmaking during the existence of a pluralistic political system, which to some extent inspired the current legislation, is also briefly outlined. The question of the effectiveness of the lawmaking procedure in terms of public knowledge is also key, since it is the transparency of legislation that plays a significant role in the everyday life of citizens.
Legal Regulation of Alternating Care for a Child

This bachelor thesis deals with the legislation of shared parenting. Its aim is to find out when the court prefers shared parenting and in which cases it decides to entrust a child only to a one-parent´s custody. The bachelor thesis is only theoretical and its individual parts are performed by deductive and analytic methods. It is divided into several chapters. The first one is focused on a historical development of shared parenting. The next chapter mentions links to current jurisdiction and important legal regulations that allocate the care for a child after the parents´ divorce. The third chapter is aimed at individual types of the child care - it distinguishes the shared, joint custody or separated care of one parent. The fourth chapter deals with the factors influencing shared parenting. These are, for example, the distance between the parents´ homes, intervals of taking the turns, the child´s attitudes and wishes or a parent´s agreement. The fifth chapter mentions foreign legislation and the last chapter provides the decision-making practice of Czech courts. The conclusion of the research processes questions concerning essential aspects of shared parenting as well as the benefits of court decisions in context with the child´s best interest; they are based on a discussion in this thesis. The discussion includes a comparison of individual authors´ opinions and the following comparison with the legal regulations.
Business plan for the establishment of a beekeeping farm

The aim of my diploma thesis "Business plan for the establishment of a beekeeping farm"was an analysis of the business plan for the establishment of a beekeeping farm and its complete documentation, taking into account the specificity of beekeeping. The diploma thesis consists of two parts - theoretical and practical. The aim of the theoretical part was to explain the most important concepts related to the business plan and acquaintance with legal regulations. A lot of new information was obtained about beekeeping in our country and abroad, at the same time a lot of information about grant programs was obtained. In the practical part, a business plan for the establishment of a beekeeping farm was developed. In this plan, three variants of results were elaborated - pessimistic, realistic and ideal ones. In the end, the acquired knowledge was summarized and the profitability of the farm was evaluated.
