Skálová, Jana ; Mejzlík, Ladislav (advisor) ; Vomáčková, Hana (referee) ; Tumpach, Miloš (referee)
The purpose of my dissertation was to make an analysis of factors influencing the process of the carrying out of the cross-border merger of the Czech company with the company in the European Union. Solution procedure stems from a general definition of acquisitions and mergers, their historical development, reasons for the carrying out thereof, through the picture of these processes in international standards of financial reporting up to the regulation in the European Union. When analyzing the rules for cross-border mergers within the EU, I ascertained problematic places consisting in non-finalization of harmonization - in accounting context - of mergers, and in possibilities of a selection of a tax solution. Apart from the Czech legal regulation, I also analyzed the Slovak legal regulation since the last application part contains a practical example of merger of the Czech company and two Slovak companies carried out in 2009 and prepared on the basis of empirical data.

Vacek, Josef ; Dvořáková, Zuzana (advisor) ; Kleibl, Jiří (referee)
The thesis clarify the reasons of program construction and introduction of campaigns focused on Occupational Safety and Health (OSH). On the basis of work accident rate statistics, conducted researches and investigation we have found out, considering OSH issues, that it is essential to change attitudes, approaches and thinking of the public, company management and employees. The status quo shows that people do not approve OSH issues. They take them as a burden. At this point it is impossible to reduce the number of work accidents and cases of occupational desease. Furthermore, it is impossible to achieve natural development of high-quality work culture and ease. The thesis also deal with prospective devices which could solve the current situation. These devices are mainly edification and OSH promotion. Again via researches and investigation it is being found out which specific tools of edification and promotion are the most effective ones in terms of content aspect. One part of the theory of these thesis is historical view on the process of work safety from the first extant evidence till the post-war situation in Czechoslovakia. Edification and campaigns where programs and campaigns are part of that, start from general marketing principles and directly, creation and introduction of campaigns is the matter of social marketing. That is why a part of the theory is focused on marketing principles which can be used when edifying and promoting OSH and also focused directly on social marketing and social advertising. One of the chapters specifies the process of implementation of campaigns focused on OSH. Concretely, it defines target groups, available tools and devices, planning, designation of campaign partners, principles of implementation and in conclusion it analyses how to assess the campaign and methods of getting feedback after the campaign. To demonstrate that, in the thesis there are described current campaigns focused on OSH issues in the Czech Republic and also cooperating with the European Union. The countries of the European Union have OSH at very high level and because our country is a part of this community, it is almost a duty to make the best of experience of these countries and to cooperate with them. The conclusion of the theoretical part deals with the attitude of the mentioned countries toward the issue.

Also, it presents the state institutions that were affecting the cultural domain during this period. Next, the chapter shows how these crucial aspects were transformed into the political program of the Ministry of Cultural Affairs. The last chapter presents the project of maisons de la culture, new cultural centers symbolizing the whole Malraux's era. Oligopolization of banking industry in Czech republic
Pýcha, Mikuláš ; Mandel, Martin (advisor) ; Šíma, Ondřej (referee)
Bachelor thesis is targeting towards problem with oligopoly and capital accumulation of banks. This thesis analyses contemporary issues in financial world, which results from capitalistic order and it mostly focuses on banking industry. Firstly we focus on history of oligopoly and monopoly that are closely related to Karl Marx and his thoughts. Then we subscribe terms of oligopoly and monopoly and reasons why do they arise. Primarily we examine concepts of economies of scale or entrance barriers, those are often related to market failures and inception of oligopoly. Furthermore we devote to oligopoly models, which show how to reach equilibrium. The fundamental goal for this thesis is to analyze Czech banking industry and to prove the fact that it works under oligopoly structures. In order to prove these oligopoly structures we have to demonstrate that Czech banks reach extraordinary profits. In oligopoly a bigger bank should reach greater relative profit, which we deeply analyze. For measuring and proving oligopoly power we use procedures that are usually being used by European Central Bank. Most importantly it is the share of five largest banking institutions or Herfindahl-Hirschman index. These figures we also compare with foreign countries and try to find reliance of oligopoly power on the size of the country. In that order we choose countries that are more likely to form stronger oligopoly structures. The main objective of this thesis is to prove than banks are achieving extraordinary profits in Czech banking industry and emphasize the fact that banks holds the upper hand over clients.
