Competencies of the General Meeting of a limited liability company

This thesis deals with competencies of the General Meeting of a limited liability company in the Czech legal order. At the first place its aim is to define the term competencies of the General Meeting. The next main task is an in-depth analysis of each issue that falls within the competencies. The attention is concentrated predominately on how decisions about the issues concern the General Meeting as the highest body of the limited liability company, i.e. which requirements, procedures and limitations have to be complied with according to the law. The intent is to point out all the areas within the subject matter of this thesis that are ambiguous or the areas without any consistent view on them for any reason including providing with my own commentary or opinion of a possible solution. The essential part of the thesis is an analysis of a current practice of higher courts of the Czech Republic related to the subject matter of the thesis. A Theory of Social Justice

This master thesis deals with various concepts of social justice. At first, social justice is defined and the advisability of this term is defended. Subsequently, the two influential concepts of social justice are presented - the concept of John Rawls (justice as fairness) and the concept of Robert Nozick (justice as entitlement). This paper also deals with the application of the concept of social justice to international order. In the end of this thesis the concept of public reason is discussed, it's possible limitations and the problem of coexistence of people who are followers of different concepts of justice.

1 Abstract Reasons for and legal forms of the restriction of land ownership rights The purpose of my thesis is to analyse the reasons for and the legal forms of the restriction of land ownership rights. Because the land ownership rights relate to both the private law and the public law, this theme is linked with almost all fields of our legal order. The thesis consists of four chapters. Chapter One is introductory and describes the content the paper is about. Chapter Two defines basic terminology used in the thesis: the proprietary rights, the land, the allotment, the real property and the proprietary rights to land. The chapter is subdivided into three parts. Part One describes proprietary right as one of the human right, which is protected by international conventions and the Declaration of basic rights and freedom. Part Two deals with the land specialities - such as the multifunctional character, the indispensableness, the limited extent, the impossibility of multiplication, the impossibility of placing the land elsewhere, the everlasting existence, the impossibility of consumption and the natural, not human origin. The paper discusses the right of access to an independent and impartial tribunal under the European Convention on Human Rights with a focus on compliance of legislation and judicial practice in Ukraine with the standards developed by the European Court of Human Rights in its case-law. In order to address this issue the first part contains an analysis of the term "right of access to a court" and its components. The system of treatment of juvenile offenders in Czech Republic

Criminality is very compelling phenomenon, which every advanced society struggle with. The adolescent period is less resistant of negative influence society and that is the reason find systém of suitable actions from juvenilie delinquency. This essay handle how is in Czech Republic solving system of treatment of jevenile offenders and what contains. Outline the problematic of adolescent period and system of criminality prevention. Connection with new principle about juvenile justice enlarge criminal process and available deportment solving of criminal behavior of juvenile offender. We can also look through of violation of law and possibility of intervention social curator. Then it will take us through the system of institutions for court-ordered institutional and protective care and system of treatment of juvenile in execution of a punishment. Own space has Probation and Mediation Service because without it will not be able to get one of most important goals, which is maximum to use legal way how to avoid court. The essay ends with sense that system of treatment of juvenile offenders is set up well, but in work experience we can still find low sites. So the space is still open for deeper analysis each of system elements. The analysis sould help to increase efectivity of system like complex.

E-learning and its usage in corporate education

E-learning is an educational process utilizing computer, internet, intranet, information, communication and multimedia technologies in order to improve the quality of education and cooperation of the whole educational community and to facilitate access to educational materials, services and information exchange. The objective of e-learning is efficient, fast and easily accessible education. Combined with standard forms of training (distance and full-time studies) e-learning allows one to combine the needs, schedule and opportunities of the student in an optimal way. All this is possible because the educational activities can proceed not only in educational institutions, but also in environments chosen by the student (home, working environment, holidays, traveling etc.) In this way e-learning enables one to save considerable financial expenses. These are attractive reasons for using e-learning and blended learning- not only for individuals but also for corporate training. This proves even more interesting for companies utilizing external training which is not an inexpensive undertaking.

Bisimulation

This work is about bisimulation in modal logic as well as in intuicionistic logic without contraction. Bisimulation is a relation between models, which is weaker than isomorphism, yet still guarantees equivalence in the in the selected logic. It is typically used to demonstrate that some properties of models cannot be distinguished. For instance the cardinality cannot be distinguished, which is shown by disjunct union. Bisimulation also helps to clarify the relation between modal and classical logic. Apart from bisimulation, the related notion of bounded morphism is studied because it enables to elevate the unde- nability and undistinguishability to the discourse of frames. The part about modal logic is basically a compilation of well known facts, yet their interaction is made more clear and some proofs, which are usually disregarded as obvious, are presented in an explicit manner. Talking about the second part, mere reasonable de nition of the semantics is an honest work. Yet even here the bisimulation and bounded isomorphism are introduced and some examples are shown in order to illustrate their utility.

Stalin's Monument in Prague

The thesis describes one of the biggest pieces of work of the communist propaganda in the 1950's in Czechoslovakia. The Stalin's monument in Prague was a very clear example of the cult of personality, too. Its construction was a result of the post-war political situation in Europe. Step by step, the communist parties took the power in the states under the Soviet influence between years 1945-1948. After political changes in February 1948 in Czechoslovakia, the new established power wanted to strengthen its own position in the society. The propaganda was a powerful and efficient way to do it, especially in the art. The communist icons started replacing the icons of the former Czechoslovakia. The building of the Stalin's monument officially began in December 1949 as a part of the celebration of Stalin's 70th birthday. After this great introduction the construction itself started in the winter 1952. This delay was a result of two-year discussions about the concepts, used materials and planned destination; the original place wasn't suitable mainly for geological reasons. TITLE: Adalbert Stifter as a Narrator of Everyday Life SUMMARY: The subject of this thesis is the person and work of the writer Adalbert Stifter and the possible approaches to him. The object of this work is to observe the typical features of Stifter's work, to find possible reasons for its uniqueness and possible ways to it. Because I would like to achieve these objectives, I concentrate on the characteristics of Stifter's life and work and by their possible connection which can be seen in his "gentle law". Then I focus on the approaches to Stifter, that is on the reception of him and his work and on the concept of some possibilities for lessons. In my work I arrive at the conclusion that Stifter's life and opinions are mirrored in his work, that the approaches to him were and still are manifold and that he offers some possibilities for lessons and also for all readers. The valuation of the company Plzeňský Prazdroj, Inc.

The aim of this diploma thesis is to estimate the market value of the company Plzeňský Prazdroj, Inc. at 20th April 2010 in order to sell the company to an unknown investor.In the theoretical part of the thesis are defined reasons, methods and procedures of valuation of the company. In the second part there is described the company and economic situation in the Czech Republic and in the World. This part is followed by a strategic analysis, financial analysis and construction of the financial plan for the years 2009 - 2012. At the end of the thesis is carried out the valuation of the company by method free cash flow for the firm. The resulting value is compared with a book value of the firm.
