Valuable Consideration in Takeover Bid and Settlement by Unwilling Reducing of Shareholder’s Share

This work deals with valuable consideration when changes of ownership of equity securities occur in connection with corporate changes in joint-stock company, especially with unwilling changes -- rise of registered capital with excluding the priority subscription right (§ 204a/5 of the Commercial Code), unwilling transfer of shares on the major shareholder (§ 354 of the "Act on the changes of commercial companies and associations") and squeeze out (§ 183i of the Commercial Code). Valuable consideration defines relatively in detail the Takeover Bid Act. This framework could be to certain extent analogically used for valuable consideration in unwilling transaction. However, its definition itself offers a considerable room for interpretation, so is also seized as the independent secondary topic (chapter 1). The main topic concerns two basic aspects. The first is a company evaluation. In this aspect we will take a look only at the dependence of the expert providing the evaluation on major shareholder (chapter 5). Work aims at the second problematic aspect of unwilling transaction - a premium over the valuable consideration for the infringement of right (chapter 2, especially section 2.4.). The work also deals with unevaluated risks of minority shareholders in the period beginning the day to which the company was evaluated to time of the pay out of ownership (chapter 4).

61 Costs of proceedings with respekt to contested civil cases Summary This Master thesis deals with costs of proceedings with respect to contested civil cases. The legal proceedings area is always connected with some expenses. Those are of different nature depending on to whom they occur. They occur, on one hand, to the state in the connection with the securing of its basic functions, which, without any question, includes the running of justice. On the other hand, it occurs to the parties to these proceedings. In the introduction of my thesis the notion of the costs of proceedings is defined, followed by specifications of different kinds of these costs, including its specifics and legal regulations. In the third chapter the duty to pay the expenses of proceedings is shaped. This duty comes into being in the moment of the origination of the costs of proceeding itself. Furthermore the compensation of costs is laid out. This part answers the question who, as the final result, carries the burden of these compensation payments. This text also examines the way the courts make the decisions about the costs of proceedings, including the possibilities and conditions of its adequate reduction. Analysis of the questionaire about user's satisfaction with using IDE NetBeans is main goal of this thesis. More specifically information about dependency (correlation) between questions is going to be result. Process of this analysis is automatical. Coaching - the part of professional development

This work deals with subject of coaching as a part of the professional development. The first part is devoted to the theoretical initial data of the coaching. There are summarily described definitions that can be found in specialized literature. A strong attention has been given also to historical and philosophical principles of coaching. Having presented this essential information the work defines coaching compared with its related branches as consultancy, training, mentoring or psychotherapy. In a separate chapter, the process of coaching, its principles, stages and basic models have been treated. Two main types of coaching are mentioned in brief. A more extensive chapter has been dedicated to the personality characteristics of a coach and his function depending on his position in the company. Conclusion of the first part is focused on questions of ethics in the coaching process. The second half of this work is represented by a practical part describing two research studies - a qualitative and a quantitative. In the course of the qualitative research there have been obtained information and opinions on coaching in semi-structured interviews from the leading Czech coaches. The aim of my thesis is to analyze development as well as current level of Canadian foreign trade in goods and to compare this level with the number of trade agreements concluded between Canada and other countries. The second issue I considered in my thesis is whether Canada decreases its dependancy on the USA and if so, what are the countries Canada tends to trade with.

Comparison of Outputs from the Software ALOHA and TerEx in Dispersion Modelling of Selected Hazardous Substances

In the context of an increasing production of industrial toxic substances (TIC; Toxic Industrial Compound), the risk of accidental release of hazardous substances is growing in spite of the gradual implementation of safer technological processes and safety improvement measures. To mitigate the consequences of chemical accidents or to prepare preventive protective measures before the accident, it is necessary to know or at least estimate the course of accidents. In particular, it applies to the range of traumatic events and fatal accidents. One of the tools that can express the impact of accidents is modelling programs. This diploma thesis presents a comparison of outputs from two special types of software ? a foreign program the ALOHA and the TerEx developed in the Czech Republic. The purpose of the thesis was to indicate theoretical aspects related to gaseous toxic substances diffusion in the ground atmospheric layer and to describe modelling of their ill effects range. To achieve this objective, scientific literature and consultation with experts were used. The practical section of the thesis aimed at determining to what extent the results of both programs differ when initial conditions were identical. To achieve this goal, the intercomparison of outputs (e.g. hurtful concentration range) of the two programs that provided results for the same input data sets (type and quantity of hazardous substances, environmental temperature, wind speed, degree of cloud cover, weather stability class, type of ground surface) was used. After the assessment of the comparison it is possible to generalize the results stating that the software ALOHA compared to the TerEx is more conservative, which means that the ALOHA software provides longer anticipated ranges of danger. Therefore, it depends on the user (the person responsible ? crisis manager, intervention commander, mayor of the village), which approach they select or recommend ? to prepare a greater or a smaller area for a possible accident (to ensure public awareness, to implement technical measures to mitigate the impact of that accident, to assess the amount of financial resources, etc.). As a subsequent step it would be appropriate to verify the theoretical results experimentally, by field testing, which would be conducted under the same meteorological conditions under which the modelling was made by the mentioned programs. This would thus confirm the legitimacy of the special software use for the purpose of estimating the range of negative effects of chemical accidents.

Fat tax - the tool in the battle against obesity

Object of this thesis is fat tax. Thesis analyses theoretically causes and effects of substantial increase of obesity in last decades. It looks on the justifiability of state's intervation to the market for the reason of increasing rate of obesity and analyses pretexts for this intervation. It suggests the ideal solution of the obesity problem. It denominates the main tools of state, by which state combat against obesity and focuses theoretically and practically on the fat tax. It analyses the benefits and costs of the fat tax and comments the effectiveness of this tax on the model studies. In last chapter it analyses dependence between the fat tax and the rate of obesity in the USA.

Criminal defences in Czech and Irish criminal law

Criminal defences in Czech and Irish criminal law This thesis deals with the analysis of individual elements of criminal defences under the Czech and Irish criminal legal statutes with respect to the conclusions, which are therefrom drawn in theory and practice. The aim of this thesis is to render an overview concerning the distinctions and similarities in understanding, importance and operating of the defences in different law systems, rather than to present an exhaustive commentary on all legal institutes which exclude illegality and as such come into mind. Regarding the fact that Czech and Irish systems of law are subsumed under different legal systems, particular institutes of criminal defences cannot be based on the same rules, principles and theoretical grounds. It shall be noted, that while Czech criminal law is mainly to be found in a single piece of legislation known as the Criminal Law Act, Irish criminal law on the other hand not only has a separate statutory legislation, but also mainly depends on common law. The aim of this paper is to analyse the economic development of Taiwan,especially during 21st century. The paper is divided into three main chapters. The first one focuses on the development and description of the economy from the historical and current perspective by using macroeconomic indicators. The second chapter deals with the sectoral structure of Taiwan's economy, its description, changes and development in time. The third chapter discusses the main issues of Taiwan, such as low birth rate and an aging population, environmental pollution and trade dependence on China.

Occupational relations with a foreign subject

The Master s thesis presents and summarizes problematic areas of the Czech legislation related to the occupational relations with a foreign subject. Essential literature used for this purpose were Employment of foreigners and sending employees and self-employed abroad. 2nd update. ed. written by P. Boušková and International employment, posting and hiring workers, 1st edition, written by L. Rytířová and J. Teperové. However it was necessary to draw on bilateral agreements and legislation, both Czech and international. The content has been structured into five main chapters, the first one is devoted to the legal regulation of occupational relations with a foreign subject, the second chapter contains analysis of labor migration and its problems. The third and fourth delineated a structure of employment and social security. Final chapter is devoted to the migration of Czech citizens abroad. The various major chapters have been divided into subchapters which followed the different parts of the main topic in detail.
