(The protection of minority shareholders' rights) The theme of this thesis is the protection of minority shareholders' rights. This problem of joint-stock companies is very comprehensive. So that this thesis is focused on rights belonging to shareholders with qualified share in stated capital of company which are situated in § 181 and § 182 in the Czech Commercial Code. The thesis consists of eight chapters. In the first chapter the comment of basic terms connecting to this topic is presented. The term of joint-stock company and its characteristic features are briefly engaged. Further the terms shareholder and minority shareholder are specified. The second chapter is focused on historical development of minority shareholders' rights from 1991 when the Commercial Code was enacted to the future. Special attention is given to amendments to the Commercial Code by Acts No. 142/1996 Coll., No. 370/2000 Coll. and No. 420/2009 Coll. In the third chapter the general comment about reasons of protection of minority shareholders' rights is given and areas of protection of these shareholders are specialized. Theory and practices of the system of regional self-government in the Czech Republic - the South Moravian region (a case study)

My graduation thesis deals with the theory and practices of regional self- government units in the Czech Republic. It analyses its functions as they were drawn up at the turn of millennium. The graduation thesis consists of two parts. The first theoretical part deals with the function of regional self-government units in general. After a brief description of the history of these units on the Czech territory - with focus on discussions on the establishment of higher self-governmental units in the Chamber of Deputies of the Parliament of the Czech Republic after 1993 - a theoretical framework of the regional self-government units is described in the chapters and sub-chapters. I discuss the problems of functions and competences of regional bodies (the Regional Assembly, the Regional Committee, the President and the Regional Services) and relations among them. The information resources of the first part were especially the Law No 129/2000 Coll. on regional self-government units and a number of scientific publications of legal and political science literature. Problems of secondary victimization of children crime victims with special focus on evalution of credibility of child witness

The bachelor thesis "Problems of Secondary Victimization of Children Crime Victims With Special Focus on Evaluation of Credibility of Child Witness " deals with the victimological view of a child as a witness of a criminal act. The thesis is specifically focused on the issue of secondary abuse by close environment of a victim and by the official bodies involved in investigation. Its unique attribute is evaluating of the credibility of a child witnesses - victims of criminal acts of sexual abuse - by forensic experts. The empirical part contains of a research interpretation in the form of a questionnaire completed by forensic experts. The aim of a research was to bring closer the attitudes and opinions of experts in the areas of psychology, pedopsychiatry and clinical psychology with regard to secondary victimization, methods of evaluating the credibility of child witness and reflection of their own position in the system. The research results show that the process of evaluating of credibility by forensic experts is not wholly objective, an indispensable part of the outcome of evaluation depends on personal traits of an expert, their motivation and time disposition. Evidences of social and thought structures in the South Bohemian middle bronze age

Cílem diplomové práce bylo přispět k problematice střední doby bronzové v jižních Čechách. Za tímto účelem jsem shromáždila dostupný nálezový fond, který jsem jednotným způsobem zpracovala, zdokumentovala a analyzovala. Ze sledovaného nálezového fondu jsem vyčlenila kategorii nálezů z mohyl a z depotů. U nálezů z mohyl jsem se pokusila rekonstruovat nálezové celky. Podařilo se mi rekonstruovat 149 nálezových celků z mohyl. Tyto celky z mohyl a depoty jsem dále analyzovala. Soustředila jsem se především na typologicko-chronologickou analýzu bronzové industrie, artefaktů ze zlata a jantaru a analýzu skladby jednotlivých celků. Provedené rozbory byly východiskem k datování celků a k rozpracování chronologických horizontů, které jsem mapově zpracovala.

V rámci této diplomové práce je provedena kontrastivní textová analýza textového druhu soudního rozhodnutí (rozsudku) na třech textových rovinách (makrostruktura, mikrostruktura: jazykové šablony a slovní spojení). V teoretické části jsou definovány pojmy textový druh, makrostruktura, mikrostruktura textu, jazykové šablony a slovní spojení. Prostor je věnován rovněž problematice jazyka práva a administrativního stylu. Analýza pracuje s paralelním (německé a české paralelní texty) a bilingvním (německé originály a jejich překlady do češtiny) korpusem textů. V jejím rámci je proveden popis makrostruktury (organizace obsahové výstavby pomocí dílčích textů a nadpisů), excerpce a vymezení slovních spojení a excerpce, vymezení a klasifikace jazykových šablon. Analýza vychází z předpokladu, že převládající překladovou metodou na rovině makrostruktury je metoda dokumentární, na rovině mikrostruktury (slovní spojení, jazykové šablony) metoda instrumentální. Předpoklad se potvrzuje zčásti - na rovině makrostruktury dominuje dokumentární překlad, na rovině mikrostruktury se využívají postupy jak dokumentárního (kalk), tak instrumentálního překladu (modulace). Ukazuje se rovněž, že některé (především konstrukční) jazykové šablony přispívají k výstavbě makrostruktury, tj. že se nerealizují pouze na mikrorovině (rovině...

Summary Bachelor thesis deals with stressful situations which effect a vocational training teacher of chefs' courses. The thesis is divided into two parts -- theoretical and practical. The objective of the theoretical part is to describe teachers' difficult situations, stress, stressing factors, reasons and consquences of the difficulties which occur in the vocational training teacher's work. Consequently, the personality of the teacher is described, and also the typology of teachers as well as the strategy of handling stressful situations. The method of the theoretical part is a study of professional resources, making excerpts and their analysis, synthesis and comparison. The aim of the practical part is to find out how vocational training teachers of the chefs' courses cope and manage stressful situations in the workplace. A qualitative access by the method of a half-structured profound dialogue is carried out with teachers of vocational training at training centres of Secondary School of Catering, Trade and Services, Charbulova 106, Brno. The obtained data were further analyzed by means of open coding. Recommedations for pedagogice and psychological practice are defined according to the outcomes.

Czech language islands in Ukraine

Cílem bakalářské práce je prezentovat problematiku českého osídlení na Ukrajině. Výběr tématu není náhodný, neboť sám pocházím z krajanské rodiny. Z širokého spektra otázek jsem se soustředil na historii vzniku krajanské komunity na Ukrajině, na její rozvoj a současný stav. Práce je rozdělena do čtyř kapitol. První kapitola uvádí všeobecné důvody českého vystěhovalectví v druhé polovině 19. století. Druhá kapitola prezentuje české osídlení na Ukrajině. Popisuje postup přestěhování a historii osídlení území nové vlasti a založení některých českých obcí. Obsahem třetí kapitoly je popis životního stylu českých přestěhovalců, jejich tradic a zvýků. V několika částech této kapitoly se prezentuje také otázka školství, reemigrace krajanů do jejich historické vlasti a charakteristika současné situace v krajanských komunitách na Ukrajině, především však na Krymu. Čtvrtá kapitola je věnována jazykové charakteristice české komunity na Ukrajině. Při shromažďování studijního materiálu jsem vycházel z několika odborných prací věnovaných této problematice, z menších studií v různých vědeckých sbornících, z novinových článků a z vlastních materiálů týkajících se života české krajanské komunity na Krymu. TITLE: Model of creating motivational items for use in non-chemical vocational schools SUMMARY: Presently, there have been significant reforms in the field of education in progress in the Czech Republic. Among others, formerly valid educational standards are being replaced by new standards - Framework Educational Programmes. They have also become effective for secondary schools since 1st September 2009. One of the changes is an addition of science based subjects (thus also chemistry) to all the framework educational programmes for every field of study in vocational schools. Hence, the number of pupils who will be taught science has grown comparing to the previous years. As it was confirmed by an inquiry made for the purposes of this thesis, the above mentioned group of pupils represents the majority among pupils in secondary schools. It was important to analyze the learning environment at non-chemical vocational schools, in order to support as effective utilization of learning units assigned for this schools as possible. Legal standing of an executive director in a private limited liability company

Companies are forms for doing business and represent very important component for human life. Directors in the limited liability company hold an pivotal capacity in the company and have the fundamental power to organize and run the company. The directors are statutory body, so they act on behalf of the comany and they binds the company. Law gives the directors a lot of powers but says, that they must observes their duties. If the directors break their duties, they are liable to the company for the damage, which they have caused. The thesis deal with the legal regulation of the status of the directors in the limited liability company. It is very wide topic so I especially focused on discretions and duties, which are a base for status of the directors. This topic contain a lot of disputed provisions of law referred to the directors, which are debated by legal experts. At each problem I stated opinions of this legal experts and I strove to give a reasonable solution.
