Takeover bid

The bachelor thesis deals with legal form of a takeover bid. In the first instance the definition and the fundamental division of takeover bids are specified. The following chapter concerns the purpose, functions and the economical nature of takeover bids. The chapter concerning European legal form treats the Directive 2004/25/EC of the European Parliament and of the Council of 21 April 2004 on takeover bids. The main part of the thesis devotes legal form of takeover bids in the Czech Republic. It focuses on the Act No. 104/2008 on takeover bids and on amendments of other acts. In the chapter entitled "Mandatory bid" essential specifics are explicated. The order of chapters illustrates the whole process of a takeover bid.

68 11 SUMMARY Political trials in the fifties of past centrury in Czechoslovakia Political trials in the fifties of past century are very dark chapter of a modern history of the Czechoslovakia and the Czech Republic. Not following laws not event the elementary human rights is a sad result of Communist Ideology which in this period of time did not manage but even support such law breaking. Such law breaking and human rights breaching was recorded only three years from the end of World War II, the biggest conflict in modern history resulting into intentional killing of millions of people. From the international point of view, it is essential to say, that orientation to Soviet Union and its ideology was a result of sacrificing Czechoslovakia by Western Powers in favour of Hitler's Germany. Post-war orientation to east ideology was unfortunately a logic consequence of these fatal events. Applying of Soviet Ideology and Stalinist Methods into the Czechoslovakia was unnatural appearance, which has reshaped both nations for decades. The regime eliminated those, who had different opinion and wanted a progress in society and kept citizens in ignorance, blindness and afraidness. Ethical Plausibility of Suicide

Diploma thesis "the ethical plausibility of suicide" deals with problem of suicide from philosophical and ethical spectacle. Enthrones essential metodological determination in view on different suicides. Importanat determination is essential enthronement of hierarchy of human questioning for life. In the thesis is showed primary onthological question, secondary qualitative question and tertiary quantitative wuestion. This determination of essential questions should help in inquiry for main thesis question: "in which cases is suicide ethicaly accetable or ethicaly good." Diploma thesis works with different arguments and admitances to suicide. Diploma thesis confrontates this arguments and admitances with offered metodology and with ethical norms and systems from onther philosophers. Those norms and systems are converted to essental three questions and consenquently compared, if they can predicate something about ethical acceptability suicide. Diploma thesis don't only stays on person of self-murderer. Diploma thesis tries to shows a connections between the act of suicide and relations with other people. The moment which draws together different cogitations is moment of toleration. Final admittance is build on teaching of John Locke. Diploma thesis is also forced to consider the problem of human freedom.

Legal issues of commercial and investment banking

87 Summary The main aim of this Master's Degree thesis is to analyse legal questions about commercial and investment banking. Just before I get to some concrete aspects of these problems, it is necessary to deal with general theses of banking in part one in itself. It is possible and it would be an honour for me, if any ordinary person will read my thesis, so for that reason I think it is necessary to explain at the very beginning what the conception of banking is, what is its object and from which sources the legal form is coming-out. Banking is based first of all on economics. That is the reason, why at the beginning of third subchapter I explain economic characteristic of the bank firstly, following by legal point of view. As a student of law school, and not a student of economics, I should concentrate only at legal nature of my thesis and not economic, but I am really persuaded, that both science disciplines are so connected and close-knitted, so it is impossible to totally disconnect or separate them. Subchapter Four reflects about that and describes essential bank functions. I finally get into banking system in subchapter Five, to its regulation a characteristic of its particular types of banking systems, which outline us slowly the problem of connection or separation of these particular banking...

Japanese cultural standards

The objective of this thesis is to identify Japanese cultural standards from the Czech perspective. These cultural standards enable us to disclose and understand the specific features of Japanese people, their norms and ways of thinking, feeling and acting. In today's context of globalization and the rising importance of international cooperation, the knowledge of Japanese cultural standards is essential for successful communication with Japanese partners. This thesis is divided into three parts. The first one is a theoretical introduction to the issue of culture in general, as well as culture describing methods - cultural dimensions and cultural standards. The second part of this thesis deals with Japanese culture, its characteristic features and specifics of Japanese mentality. The closing part, which is based on empirical research, puts objective on defining Japanese cultural standards from the Czech perspective, as well as identifying the main cultural differences between these two nations.

RESUME My intention was to foreshadow the construct of the re-émigré's self perception/self depiction as a way of setting up a framework within which each individual operates. Based on analysis of interviews with individual re-émigrés, I attempted to establish individual identifying categories which gave rise to such a framework. The central interest of the study was the analysis the act of the re-emigration, the return home, the return to motherland. Nevertheless, the act of return exists as a direct consequence of many earlier life (changing) (dominant) events, including the emigration itself. I considered it essential to make such events an integral part of my investigation (study). In this context, I have considered it essential to interrogate the act of 'homecoming'with the initial act of emigration, of going to exile, of the 'escape'. The testimonies of individual respondents indicated most clearly the key/central role played by the family and its influence, not just on the émigré him/herself, but in the wider context of family background,(cultural)roots, familial orientations, customs and conventions. Aspects of social solidarity in the perception of young people

This bachelor thesis deals with the attitude of the young generation to fulfil the principles of social solidarity in the Czech Republic. The main task is to record and map out the areas, where the marks of social solidarity appear, and to find out how the fulfilment is accepted by the young people. The first half of theoretical part is applied to characterization of social solidarity, its development and every single areas, where the principles are being fulfilled. The social solidarity plays an important role in the company and it is an import part of it. The solidarity is applied in the social security system, in health, education, living and family policy or is proceeding completelly out of public sector. The second part of theroretical part describes in greater detail possible ways of its implementation towards the certain groups. Three kinds of solidarity are presented in this work: obligatory, voluntary and intergeneration. The obligatory solidarity is realized through the social security system and the health care. The voluntary solidarity is realized mostly out of public sector and it is more valuable and better evaluated than the compulsory solidarity. The voluntary solidarity is applied on through the variety of charitable and non-profit organizations and we speak about formal kind of volunteering. On the other hand, informal volunteering is considered as acting when somebody relinquish of something or provides help to somebody else without having any reward expectations. Intergeneration solidarity was in the past comprehended as handing over values, standards, knowledge and experience in frame of family. Nowadays in view of the fact that the age of lives is getting longer and the population is rising, demand of intergeneration solidarity out of family is also rising. The volunteereing could be a good instrument for intergeneration learning. The practical part of this work describes the opinions of enquired respondents to fulfil the principles of social solidarity in the Czech Republic. To arrange all necessary information the quantitative form of investigation has been used. The method of questionaire has been applied. The number of 188 young people participated in this kind of research. The main task was to find out how the young people feel the fulfilment of social solidarity principles in practise. The partial goal was to investigate ? how the young people feel the compulsory and the voluntary solidarity towards chosen social groups. According to the research results, the young people perceive better the voluntary solidarity, however, mostly they take part in informal kind of volunteering. Formal volunteering, i.e. charity and non-profit organization activities are maximal supported by themselves as well. Regarding the obligatory solidarity it has been find out some differencies, especially by the social security system, where is by the way the solidarity of highearning ones with lowearning ones is being fulfilled. Two hypothesis were stated in this kind of research. The first one said that the voluntary solidarity will be better accepted by young people than the compulsory one. The second hypothesis assumed that the young people will feel the affirmative intergeneration demand. Both of them were confirmed on statistic basis. In my opinion, the young people feel the social solidarity system in the Czech Republic in positive way. Most of addressed respondents apply the solidarity towards single social group and furthermore feel affirmative the requirement of intergeneration solidarity realization. However, the results point out that there is slight disagreement with redistributive state policy. This work could help to understand better the relationship between young generation and the essential atribute of social citizienship. Eventually to identification of attitudes heading for restricting the redistribution rate towards the social needy individuals.

Contract for work in construction

The main aim of this diploma thesis is to analyze the legal regulation of contract of work in construction industry, especially the regulation contained in the Act No. 89/2012 Coll., the Civil Code. I also focused on main changes connected with passing the new Civil Code and I clarified the essence of some new legal institutions. This thesis is divided into 9 chapters; some of them are further divided into minor sections. Besides that the thesis includes Content, Index of Abbreviations and Bibliography. First chapter focuses on setting the aim of this thesis and then the historical context of contract of work, its development from the antiquity to concurrence. Contemporary regulation of contract for work is being compared to the contract of purchase and I describe the essentials of contract for work, in particular contracting parties, their rights and duties and the subject of work. In the fourth chapter I focus on the finalization and disposition of the work, according to the Civil Code the work is finished only if it is proven that it can be used for its purpose. Next I analyze the price of the work and options that can be agreed by the contract parties in terms of the price and the payments. The possibilities of creative work in an enclosed theatrical group

The main aim of the thesis is to explore the possibilities of creative work in an enclosed group of actors. The essential question to be answered is, how can the actor or the group itself explore and further develop creative potential of the individual or how it can limit development of the acting potential on the other hand. The thesis among others focuses on the obstacles which one needs to overcome, what are some of the rules to follow, in order for this "ecosystem" to work and successfully develop further on. The thesis provides unique insight into enclosed group of actors called Gruppo Jobel, the work within the group is reflected on the background of studies on Prague's DAMU theater acting and supported by wide span of related literature. The outcome of the thesis is mainly the inspiration, which can positively influence actors when studying and practicing the theater plays or can be influential in other creative fields related to theater and acting in general.

The purpose of my thesis is to analyze the State Enterprise Act. The main aim is to describe the life of state enterprise from its foundation to its termination and to point out the major legal issues. My desire was to recommend some improvements to legal regulation of the state enterprise. My thesis is divided into several chapters, each of them dealing with different aspects of the state enterprise. The first theoretical chapter examines the question whether the state enterprise is a legal entity on the background of civil doctrine. The next chapter deals with the foundation process of the state enterprise. Who is authorized to create the state enterprise and what are the essential elements of the charter of foundation. It describes the process of signing into the Commercial Register and its legal impact. This thesis also provides a view to the relationship between the authorized representatives and the state enterprise. It shall answer the questions about the powers of governing bodies and their liability. The next part is devoted to the administration of state-owned property by the state enterprise.
