Registrar of investment instruments in the European and comparative perspective Abstract The submitted thesis deals with the regulation of a registrar of investment instruments in the context of the relevant Czech and European Union laws. The aim of this dissertation is to provide a theoretical insight into the issues of regulation of investment instruments within the statutory and case law, taking into account current issues that are relevant from the practical point of view. This thesis also adequately addresses the prospects of a legislative development of activities on the European Union level and it reflects some practical trends in the financial markets sector. The first two chapters deal with general and theoretical issues that are closely related to the main topic of the thesis. They specifically focus on a definition of investment instruments and its registrar in the current jurisprudence and economic science, and also include a detailed explanation of the significance of these two subjects. The second chapter also adequately addresses the legal aspects of investment instruments, immobilized securities and book-entry securities in line with the relevant Czech laws. The aim of this work was to analyze complexly the failure of financial market entities, with the accent of a banking institution, comparison with the European legal system, but also with the emphasis on solving the financial crisis of the banking system and its ways of resolving or maintaining the activity, possible insolvency of banking entities. At the end of the thesis, the author also deals with practical aspects of selected banks. From the above point of view, three sub-concepts are key to this work, which deserve a brief explanation as they permeate the work and gradually reveal the basic issues of the subject matter, but also their hypotheses outlining the next direction of research, and at the same time offers some legislative guidance material solution of the given issue. The first term is the "starting point". In this work, there is a detailed survey of research to find answers to the question as to what are the basic points of the financial market entities as well as banking institutions, but above all their failure. Protection of Investor on Capital Market Investor protection on the capital market is a highly topical subject. The main aim of this dissertation was to confirm or refute the hypotheses presented in the introduction, and in particular to ascertain whether there is sufficient investor protection on the capital market. Besides its introduction and conclusion, the dissertation has five parts which, in turn, are broken down into separate chapters. At the time the dissertation was being drawn up, there were a number of investment opportunities on the capital market that posed higher or lower risks. As it is difficult for ordinary investors to identify the degree of risk associated with a particular type of investment opportunity, the dissertation aims to describe the level of investor protection linked to the most common types of investment opportunities. Investment funds are unquestionably the most commonly used investment vehicle. Consequently, these investment instruments are covered in most detail. Investment banking is an important constituent of the financial market. As financial institutions, banks have an irreplaceable part in the functioning of the world's economies. Together with fiscal documents and financial markets they constitute the fundaments of the financial system. The financial market is a complicated system of interconnected relations of particular segments of the market, and investment banking is one such part. Its existence makes it possible to shift the savings of financial resources from saving subjects to ones in deficit by means of mediatory activities, which is performed with the help of various kinds of financial instruments, which are called investment instruments. The mediatory function of investment banking is a basic feature which makes a distinction between investment and commercial banking. Investment banks are main mediators that place released resources (savings) into the stock market. As is well known from the inherent laws of economy, the role of investments is crucial for a healthy circulation and functioning of the state economy. JUDr. Petr Kotáb International Aspects of Taxation in the Czech Republic SUMMARY Economic life of the current period is marked by high level of globalization of the economy and ever growing volume of cross-border flows of labor, goods, services and capital. In this situation, issues of international taxation affect not only sporadic cross-border transactions of selected types of subjects but virtually daily tax relations of large numbers of tax subjects, legal entities and individuals. Principles and regularities of international taxation are spreading in an ever growing extent into the intrastate level and are influencing the production of tax laws and everyday application practice of tax administrators. International aspects of taxation project into intrastate tax relations when there is a certain foreign element present in the tax relation. Issuance of money by the central bank and its prospect after accession to the European Monetary Union (abstract) The presented thesis analyzes the problems of issuance of money by the Central Bank in the Czech Republic. The issuance of money is analyzed particularly from the viewpoint of its legal regulation but attention is also paid to its practical implementation in the official practice of our Central Bank. The aim of the thesis is to comprehensively elaborate substantial part of the legal regulation in this area. Attention is paid particularly to applicable legal regulation but also to regulations that have been repealed in the period from establishment of the Czech Republic to the present time. This area of our day to day life has not been frequently explored and there is only minimum related financial-law literature. This, on the other hand, provides more space for the analysis of little known information from official practice. Legal and Economic Aspects of the Single European Currency

My doctoral thesis is aimed, as its title already indicates, at a constructive analysis of selected legal and economic aspects of the single European currency - the Euro, with emphasis on the legal features of the topic. The principal goal of my dissertation has been twofold: primarily to confirm, on the basis of my own analysis, my initial hypothesis stemming from the assumption that within the very construction of a single European currency, a number of faults have occurred, both from the economic and the legal point of view. During the Euro history, the same rules have been applied in a different manner in different countries joining the Eurozone. This incorrect approach, in my view, made the EMU construction fragile which was later revealed during the Eurozone crisis. My dissertation is further based on the assumption that the current crisis does not mean "crisis of the Euro" as a currency, but that it is a crisis in some of the Eurozone member states. It is therefore doubtful whether the newly adopted measures can be really effective for the sustaining of the single European currency and the EMU in its current state, and to avoid the already existing and/or potential economic problems. in English This thesis deals with process of public offering in Czech capital market's environment. Public offering is an alternative to debt financing for companies concerning raising capital. However, In Czech Republic, when companies confronted with this dilemma, waste majority of them choose debt financing against equity financing. My thesis is divided between introduction, eight chapters and conclusion. In the introduction of my thesis, I set to myself a goal, to answer the question, whether legislative situation in Czech Republic is negatively influencing the number of public offerings, mainly initial public offerings, carried out on Prague stock exchange. Every two chapter of my thesis creates one logical part and therefore I shall describe them as such. In first two chapters, I am enlightening the topic of public offerings and I also try to analyze reasons, which lead companies to undertake the whole process. My concern is also about factors, which company should pay attention to when deciding about going public. In third and fourth chapter I try to analyze the steps, which are necessary for companies to take before engaging in public offering process itself.
