Authorized Capital of Stock Companies, its Formation and Protection

Résumé Authorized Capital of Stock Companies, its Formation and Protection Czech legal regulations related to authorized capital stem from the European concept of the real formation and preservation of the authorized capital that leads particularly to providing minimum guarantee rate of the stock company to its creditors. Authorized capital is an abstract number and it expresses the financial value of assets invested in the stock capital by its partners. The Commercial Code shall expressly stipulate the duty of authorized capital formation for the limited liability company as well as joint- stock company. The duty to form authorized capital at their formation may be indirectly permitted also for limited partnerships. In professional literature, the three basic functions of authorized capital are traditionally listed. Guarantee function, authorized capital as profit and loss measure and authorized capital as a mean to specify partner's share in the company. The concept of real authorized capital formation adopted by most European legal systems is based on achieving correspondence between the authorized capital and real capital and capital preservation through protective rules. Conflict management in social organizations (resolving conflicts and deciding)

The diploma thesis considers a topic "conflict", on which it is focused within the scope of work environment in social organizations. In a theoretical part there is predominatingly dealing with different types of conflict. Hereafter about their development and a cycle. Consequently there are mentioned possible approaches to conflict solutions and methods for their solving. In theoretical part there are also described terms related to the conflict as mobbing, manipulation, etc. The empirical part represents the real presence of conflict and mobbing in chosen social organizations functioning in Příbram. Hereafter it is focused on awareness of organizations on such situations, especially on a importance of managers during their elimination, eventually process in terms of another development. An emphasis is placed on recording of those situations both from the view of employees and on the part of manager. On the basis of findings that the development in this area of managing, in surveyed organizations, is not sufficient, the useful recommendation were suggested and a new instrument, allowing easier understanding of conflict and also more successful work with it, was created.

The bubbles on the asset market as the effect of monetary expansion and the impact to the real estate market

This thesis focuses on the progress of the real estate prices and the growing debt of households in the Czech Republic. Real estate prices are an important indicator of an economic activity in economy. The question of the inhabitancy is fundamental for majority of households. There was recorded an expressive growth of self -- living in the real estate market and the mortgage credit market in past years. I identify individual factors which impact to the market and appoint their importance. For the analysis is important to set off the subjects on the market because each subjekt is determinated of individual factors with different intensity.

The forms of provision of public services of municipalities

One of the main present problem of the municipalities is decision about legal forms for provision of public services. In this thesis I'm analysing posibilities of selected legal forms and defining the main factors which influence the decision of the munucipality. In conclusion I'm aplying individual factors to the real example of Sezimovo Ústí and I'm presenting general recomandation for the municipalities.

English abstract: Title of the thesis: Semiotic analysis of the text concentrated on asymmetry of linguistic sing Keywords: semiotics, linguistic sign, semiotic analysis, asymmetry of linguistic sign, myth, denotation, connotation Abstract: The objective of this thesis is to show how the linguistic sign functions in practice and what is its real meaning in the context of communication. This process is based on semiotic analysis of illustration of the artistic literature. In its theoretical part an elementary terminology and historical pillars of formation and developement of semiotics such as an equal humanistic science are presented. In the practical part we will demonstrate, thanks to the semiotic analysis of myth, how the linguistic sign functions within the communication and the cultural context.

Acquisition of real property by non-residents in the Czech Republic

Name of the thesis in English: The real property acquisitions by the non- residents in the Czech Republic. This thesis tries to resume the development of the legal regulation of real property acquisitions by non-residents in Czech Republic because this topic became very important by the 1st of May 2009, when the first transition period of exemption from the free movement of capital within EU has ended in Czech Republic. At the beginning of the thesis I am trying to set up the topic from the view of the theory of International Private Law. In this part the thesis explains aspects of imperative law regulations which have to be applied every time, no matter which law rules the contract. Then the thesis explains the difference between obligation statute of the contract and effects of the contract on property rights, especially on the ownership transfer with respect to the regulations included in the Act on international private law. In next chapter the thesis summarizes the development of the legal regulation of real property acquisitions by non-residents before the Czech Republic enters in EU. This part simply describes and explains single Acts and other regulations which were in force in the past. The relationship between criminal personality and the way of commission serious crimes. Profiling with the application of geographical mapping

The topic of this thesis is the relationship between offender's personality and the way of commission serious crimes. The thesis is divided into three parts. The first of them introduces the basic concepts and terminology with respect to the offender's personality. Attention is focused on personality disorders and on some sexual paraphilias that are the most important for forensics. The topics that relate to offender's behavior are discussed as well - motivation, modus operandi, offender's signature, and the crime scene. The second part deals with psychological and geographical profiling. Various attitudes and theories are discussed. Third and at the same time the closing part of the thesis focuses on practical applications of knowledge derived from psychological and geographical profiling in a geographical information system. Two real cases of serious crimes are analyzed. The evaluation of the findings, and of the discussed methods is presented in the discussion. The appendices are placed at the back of the thesis and involve map outputs of the geographical profiling and a vocabulary of important words.

The Pro-Export Policy in the Czech Republic

The thesis characterizes the pro-export policy in the Czech Republic. At the beginning, the importance of the export in a small, open economy is formulated. In the next part, the evolution of foreign-trade policy of the Czech Republic and the beginnings of the pro-export policy are outlined. The following part describes the institutional structure and single instruments, by which the policy is carried out. Final parts of the thesis are focused primarily on the current estate of the pro-export policy and on the evaluation, how the targets set by Czech government in this field are performed. The evaluation comes out from the real researches and analyses in the Czech business sphere and from further verified facts. The evalution is followed by suggestions, how the problematic aspects of contemporary pro-export policy could be solved.

Zjišťování skupin podobných proměnných v systémech SAS a SPSS

My diploma thesis focuses on the comparison of possibilities of the statistical software SAS and SPSS in the area of the factor and cluster analysis and the multidimensional scaling. They deal with the methods for identifying groups of the similar statistical values (variables). The ascertained relations among the variables can serve to decrease the proportion vectors of the variables, which describe the individual monitored objects (statistical units), which helps us to apply other various methods, for example the regression or discriminant analysis. By one of the ways for finding the similarity of variables in the cluster analysis or the multidimensional scaling is searching for their relations. Whereas the base of the factor analysis is the formulation of the relation between two variables by means of the covariances, eventually Pearson correlation coefficient, it is possible to use also coefficients of correlation for the cluster analysis and the multidimensional scaling, in some case other measures. The thesis describes mainly the command syntax of the procedures implemented in SAS and SPSS. The meaning of the individual parametres and the partial specifications of each command are explained. The results gained by various types of analyses are compared on the basis of the real dataset. The possibilities of the statistical software SAS and SPSS are evaluated in the conclusion and it is referred to their advantages or disadvantages. The attention is also paid, for example, to the form of the input dataset, to the quaility of outputs or to the partial methods.

Business plan for Establishing of a Fitness center

The aim of the thesis "Business Plan for Establishing of a Fitness center" is the elaboration of a bussines plan on establishment of the real fitness center. The theoretical part is aimed to characterize small and medium business, its importance for national economy and also represents the structure and content of a business plan. The practical part is concentrated on creation of the bussines plan on establishment of the fitness center in Dolní Břežany. The work closes with the final summary and financial evaluation of this project.
