Liability of governing bodies of capital companies in Czech and English law

103 Summary A company as an artificial person cannot perform its own acts and it needs therefore real people to represent it and act on its behalf. Therefore, there are no doubts about the great importance and significance the authorized representatives have for the company and its members or creditors throughout its existence. Everyone connected with the company, whether as member, employee, supplier, customer or director, wants it to be well managed for their own benefit. Of these, the only group actually is in a position to ensure that the company is managed for their own benefit are its statutory organs and the only group who have the opportunity to control these organs are the members. This work deals with the topic of responsibility and liability of statutory bodies (authorized representatives) in capital companies in the Czech Republic and in the United Kingdom of Great Britain and Northern Ireland. It aims at comparative delineation of the standard of representatives' duties, their responsibilities for breach of legal duties and particular remedies in each given case of breach of duty. Ekonomické a hospodářské aspekty finanční "krize" současnosti - porovnání s Velkou hospodářskou krizí 30. let

Tato práce v teoretické časti by měla čtenáři zprostředkovat krátký pohled do historie, jaké historické aspekty byly příčinou podobných hospodářských krizí ve 20. století. Velká hospodářská krize, krize v 70. a 80. letech, asijská krize, Mexická krize, Ruská krize. Dále chci nastínit problematiku současné situace na trhu, její možné příčiny vzniku a původce "nákazy" a jednotlivé názory vzájemně konfrontovat. Především se budu zabývat srovnáním toho, do jaké míry jsou symptomy jednotlivých historických krizí shodné a do jaké míry se lidstvo nedokázalo poučit. Zda jsou příčiny těchto situací stejné nebo se v čase vyvíjejí. Chci vyzdvihnout specifika dnešní situace, rozebrat o jaký typ krize se vlastně dnes jedná a podložit to argumenty. Na konkrétních případech bank chci nastínit, co je to krize důvěry a s ní často zmiňovaná krize likvidity a proč si myslím, že jsou dnes jedním ze strůjců této situace. Rád bych závěrem rozebral možné varianty dalšího vývoje a nastínit směr, kam by se mohla aktuální situace posunout. Shrnutí na konci bude věnované bilanci, do jaké míry jsme schopni se z jednotlivých historických krizí poučit zda je vůbec možné těmto situacím předcházet?!

Losin-Šumperk inquistion processes and it s working up in Witchhammer

Při výběru tématu diplomové práce jsem se chtěl zaměřit na to, co mě nejvíce zajímá - historický film. Nejprve jsem se zabýval myšlenkou rozboru jednoho konkrétního historického filmu, ale samotný rozbor filmu jsem nakonec neshledal jako dostatečně nosné téma pro diplomovou práci. Poté jsem se rozhodl napsat srovnání historického filmu s historickými fakty. Zároveň jsem hledal film, který by byl pro tuto práci dostatečně zajímavý a také skutečně vycházel z historických faktů. Po pečlivém přemýšlení sc rozhodl zpracovat film Kladivo na čarodějnice režiséra Otakara Vávry. Folk crafts movement in Japan and its leading representatives

Jako téma své bakalářské práce jsem si vybrala hnutí za záchranu lidových řemesel- mint;eiv Japonsku s dúrazem na keramickou tvorbu jak historickou, tak tvorbu hlavních představitelú hnutí. Nejprve chci chronologicky představit keramickou historii na japonských ostrovech, vznikání dílen, proudú, které chci v rámci kategorií rozlišit na keramiku lidovou- mingei a uměleckou (čajovou), a načrtnout mezi nimi rozdíly, které chci v praktické části demonstrovat ukázkami. Poté chci představit společenské události restaurace Mcid7,i a jejich vliv na řemeslnou tvorbu a utváření názorových skupin na počátku 20.století, jejich vývoj, tendence a názory. Následně se zaměřím na vznikající vztahy mezi hlavními představiteli budoucího hnutí, utváření jejich názorú a tvúrčích začátkú až do vzniku hnutí v roce 1926. Po vzniku hnutí chci dále chronologicky představit jeho činnost ve 30. letech, zásluhy, objevitelskou činnost, popřípadě neshody v poválečných letech až do rozpuštění hnutí a také tvorbu hlavních umělecky činných představitelů. V další části mám v úmyslu podrobně popsat koncept mingei, jak ho v knize "The unknown crajisman'" popsal .lanagi Sóecu, s ohledem na všechny aspekty, které lidový výrobek utváří, a také jej chci umístit do kontextu japonské estetiky. Depicting colonial and post-colonial attitudes to imperialism in film: A passage to India

With regard to the novel I would like to conclude this analysis of David Lean's film pointing out that his A Passage to India as an adaptation is a personal interpretation of the literary work, and therefore is unable to correspond with other interpretations and to satisfy the expectation of all viewers familiar with the film. Looking for an explanation of what happened in the caves Lean decided it to be a hallucination of a haunted mind and had to restructure the preceding events of the plot and picture Adela as muddle-headed 'young girl fresh from England' coming to terms with her own repressed sexuality in order to be able to reach this conclusion. Some hold it against him that he falsified the protagonists and manipulated them in his own way to produce a more flattering picture of the British, however, I believe that most of the modifications he has undertaken were to serve the purpose of making a logically coherent story, not to express his own or current political attitudes. As in the case of all adaptations, the choice of actors, depiction of setting and focus on details as a part of interpretation must necessarily lead into certain modification.

The influence of mobility on cultural diversity in unified Europe

This dissertation thesis focuses on the European dimension of cultural diversity, migration, national and European identity, and the knowledge of languages. Languages help facilitating dialogue between cultures according to the strategic goals of the European Union (EU). It is continually difficult for European countries to find the rules of peaceful coexistence between the European and non-European cultures, ethnical groups and religions. In conclusion, a multicultural environment is formed. The EU is based on "unity in diversity", i.e. diversity of cultures, customs, as well as languages. The EU does not aim to erase the differences among individual states, but to support, preserve and honour them through its community programmes, political provisions and recommendations. This thesis is divided into two parts. The first one is the theoretical basis, which introduces the main terms in the area of cultural diversity, and national and European identity. This section also describes the concepts and strategies of the EU, which are then analyzed in the second portion, the empirical part. The chapter in the theoretical part focuses on cultural diversity while introducing cultural policies of the EU and its new strategy for culture in in the globalized world. Contractual penalty and late payment interest under the Commercial Code

Závěr Smluvní pokuta i úrok z prodlení v praxi slouží jako velmi frekventované prostředky právního zajištění závazků, ačkoliv mají různý původ svého vzniku. Nárok na úrok z prodlení vzniká přímo ze zákona, naproti tomu smluvní pokutu si strany musí výslovně písemně ujednat. Úrok z prodlení je v našem právním řádu pojímán jako příslušenství pohledávky, kdežto smluvní pokuta je vedlejším ujednáním stran hlavního závazku a těší se tak větší samostatností. Tato práce nejdříve v prvních dvou kapitolách vymezila pojem smluvní pokuty a úroků z prodlení. Část třetí poté podrobně porovnala oba tyto právní instituty a analyzovala jejich dopady v mnoha oblastech práva, nejen obchodního, ať už se jedná o promlčení, o prodlení s úhradou smluvní pokuty a úroků z prodlení, o rozdílné důsledky jejich nepřiměřené výše, o vztah k náhradě škody a k zavinění, či o odlišný režim zajištění zástavním právem nebo o procesně právní aspekty týkající se věcné příslušnosti soudů nebo placení soudního poplatku. Závěrem lze shrnout, že přes všechny uvedené rozdíly oba tyto instituty patří k významným nástrojům zvýšení právní jistoty věřitele vůči dlužníkovi v obchodních i občanskoprávních vztazích a představují ve značné míře majetkové sankce postihující jednu a tutéž skutečnost - prodlení dlužníka se splněním peněžitého závazku,...

Commands and comments: tha language of "The nine chapters on the mathematical art" and its commentaries

Předmětem této práce je jazyk klasické čínské matematiky, konkrétně jejího stěžejního anonymního díla "Matematika v Devíti kapitolách" a dvou nejdůležitějších komentářů k němu. "Matematika v Devíti kapitolách" (Jiu zhang suan shu ft; UT) je sbírka vzorových úloh a metod jejich řešení z přelomu letopočtu. Ve 3. století n. 1. k ní napsal obsáhlý komentář Liu Hui ~U fit, na začátku dynastie Tang přibyly vysvětlivky Li Chunfenga *#ll a jeho spolupracovníků. Na tomto materiálu lze proto zkoumat nejen samotný matematický jazyk a jeho vývoj, ale také komentáře jako žánr, který má specifické stylové potřeby. Práce se skládá ze dvou výkladových částí: první je shrnutí historických informací o "Matematice v Devíti kapitolách" a jejích komentátorech, druhá analyzuje jazyk jednotlivých vrstev textu a snaží se odhalit hlavní rysy každé vrstvy a jejich rozdíly. Třetí část, zařazená jako příloha, je překlad výběru z "Matematiky v Devíti kapitolách" včetně Liu Huiova a Li Chunfengova komentáře, doplněný mými jazykově-matematickými poznámkami. Pro tištěnou verzi byl překlad silně zkrácen, celý pracovní překlad relevantních částí je obsažen na přiloženém CD-ROMu. Life Goals - An Intergenerational Comparison

This thesis deals with the subject of life goals. It presents selected life goal theories and possible life goal classifications. Attention is also paid to developmental characteristics of life goals in the context of Theories of life-span development. Another related subject is meaningfulness of life - which is closely related to life goals. It outlines philosophical roots of this concept and some psychological theories. The last subject of the theoretical part is psychological construct of well-being, which is presented by selected theories. Empirical part of this thesis is trying to verify the hypothesis that there is a significant difference between the content of important goals of younger and older adults. It also examines the connexion between intrinsic and extrinsic aspirations and Life satisfaction. In order to attain this aim, we used two methods trough two different questionnaires - Satisfaction with Life Scale and Aspiration Index (AI). Samples were made by assessing answers of 962 Czech adult respondents, and the survey packet was distributed to participants online.
