Theory of Decision Making in Public Law and Private Law Corporations

2 Jan Broulík - Theory of Decision Making in Public Law and Private Law Corporations Abstract The thesis analyses Czech legal regulations concerning decision making in bodies of corporations. For the purposes of this analysis it employs mainly the apparatus of the economic analysis of law. Its basic concepts are also outlined. The author focuses on two kinds of legal entities which are public universities and joint stock companies. The ethical-legal connections and the significance of corporate governance in the decision making domain are presented. The analysis of the legal norms shows how reasons of the economic analysis of law correspond with provisions regulating body elections, body competence allocation and the body decision making procedure. The criterion for evaluating the quality of legal norms is effectiveness, meaning an increase of social wealth. The main detected imperfections are a missing provision allowing a long distance voting for joint stock companies' general meetings, a missing tool for the cases where a shareholder breaches his loyalty duty which leads to not passing of a general meeting decision and the mandatory nature of the duty of care. RESUME The times based on one individual's decision about which school to study to be able to choose further continuous and smooth career path has been over. As a result of current global and local social changes everybody should be prepared to the every possible change in career. Nevertheless the first choice of career is still an important milestone and can direct the individual career, but it is not the only key milestone, that determines the individual career once and for ever. People in contemporary world should be able to respond quickly to constant changes, evaluate new situations and be able to make the right decisions. The widespread myth is that success means to raise money as quickly as possible to guarantee the freedom and happiness. But a real success is a contented life, which is a long way over such values as for example certainty that we are doing the work that we like and which fills us with satisfaction. Individual goal is to focus on the abilities and skills so that the decision directs to such a career path where one will be able to optimally exploit one's potential in a future career. The influence of international relations discourse on its actors decision-making

The diploma thesis experimentally examines the influence of the discourse of international relations schools on decision-making of its actors. The hypothesis presumes that the extent of actors' cooperation is influenced by the discursive framing in which the dilemma is presented. The experimental model has been constructed on the basis of iterated prisoner's dilemma which is presented through discursively influenced narratives as an evolving international relations situation. These narratives, representing an independent variable, have been derived from concrete schools of international relations - realism, neoliberalism and constructivism. Participants of the experiment were assigned to particular experimental treatment on the basis of random assignment. The experiment confirmed a statistically significant difference between decision-making of participants assigned to the realist and neoliberal experimental treatment, fulfilling the condition of random assignment which was controlled through control variables. Understanding of the decision-making process was further enriched by a qualitative analysis of interviews with selected experiment participants; the analysis deals especially with the strategy selection process and the strategy application. Irrationality in the perception of money

Irrationality is a phenomenon that can be seen in every aspect of human life. In many cases people do not behave rationally in terms of economic theory and they often do not even realise it. This thesis aims at problem of irrationality in the perception of money and describes anomalies in rational decision-making. First, it introduces the topics that behavioural economics is concerned with and its place among other sciences. It brings the overview of history of behavioural economics and the most influential people that are responsible for its evolution. Next, it briefly summarizes the most common research methods used. After that, the concept of rationality is described, both from classical economics and behavioural points of view. The core of the thesis is the experiment that is an example of irrationality in the perception of money. Studies that examined this problem are presented. Finally, a conducted survey is presented, which detects the presence of irrational behaviour.
Fulfilment of the public interest in monument preservation in the Czech republic

My thesis is concerned with current problems involving fulfilment of the public interest in monument preservation in the Czech Republic. Firstly, the term "public interest" and its conceptual relationship in terms of the monument preservation is explored in the theoretical part of the thesis. Secondly, the current systems of monument preservation in the Czech Republic including the genesis of decision-making processes of municipal authorities under the current law are briefly described. This is followed by an explanation of the connection between the generally proclaimed, yet critically unexplored postulate of "two-track monument preservation". Despite clearly defined policies and competencies, the existing monument preservation decision-making systems and processes seems to be characterized by considerable confusion, and thus seem to bring about some process-based ambiguities and conflicts. The thesis not only aims to identify and analyse these ambiguities and conflicts but also strives to provide a conclusion that proposes some meaningful solutions. Psychological Aspects of Decision Making in Creative Art Process

(in English) The thesis explores decision making in creative artistic process in adults. The aim of this study is to determine what and how the adults reflect during an art activity and its aftermath, as well as what other phenomena occur in the creative process. The theoretical part is divided into four parts. The first section deals with decision making - the terminology and the three theories of intuitive decision making. The second part presents basic knowledge about creativity. The third part deals with the creative process and its models. The fourth one describes two methods used in the research. The empirical part consists of qualitative and quantitative research. The qualitative research was conducted using a semi-structured interview with 14 adults, who drew on stimulus matrix - scribbling, which was created for this purpose. The objective of the qualitative research was to map the decision making in the given activity. The purpose of the quantitative research was to compare the used scribbling method with the Torrance Figural Test of Creative Thinking. The results of both surveys are described in detail and discussed with the available literature. Jan Broulík - Law and Economics and Decision Making Processes in Corporations Abstract The thesis analyses Czech legal regulations concerning decision making in bodies of corporations. The main difference between these two kinds of legal entities, which also impacts the decision-making processes, is the great extent of governmental interventions in public universities. The analysis of legal norms shows how reasons of the economic analysis of law correspond with provisions regulating (i) body elections, (ii) body competence allocation and (iii) the body decision making procedure. The criterion for evaluating the quality of legal norms is effectiveness, meaning an increase of social wealth. European directive on nuclear safety: Council decision making in 2004, 2009 and 2014

Even though nuclear energy was one the first areas in which European countries started integrating their policies through the European Atomic Energy Community (Euratom), the question of nuclear installations safety was only addressed by the EU in the context of the impending enlargement of the Union in 2004. In 2003, the European Commission submitted the first-ever proposal for a European directive on nuclear safety. However, the Council rejected it the following year, opening a five-year-long debate leading to the drafting of a new directive proposal, which was subsequently adopted in 2009. Only two years later, in the wake of the 2011 Fukushima disaster, amending this directive became necessary. Discussions resulted in adopting the amended legislation in the summer of 2014. This master's thesis analyses the main factors influencing the Council's decision-making on either rejecting or adopting the proposed directives in 2004, 2009 and 2014.
