This master thesis focuses on the HR Policies of the Company, such as the recruitment of new employees and take care of present employees. The starting point of these procedures can be found in the theoretical part. The analytical part deals with the current state of the company's procedures which are targeted at high-risk fields. Recommendations concerning the progress of changes targeted at mitigation of risk are made in the last part of this thesis.

Share pledge in a corporation Abstract The thesis deals with the share pledge in a corporation. In the beginning I analyse the meaning and purpose of the lien. The following section deals with pledgeability of a share in a corporation. Firstly, I discuss the pledgeability of a share as an intangible movable asset that represents a set of rights and obligations arising from participation in a corporation and, further, the share pledge in each type of corporation, including the association and unit owners' association. The different rules for shares depend on whether they are in a form of a security or not. Subsequently, I deal with the formation of a lien, while focusing on the various titles from which the lien can arise and the question of the moment of creation of the lien. I analyse in detail the creation of a consensual lien, i.e. on the basis of a pledge contract. This is followed by the creation of an ex actu lien on the basis of a court's approval of an agreement of the heirs to divide the estate, and on the basis of a tax administrator's decision pursuant to the Tax Code, where I also provide practical information communicated by the General Financial Directorate. Internal communication is essential for every company. However it is not always perceived as such. Internal communication is a conveyor of information and company's values. It is based on corporate culture and it also influences in. It affects atmosphere and performance of the company, engagement and overall happiness of employees. It is also related to the rate of their fluctuation. Diversity, which is the key to the diversity of approaches and perspectives, is also comparatively important to the functioning of the company. Diversity brings more effective problem solving or team functioning. In this respect, companies should strive for gender equality in their working environment and take supportive initiatives to help women overcome barriers in the labor market. The Czech Republic is one of the worst-ranked countries in the European Union in terms of gender equality in the labor market. This diploma thesis deals with the interconnection of internal communication and topics related to promoting women in work and personal life. The aim of this thesis is to use qualitative research to find out how selected domestic companies work with these topics in internal communication.

The creditor protection law within corporate debt financing Abstract In this paper I have dealt with the protection of a creditor in debt corporate financing, where the debtor is a capital company. In this case, there are relatively specific conflicts of interest between creditors on one hand and shareholders on the other. This is due, in particular, to the characteristics of a capital company where the shareholders are not liable for the liabilities of the company (or they are limited in their liability) and are not responsible for their decisions, while the assets of the company are separated from the assets of the shareholders. Shareholders and creditors thus make competition for company assets. While the shareholders want to realize their investment as quickly as possible, they stand in an imaginary queue as residual creditors of the company at the end. This may lead to their attempt to overtake fixed creditors. This motivation culminates especially in situations where the company is in financial difficulties. Shareholders are aware of the fact that in case of insolvency, no company assets will be distributed to them. The doctrine of piercing the veil and its application in Czech corporate law The theses concerns with the doctrine of piercing the veil and its application in Czech corporate law. Firstly, the crucial term of the separateness of assets is described as a characteristic feature of a legal subject under Czech law, followed with explanation of the concept of the shareholders' guarantee in the Czech law based on the fact that all companies are legal persons with the asset separateness, even though their function is similar to the partnership. The doctrine of piercing the veil was developed by judiciary decisions dealing with different situations and circumstances, under which the legal separateness of a corporation and separateness of assets are misused by shareholders and creditors (voluntary or involuntary) are harmed. The main question asked is whether in specific cases of "corporate form abuse" law can find a way to reimburse directly the harmed creditors or the company. Based on the description of development of judiciary in the United States, Great Britain and Germany and its conclusions, specific factors for application the doctrine were researched, such as alter ego, instrumentality, undercapitalization, agency, commingling of funds etc. These factors are used differently by courts and can be analyzed...
Statisfaction and Motivation of Employees of Selected Company

The theoretical part of the master thesis presents motivation, its significance for society and for the overall employee satisfaction. The practical part describes the current situation in company, using a questionnaire. Subsequently, the work will focus on the relationship between satisfaction levels and characteristics of employees. In conclusion, there are proposals that will lead to improved current level of motivation and satisfaction in order to secondarily reduce staff turnover.
Law and Economics and Decision Making Processes in Corporations

Jan Broulík - Law and Economics and Decision Making Processes in Corporations Abstract The thesis analyses Czech legal regulations concerning decision making in bodies of corporations. For the purposes of this analysis it employs mainly the apparatus of the economic analysis of law. Its basic concepts are also outlined. The author focuses on two kinds of legal entities which are public universities and joint stock companies. The main difference between these two kinds of legal entities, which also impacts the decision-making processes, is the great extent of governmental interventions in public universities. The analysis of legal norms shows how reasons of the economic analysis of law correspond with provisions regulating (i) body elections, (ii) body competence allocation and (iii) the body decision making procedure. The criterion for evaluating the quality of legal norms is effectiveness, meaning an increase of social wealth. The detected imperfections are for example (i) prevailing filling of bodies of universities in accordance with the principle of seniority, rather than according to the management skills of candidates (ii) the impossibility of protection against breach of shareholder's loyalty duty which leads to not passing of a general meeting decision and (iii) the mandatory nature of provisions...
The shopping centres as a lifestyle determinant

The main subject of my dissertation is a theoretical-empirical analysis of shopping centers as a specific type of subculture. Closer analysis of the shopping center's influence on contemporary lifestyle and consumer behavior patterns is accented. The whole structure of the dissertation is divided into three main thematic sections: 1. Shopping centers in the process of globalization and unification of human culture. 2. Shopping centers as a specific type of institution and subculture. 3. Shopping centers as a determinant of contemporary lifestyle. The source of information and data utilized for processing this dissertation are both theoretical literature and practical observation in Prague's shopping centers. Activity of the Associations in the Kralovice Region as a Part of Modernizing of the Region (from the Second Half of the 19th Century to the First Half of the 20th Century)

This diploma thesis deals with the development of activity of the associations on the territory of former judicial district of Kralovice between the second half of the 19th century to first half of the 20th century. The introductory part is devoted to the origins and general development associations in the Czech countries with regard to the typology and the process of association legislation in a specific timeframe. The next section of this work has been focused specifically on the Kralovice region. Described here is a historical development with emphasis on the period 1848-1949, which is followed by a characteristic shape, a typology of associations and activities in the district court Kralovice. The final section will then detail the associations of Kralovice, their formation, members, activities and influence of corporations on the development and character of the city.
