The doctrine of piercing the veil and its application in Czech corporate law
Piačková, Mária ; Čech, Petr (advisor) ; Pelikán, Robert (referee)
The doctrine of piercing the veil and its application in Czech corporate law The theses concerns with the doctrine of piercing the veil and its application in Czech corporate law. Firstly, the crucial term of the separateness of assets is described as a characteristic feature of a legal subject under Czech law, followed with explanation of the concept of the shareholders' guarantee in the Czech law based on the fact that all companies are legal persons with the asset separateness, even though their function is similar to the partnership. The doctrine of piercing the veil was developed by judiciary decisions dealing with different situations and circumstances, under which the legal separateness of a corporation and separateness of assets are misused by shareholders and creditors (voluntary or involuntary) are harmed. The main question asked is whether in specific cases of "corporate form abuse" law can find a way to reimburse directly the harmed creditors or the company. Based on the description of development of judiciary in the United States, Great Britain and Germany and its conclusions, specific factors for application the doctrine were researched, such as alter ego, instrumentality, undercapitalization, agency, commingling of funds etc. These factors are used differently by courts and can be analyzed...
Litomyšl of Albert from Šternberk
Večeře, Vojtěch ; Zilynská, Blanka (advisor) ; Hledíková, Zdenka (referee)
The medieval study Litomyšl of Albert from Šternberk is a fusion of two historiographical methods. Regionally-historical and biographical. These methods lead to the unusual view of this issue, which had already been established in literature. This paper focuses mainly on the history of bishopric in Litomyšl and its center (town and domain). The author tries to look at this topic through Albert from Šternberk, who was an important imperial prelate-diplomat and also a bishop of Litomyšl during years 1364-1368 and 1371-1380. In order to maintain a complexity of this topic, it is essential to focus on both Alberts live and genesis of young Litomyšl diocese. For this reason the first part of the study is an analysis of emergence and formation of bishopric in Litomyšl, which is followed by a comprehensive study of Albert's political live. Than, the author gets to the very issue of the relationship between the monitored prelate and his Litomyšl dioceses and he tries to look at this relationship from several different perspectives. The reason for using this approach is an effort to speak out against the persistent view, that Litomyšl bishops in the era of Karl IV. (mostly high-ranking politicans and officials) were just "titular" prelates without self-interest in the management of the bishopric. Through...

Entropy and Consumerism in Pynchon's Works
Litochleb, Daniel ; Roraback, Erik Sherman (advisor) ; Robbins, David Lee (referee)
In his works, Pynchon engages the difficult concept of entropy and exposes how certain trends in contemporary culture and society, such as consumerism, exhibit tendencies similar to those of entropy. This observation has disturbing implications for contemporary culture and society, such as eventual cultural heat-death, where new ideas cease to develop, because all the useful intellectual energy has been exhausted. Therefore, I have decided to examine this concept of entropy and how Pynchon engages it in his works "Entropy," The Crying of Lot 49 and Gravity's Rainbow, which expose the main contributors to greater entropy and the disturbing implications of this concept for contemporary culture and society, some of which we are witnessing even today. The two main scientific types of entropy, thermodynamic and that of information theory, are explored by Pynchon in his early short story "Entropy," which I have analyzed in the second chapter of this thesis. As such, this short story provides an unobstructed view of Pynchon's early engagement with the concept of entropy, which increases in complexity in his later works The Crying of Lot 49 and Gravity's Rainbow. The Crying of Lot 49, explored in the third chapter of this thesis, indicates a considerable development of and change in Pynchon's perspective...

Broulík, Jan ; Tryzna, Jan (referee) ; Beran, Karel (referee)
Jan Broulík - Law and Economics and Decision Making Processes in Corporations Abstract The thesis analyses Czech legal regulations concerning decision making in bodies of corporations. For the purposes of this analysis it employs mainly the apparatus of the economic analysis of law. Its basic concepts are also outlined. The author focuses on two kinds of legal entities which are public universities and joint stock companies. The main difference between these two kinds of legal entities, which also impacts the decision-making processes, is the great extent of governmental interventions in public universities. The analysis of legal norms shows how reasons of the economic analysis of law correspond with provisions regulating (i) body elections, (ii) body competence allocation and (iii) the body decision making procedure. The criterion for evaluating the quality of legal norms is effectiveness, meaning an increase of social wealth. The detected imperfections are for example (i) prevailing filling of bodies of universities in accordance with the principle of seniority, rather than according to the management skills of candidates (ii) the impossibility of protection against breach of shareholder's loyalty duty which leads to not passing of a general meeting decision and (iii) the mandatory nature of provisions...
