The protection of minority shareholders' rights

Minority shareholders' rights protection The subject of my Master's degree thesis deals with the minority shareholders' rights protection. With respect to the complexity of the subject, I have decided to focus only on some selected matters, namely the protection of rights of minority shareholders according to the Sec. 181 and 182 of the Commercial Code and the minority shareholders' right to terminate their participation in the company if their legal position in the company changes substantionally. The goal of the paper is to submit a complex view of the issues mentioned above, with regard to the analysis of the literature and respective decisions of the courts and, ideally, to draw the reader's attention to disputable parts of the issue and set down possible solutions. The rights listed in the Sec. 181 and 182 may be enforced only by the minority shareholders whose participation in the capital stock represents the percentage of at least 3 % or 5 % in case the company's capital stock amounts to more than 100 000 000 Kč or at least 100 000 000 Kč, respectively. Female education in the Czech countries in the 19th century and the break of 19th and 20th century

One of the key elements of the emancipation process of Bohemian women in 19th century was the beginning of girl's education. It represented an important role in the development of the society those days and helped to change the acceptance of the social role of women and girls. Graduation theses is focused on the development of girl's education at the 19th century and at the beginning of the 20th century. Its aim is to cover the beginning of all types of secondary and technical schools and their specifics. Attention is also focused on beginnings of women's college education. Thesis is divided into four thematically different chapters. First one brings brief information about the emancipation process in the historical circumstances of the 19th century. Second chapter describes education of girls in the first half of the 19th century. Following chapter evaluates the development of the girl's education in the second half of the 19th century and contains a lot of information from this period. It brings information about Higher girl's school in Prague, educational activities of the women's clubs and also the foundation of the first Bohemian Grammar school in Prague. Salieri's Axur Re d'Ormus in Prague 1788

The master thesis deals with the Antonio Salieri's opera Axur, Re d'Ormus and its premiere in 1788 at Nostitz Theatre in Prague. First part of thesis represents source research. On the basis of printed librettos, playbills and periodicals we can observe presence of Salieri's operas in repertory of Prague theaters from 1773 to 1806. Main part of thesis constitute musical and dramatic analysis of Salieri's Axur. This analysis is focused to Prague "version", which represents printed libretto. Musical and textual sources, used in analysis, was furthermore properly investigated. Through mutual comparison was suggested stemma, indicated to relations between these sources and simultaneously to processes, proceeded during transfer of work between particular theaters. I pay attention especially to axis Vienna-Prague-Dresden in period 1788-1789.

Granada elites in the 15th century

Th e work deals with the inner history of the Nasrid emirate in the fi fteenth century, emphasizing the behaviour of the elite families and their relationship to the ruling power. According to the analysis of the contemporary sources the author determined the genealogy of the most prominent families. He subsequently concentrates on their mutual relationship, their action during the coup, and their ruling power in the course of the fi fteenth century. What emerge here as dominant elements are Muhammad IX.'s elites. As they participated in every single coup, they gained substantial power and to a large degree contributed to the decline of the emirate. Th e author pays attention to the growing power of the Granadan families' high representatives to the exclusion of the king's power, which resulted into the disintegration of the emirate. It's the attendant phenomenon on the events of the fi fteenth century. Th e work also deals with the fi nal confl ict among the elite families in the Granadan War, which was the culmination of the dynastic argument and entailed the decline of the emirate.

Cointegrated Time Series Models

The thesis deals with the concept of cointegration which represents appropriate tool in the analysis of nonstationary processes. First we summarized most commonly used test for the presence of the unit root in individual time series. Next we concentrate on the models which are commonly used in the cointegration analysis of the time series. We are extensively described error-correction (EC) model which could be used in the analysis of few cointegrating relations. We also pay attention to testing of the linear restrictions on cointegrating relations and testing the hypothesis of weekly exogeneity of examined series by employing likelihood ratio. For the single equation cointegration analysis we described autoregressive distributed lags model (ADL) in detail. We illustrated straight connection between EC and ADL models. Next we introduce the models VAR, VMA, Phillips triangular representation and cointegrating regression.We were concerned with description of relationships between models and we summarized their advantages and disadvantages. Final we illustrated theoretical results in the analysis of the real time series. The theme of the work are questions of future planning or more precisely choice oí subsequent educational career and incoming profession by the pupils of the ninth grade of elementary level sehool. Ending of the compulsory school attendance and the choice ol next way of education represent an important sociál turning-point in the life of schoolchild. fhereabouts I was interested in the process of children's making decision on their intermediate school. Also I was concerned with pupifs motives of the selection of concrete second school. The aspiration of the work is to come to the most important iactors which affect and determine the choice of the intermediate school and consequently also the area of the future official position. fhere were chosen pupils attending the elementary level school oriented on the design and visual arts for purposes of this work. In this work is attention paid to the schoolchildren which dispose of specifíc direction within the frame of elementary education.

We recall main results and ideas of Pietro Benvenuti in the field of aggregation operators, starting with composition laws in the area of information measures in 1969. Next, fuzzy integrals and measures of fuzziness turned his attention to a detailed study of pseudo-additions and pseudo-multiplications. We give the main stress to his recent idea of representing aggregation operators as families of fuzzy measuers.

The position of creditors in reorganization

Act No. 182/2006 Coll., the Insolvency Act, represented big changes on the field of the Czech bankruptcy law. One of these changes was introduction of a new way of dealing with bankruptcy - the reorganization. It provides the debtor, who is in a difficult financial situation, with a chance to save his business. Reorganization represents a sanation form of bankruptcy proceedings and it is thus an alternative to a typical liquidation form of dealing with bankruptcy. The Insolvency Act strengthened the position of creditors in the bankruptcy proceedings. They have new powers and a greater influence on the ongoing proceedings. This thesis deals with the position of creditors in the reorganization. It analyzes their rights and obligations through the whole process of reorganization. The thesis begins with a definition of creditors and special creditors' bodies in general and defines basic terminology used in the thesis. This is followed by a description of the process of reorganization itself in chapter two. The foreign legislation as an inspiration of the Czech legislature is placed at the beginning of this part. A number of conditions have to be met that the court may authorize the reorganization. A bankruptcy of a debtor is a basic prerequisite. In chapter three, the attention is paid to the creditor...

Mergers and acquisitions in the banking sector

This bachelor's thesis focuses on mergers and acquisitions in the banking sector, which represent an important investment activity of banks. The theoretical part of the thesis is dedicated to the general motives that lead to these activities, with a gradual inclination to the banking environment in the EU. Attention is also paid to the successfulness of these operations, from which the reader can become familiar with the results of observations, focused on five large European bank acquisitions. In a similar manner, further observations are applied to the Czech banking environment, specifically in three cases of bank mergers. The influence of the global financial crisis on these activities is mentioned in the last part of the thesis.

Petr Blinka Climatological evaluation of drought on the territory of Bohemia and Moravia in the years 1875-2002 thesis Abstract The thesis arose with the support of the project "Long-term changes in the regime of occurrence of extreme drought in Czechia". The drought evaluation was based on 8 weather stations which were chosen according to the length of their measurement. They represent the climate of lower and central positions. Two main aims are followed: quantification of drought severity in calendar units (years, vegetation seasons - months April till September) and determining of most considerable dry spells. Beside two new indices DI and EvaDI the drought severity was also quantified by EDI which is based on the concept of the effective precipitation method proposed by H. R. Buyn a D. A. Wilhite. We paid special attention to the weather station Prague-Klementinum for which we estimated values of daily potential evapotranspiration. We used these estimates together with daily precipitation values for calculation of three other new drought indices EDImod, EDI2 and EvaDI2. We determined the most considerable dry spells by using the effective precipitation method. We also tried to identify dry spells which occurred at the same time at all weather stations.
