Sale of an enterprise or its part
Valešová, Radka ; Čech, Petr (advisor) ; Oehm, Jaroslav (referee)
76 Resume: My thesis deals with a sale of an undertaking according to the Czech legal system in a complex way. First, I have to describe what the legal meaning of notion "undertaking" and "part of undertaking" according to the Czech legal system is. According to the Commercial Code an undertaking is composed of material, immaterial and personnel components. However, there is no legal definition of a part of an undertaking. There are special provisions on Contract on Purchase of an Undertaking in the Commercial Code (s. 476 - 488). The essential features of this contract are the following: determination of an undertaking, commitment of the seller to hand over the undertaking and to transfer the ownership right over it to the purchaser and on the other hand the commitment of the purchaser to pay the price of the undertaking and to take over all obligations related to the undertaking. In my opinion there are three key issues that arise when speaking about sale of an undertaking and these are as follows: transfer of rights and obligations related to an undertaking, scope of competencies of a General Meeting as to the issue of sale of an undertaking and the Competition Law approach to this issue. As to the transfer of rights and obligations related to the undertaking, it is very important to protect creditors of...
Latin West mirrored by the Byzantine historiography (6th-8th centuries)
Bakyta, Ján ; Drška, Václav (advisor) ; Picková, Dana (referee) ; Bednaříková, Jarmila (referee)
The basic aim of the thesis is to investigate whether the Romans of the East (Byzantines) during the 6th to the 8th centuries were interested in the Latin west and the imperial rule over it. In the first part of the work, the various discourses concerning the origins of the Justinianic conquest or reconquest of Africa and Italy articulated in the contemporary sources are identified and evaluated; the only one which cannot be shown or supposed to have been officially articulated is the discourse of a source of Pseudo-Zachariah Scholasticus which makes African and maybe also Italian exulants complaining in the imperial court about the local rulers responsible for the Vandal and Gothic wars. After some other preliminary studies (e.g. concerning the so-called problem of Theodericʼs constitutional position), it is concluded that the emperor Justinian was not interested in an ideologically founded restoration of the empire, but made the western wars because of his contacts with western aristocrats. In the second part of the thesis, the presentation of the Justinianic western wars and western events or realities in the works of the Byzantine historians from Marcellinus Comes and Procopius to Theophylactus Simocatta (the 6th to the early 7th centuries) is investigated and an attempt is made to explore...
Why Japan cancelled the deployment of the Aegis Shore missile defence system
Aritake, Shuhei ; Kolmaš, Michal (advisor) ; Riegl, Martin (referee)
Despite the worsening security situation in East Asia, in 2020, Japan suddenly and abruptly canceled the deployment of the Aegis Ashore missile defense system. Why is that? I argue that neither the often-cited neorealist theory nor the official government explanation well define the reasons that lead to the cancellation. Instead, I build on the neoclassical realist paradigm and illustrate three key components that led to this abrupt political change: ShinzoAbe's leadership, changes in domestic political decision-making process, and the role of external actors (US and China). The research found out that personal and politico-cultural factors play essential roles in Japanese decision-making in addition to systemic pressures. The relationship with China also had played a vital role in making security policy. The combination of individual, domestic and systemic factors provide a holistic picture of how and why such a decision has transpired. Targeted analysis and metabolism of fatty acids in mice and humans
Oseeva, Marina ; Kuda, Ondřej (advisor) ; Cahová, Monika (referee) ; Vrkoslav, Vladimír (referee)
Widespread sedentary lifestyle and unhealthy eating habits in the last few decades have resulted in a dramatic increase of the number of people affected by obesity, type 2 diabetes, and cardiovascular diseases. The study of these pathological conditions revealed that impaired metabolism often causes these disorders. Lipid metabolism research has contributed significantly to determining mechanisms underlying metabolic disorders. Omega-3 fatty acids are an interesting target for lipidomics studies because they were shown to lower risk of cardiovascular diseases and are hypothesized to regulate lipid metabolism. In this work, I optimized lipid extraction and chemical modification methods for analysis of fatty acids profile of tissue samples and biofluids using comprehensive two-dimensional gas chromatography coupled to mass spectrometry (GCxGC-MS). At first, I evaluated the relative amount of omega-3 fatty acids in red blood cells (Omega-3 index) of people living in Czech Republic in either the capital city (n=476) or the rural region (n=388). For this large-scale project, I extracted phospholipids from red blood cell (RBC) membranes, transesterified them into fatty acid methyl esters (FAMEs), and measured their profile by GCxGC-MS. The mean Omega-3 index was 3.56 mol % and I detected no significant...
The concepts of sense of coherence and sense of national coherence as predictive resources of mental health during the COVID-19 pandemic
Miková, Barbora ; Šípová, Ivana (advisor) ; Rodriguez Manchola, Mabel Virginia (referee)
Given the negative consequences the COVID-19 pandemic has brought to both the physical and mental health, there is a growing need to find the ways how to support and strengthen psychological resilience and mental health of the individuals in such an unprecedent situation. Consequently, this thesis explores the A. Antonovsky's salutogenetic model of health with a focus on the concepts of sense of coherence (SOC) and sense of national coherence (SONC) as potential predictors of mental health during COVID-19 pandemic. In the theoretical part, the topic of mental health, it's coneptualisation and predictors are presented, with an emphasis on the concepts of SOC and SONC. Additionally, the review of present research on mental health during COVID-19 pandemic is included. The research project analyses the data obtained through an online survey as a part of an international research study investigating the predictive factors of mental health during COVID-19 pandemic. Data collection in Czech sample was conducted in December 2020 and January 2021, using the Mental Health Continuum, SOC-13 and SONC scales. The sample included 476 participants. Multiple regression analysis confirmed the SOC as a significant predictor of mental health during COVID-19 pandemic among Czech sample. However, the predictive value...

Local and systemic application of tranexamic acid in heart valve surgery: a prospective, randomized, double blind LOST study SUMMARY The study was performed to examine a possible augmentation of systemic administration of tranexamic acid by the additional topical application during heart valve surgery in the post-aprotinin era. One-hundred patients were enrolled in the study and all the patients were given tranexamic acid intravenously. The participants were randomized into two groups (A, n = 49; B, n = 51), and before commencing the sternal suturing, the study solution (group A: 250 ml of normal saline + tranexamic acid 2.5 g, placebo group B: 250 ml of normal saline) was poured into the pericardial cavity. The cumulative blood loss (geometric means [95% confidence intervals]) 4 h after the surgery was 86.1 [56.1, 132.2] ml in group A, and 135.4 [94.3, 194.4] in group B, test for equality of geometric means P = 0.107, test for equality of variances P = 0.059. Eight hours after the surgery, the blood loss was 199.4 [153.4, 259.2] ml in group A, 261.7 [205.1, 334.0] ml in group B, P = 0.130 and P = 0.050, respectively. Twentyfour hours postoperatively the blood loss was 504.2 [436.0, 583.0] ml in group A, 569.7 [476.0, 681.7] ml in group B, P = 0.293 and P = 0.014, respectively. The proportion of patients...
Návrh indikátorů kvality městského prostředí pro systémy zeleně sídel
Štefl, Lukáš
The dissertation thesis details the issue of qualitative assessment of urban greenery at different levels of its hierarchical system (system of urban greenery -- area (object) of greenery -- vegetation element). The proposed indicators were verified by practical assessment in the City of Ostrava. The indicators of spatial structure and composition of system of urban greenery were verified by the assessment of greenery areas of citywide importance and then on urban districts Poruba and Michálkovice (totally were evaluated 476 greenery areas). Proposed indicators proved the differences in a spatial structure and composition of individual systems of urban greenery as well as differences in spatial relations of various functional types of greenery. Quality indicators of basic areas (objects) of greenery were verified by the assessment of 83 greenery areas of citywide importance. This group of indicators pointed to differences in the overall quality of individual areas of greenery as well as in the quality of partial factors that are involved in the final state of areas. Significant deficiencies of individual areas were mainly unsuitable age structure (56.63 % of the areas), high need of recovery or cultivation measure (45.78 % of the areas), low level of qualitative state of technical elements (28.92 % of the areas), or complete absence of recreation and facility elements (26.51 % of the areas). A total of 22.89 % of the areas did not fulfil their functions and were assessed as unstable areas. Indicators of quality of vegetation and technical elements were verified on compositional elements constituting 83 areas of citywide importance mentioned above. In total it was assessed 9962 pcs of vegetation and technical elements of a total area of 186.69 hectares. Indicators give detailed information on the true state and quality of these elements. Quality of each elements and quality of its maintenance care was different. Quality varied within individual types of elements as well as within individual functional types of greenery. Among the elements found in a significant proportion in below average (low) qualitative state ranked lawn areas (40.33 % of their total area) and vegetation elements compound of woody species, especially woody species stands (52.62 %) and groups of trees (46.88 %). The results and their interpretation clearly show that the recommended indicators proposed in this thesis are tool for the exact assessment of state and quality of urban greenery system at its individual hierarchical levels. Explanatory power of proposed indicators enables their direct application and use in the urban greenery management.
Surge Arrester Modelling Using Alternative Transient Program
Bukvisova, Zuzana
This paper deals with surge arrester modelling in EMTP ATP software. Two commonly used models are presented – Pinceti and Fernandez-Diaz model. In this text, the procedure of model parameters calculation is also described. Both models are then tested using a current impulse of different wave shape and amplitude and the residual voltages obtained from the simulation are compared to the data from the surge arrester manufacturer.

Macháček, Michal ; Rychlík, Jan (advisor) ; Kvaček, Robert (referee) ; Letz, Róbert (referee)
Bibliographic record: Michal MACHÁČEK: Gustáv Husák. A Political Biography with Special Emphasis on Czech-Slovak Relations in 20th Century, PhD. thesis, The Faculty of Arts at Charles University 2017, 476pp. [784 standard pages]. Abstract The dissertation thesis discusses public activities, thoughts and the political life of JUDr. Gustáv Husák, CSc. (1913-1991), who was involved in the Czech-Slovak public space for sixty years with a significant footprint even today. The text is based on a thorough research and is chronologically structured, intertwined with thematic areas, however an analytical approach prevails. The first chapter focuses on Husák's youth, the factors that led him to the communist movement, and his early activism. This is followed by a portrayal of the Husák's activities during the Second World War, his role in the resistance, participation in a propaganda trip to the Nazi conquered Ukraine, and his vision of Slovakia as a republic of the Soviet Union. His later involvement in the Slovak National Uprising provided the legitimacy of his later political career in the post-war era, when he successfully led the struggle for the communist monopoly of political power in Czechoslovakia and attempts to present the Communist Party of Slovakia as a national party. Next two chapters show the origins...
