Incidental disputes with the focus on ineffectiveness and contest of legal acts Abstract The rigorous thesis deals with the topic of incidental disputes, focusing on ineffective and contestable legal acts. Incidental disputes are conflicts triggered by insolvency proceedings, as stipulated by insolvency law, and are adjudicated within the framework of insolvency proceedings. Managing incidental disputes represents one of the pivotal activities of an insolvency administrator. This work is divided into 7 chapters. The first chapter provides an introduction to the issues of incidental disputes defined in the insolvency law and general rules for the management and adjudication of these disputes. The second chapter is dedicated to general provisions regarding the ineffectiveness of debtor's legal acts under insolvency law and the obligations of persons to return performance from ineffective legal acts. The third chapter outlines practical procedural information related to the management of incidental disputes based on the opposition lawsuit filed by the insolvency administrator. The fourth chapter meticulously characterizes the factual nature of debtor's ineffective legal acts without adequate consideration. Incidental disputes in Czech and European law As disputed issues may arise during the insolvency proceedings which generally need to be resolved before the insolvency proceedings are concluded, but which may often be truly challenging to assess due to their nature, it is possible for the court to separate these disputes into ancillary insolvency proceedings, where these issues are put to rest and thus there is no need to burden the main proceedings. These disputes are referred to in the Insolvency Act as incidental disputes. This thesis describes the whole course of insolvency disputes, the characteristics and nature of all the different types of disputes designated as incidents by the law and their comparison with the European Union and German legislation. The first part of this thesis is devoted to the general regulation of the initiation and conduct of incidental disputes, which is similar to the regulation of ordinary court proceedings, and therefore the emphasis is placed on the differences between these regulations and on highlighting the essential institutes related to the disputes arising from insolvency proceedings. The topic of this thesis is ineffectiveness of legal acts within the insolvency proceedings. This legal concept forms an integral part of modern insolvency law, since it can be considered an essential and the most frequently used instrument, on the grounds of which the insolvency trustee is able to challenge the insolvent debtor's fraudulent acts that are detrimental to their creditors, who are exercising their rights within the insolvency proceedings. Otherwise stated, this legal concept is crucial for the purposes of protection of the debtor's creditors within the insolvency proceedings. The aim of this thesis is to provide a comprehensive analysis of the effective legal framework of ineffectiveness of legal acts within the insolvency proceedings, as well as of current doctrinal opinions, specialised publications and relevant decision-making practice of courts. The thesis is not limited to a mere adoption of the aforementioned sources, as at many parts of the thesis these are being disputed, criticised or confronted with the author's own conclusions. The ineffectiveness of legal acts in the Czech law

The dissertation deals with the historical elements of the ineffectiveness of legal acts, and the tradition of this legal institute in the territory of the Czech Republic, whereas the concept of such a legal institute pursuant to Roman law is not left aside, either. The terms of the legal act are defined there as well as the absolute and relative ineffectiveness of legal acts. The dissertation focuses on the relative ineffectiveness (defeasibleness, the right of defeasibleness) of the legal act, namely with regard to other "defects" of the legal acts (nullity, invalidity, withdrawal from the contract etc.) as well as with regard to other systems of the creditor's protection (within the scope of the common civil law, corporate law, insolvency law and the criminal law instruments). The dissertation pays attention to the issue of the name of the defeasibleness right institute, to its purpose, forms (based upon defeasibleness as well as upon statutory ineffectiveness), and to the defeasibleness action. Relative Ineffectiveness of Legal Actions in a Comparative Perspective

1 Relative Ineffectiveness of Legal Actions in a Comparative Perspective Abstract The thesis at hand deals with Sections 589 to 599 of the Civil Code which governs the relative ineffectiveness of legal acts. Thus, it probes provisions designed to legally and economically protect the creditor from a fraudulent conveyance of a debtor. The aim of the thesis is to interpret the afore-said provisions in a way that would comply with the sense and purpose of the explored legal institution. In that respect, an emphasis is laid on a comparative analysis of Austrian and German approach both having tradition lasting more than 130 years. On top of that, the thesis describes the conception adhered to in the Czech territory between 1950 and 1964 and especially before 1950 when the Acts on the right to contest were in effect. The knowledge gained is subsequently confronted with the current Czech legal doctrine and case-law of the highest courts that relates to the interpretation of Sec. 42a of the Civil Code from 1964. The author tries to examine and eventually reassess the existing approach in the light of comparative findings. Especially recent case-law of the Supreme Court of the Czech Republic is being deeply analysed. Those conclusions which mostly comply with the meaning of law and its purpose are being preferred....

Nullity and inefficacy of legal acts in bankruptcy proceedings This thesis deals with description of nullity and inefficacy institutes of legal acts, especially with focus on bankruptcy proceedings. Such legal acts shorten the debtor's assets and the institutes of nullity and inefficacy allow to return the lost property back to the debtor's assets. This thesis is divided into six chapters which are subdivided into subchapters whilst the most important part is formed by chapters 4. and 5. The first chapter deals with the basic definition of bankruptcy proceedings, it also describes the basic principles and principles of bankruptcy proceedings which are also important for understanding the institutes of nullity and inefficacy of legal acts. There is approached the issue of the actionability of legal acts in bankruptcy proceedings in general view and in the whole chapter's conclusion I have highlighted the criminal law overlap of this topic with focus on the offense of favoring the creditor.
