Selected matters covered by statutory provisions on shareholders protection as set out in the commercial code

This dissertation looks at selected matters covered by the statutory provisions on the shareholders protection as set out in the Commercial Code. It focuses mainly on the matters contained in Section 196a of the Commercial Code, Section 193 (2) of the Commercial Code, and on the issue of financial assistance. In addition, this dissertation deals with the legal protection of shareholders under the Business Corporations Act which is to take effect on 1 January 2014, and provides a brief outline of how these matters are regulated under certain foreign laws. As well, it provides a comparison with the legal regulations of the European Union. This dissertation is comprised of three sections, each having several parts. The parts are further divided into articles. Section 1 analyses the statutory provisions on the protection of shareholders as given in the Commercial Code, and is divided into four parts. The introduction, given in Part I, focuses on the protection of shareholders under the Commercial Code in the general sense. The remaining three parts concentrate on the above said selected statutory provisions. OF DIPLOMA THESIS An impact of incapacitation of a limited company upon legal theory and practice Author: Josef Kříž Supervisor: JUDr. Petr Čech, LL.M, Ph.D. Department: Department of Commercial Law The main purpose of my thesis was to analyse the significant change in the concept of limited company, i.e. old-new concept of the members of statutory body as agents of the company. However, I conceived a thesis more generally as analysis of the question of whether the New Civil Code and the Business Corporations Act incapacitated limited company or not. The thesis is divided into five main chapters, including an introduction and a conclusion. In the second chapter I try to reconstruct legal thinking of First Czechoslovak Republic on this issue, because its reference by the New Civil Code. Although views on the status of a statutory body of legal persons and the legal capacity of a legal person were different, I came to the conclusion that there was more or less consensus that members of statutory body are agents of legal persons. Legal guarantees ensuring independent exercise of the parliamentary mandate

This PhD. thesis is dedicated to the legal regulation of instruments presenting guarantees of the independence of the member of parliament during the performance of his/her functions. The aim of this thesis is in particular to present a comprehensive picture of the topic concerning protection of independent performance of the parliamentary mandate, evaluate the Czech legal regulation in force and, last but not the least, to find an answer to the question to what extent is the Czech legal regulation in force complete and effective as well as present possible alternatives de lege ferenda. Member of parliament must be independent with regard to all aspects of the exercise of his/her mandate. Independency of the member of parliament is necessary precondition for his/her ability to exercise the mandate in such a way, which will enable him/her to face external pressures, not only from the state bodies, but also from other subjects or phenomenons. Instruments protecting independent performance of the mandate also support the possibility of members of parliament to fulfil their role freely and as a result to constitute working parliament. Current Legal Issues of Bank Regulation - Resume This thesis paper deals with issues that can be found in relation with bank regulation. At present, globalized world, banks as important financial intermediaries play a major role. Banks are present in our daily lives and whether or not we want to, they facilitate our everyday operations with the money, investment of free monetary resources, and also borrowing of money. We got accustomed to the convenience that the use of various banking services provides. Equally important are the services of banks for businesses enterprises, various investment companies and funds, and also the countries themselves (the governments). Failure of this system, now that so many subjects are dependent on it, could have far-reaching negative consequences. The bank regulation and its instruments serve as a protection against the rise of adverse consequences. With the growing importance of banks in our society, the importance of their regulation grows as well. But even this may not represent perfect protection and bank regulation may conceal other unforeseen problems. Constitutional Contradictions of the Draft of the Conflict of Interest (Chamber Print No. 1056): Study 1.163

Studie se zabývá rozborem některých diskutovaných ustanovení návrhu zákona o střetu zájmů (sněmovní tisk č. 1056). Autorka studie dochází k závěru, že návrh zákona o střetu zájmů je psán bez zřetele na základní zásady ochrany základních práv, bez zřetele na základní zásady soudního nebo správního trestání, bez zřetele na dosavadní správní a soudní kodexy a možnosti jejich aplikace. Tento rys není způsoben špatným úmyslem předkladatele, ale tím, že jeden zákon má obsáhnout střet zájmů různých funkcionářů. Střet zájmů různých funkcionářů však musí být upraven rozdílným způsobem tak, aby zásah do jejich práv byl vždy minimální a zároveň úměrný odpovědnosti, kterou funkcionář má (a tím i veřejnému zájmu, o který jde). Zatímco střet zájmů u členů Parlamentu je možno řešit zvláštním autonomním orgánem Parlamentu, je střet zájmů vedoucích úřadů třeba řešit zákonem o státní službě, střet zájmů soudců prostřednictvím trestního práva a střet zájmů běžných zastupitelů krajů a obcí pravidly pro kraje a obce, které by střet zájmů znemožnily zevnitř. Navržený zákon je souhrnný, a proto obsahuje řadu bodů, které jsou v rozporu s různými ustanoveními ústavního pořádku. Autorka provokativně konstatuje, že Rady pro posuzování střetu zájmů mají rysy lidových soudů, nejsou nezávislé a zcela odporují zavedenému systému státních orgánů. Studie je pro srovnání doplněna o rozhodnutí Ústavního soudu Slovenské republiky a zákon č. 335/2005 Z. z. o prokazování původu majetku.

Promoting protection of cultural values in protection of woody plants

A diagnostic feature of objects of garden and landscape architecture, that are recognised as cultural monuments, are growing elements, of them indisputably the most important category are the elements of woody vegetation - trees and shrubs. These, however, are besides the cultural preservations subject to nature and landscape protection, as they have biological and aesthetic values, as well as ecological values. For this reason they are subject inter alia to protection provided by nature protection bodies according to the Act on nature and landscape protection. Interests on protection of woody plants from the prospective of cultural preservation on one hand and the prospective of nature and landscape protection on the other, may depending on the specific circumstances supplement each other or may be indifferent, but they may also differ and collide with each other. These methods are a new instrument for effective promotion of interests on cultural preservation in decision-making on the protection of woody plants outside forests. The methods provide with a comprehensive set of recommendations, both substantive and procedural, how bodies of cultural protection and owners of cultural monuments or other entities concerned should proceed when dealing with trees growing outside forests. The recommendations are defined for basic model situations.

The legal status of a board of directors’ member in a joint stock company after the recodification

New legal regulation of the private law contained in the New Civil Code and the Business Corporations Act has brought plenty of changes also in the status of a board of directors' member in a joint stock company. Both codes have brought new terminology, new institutes and clarification of the rules known from the legal regulation before the recodification. On one hand there is certain loosening in the decision making of statutory bodies of business corporations, on the other hand there is tightening of sanctions for cases of failure. This diploma thesis introduces major institutes of legal regulation related to the status of a board of directors' member and provides a basic comparison with the legal regulation before the recodification.
