Share in a limited liability company as an object of legal relations, equity instrument

The private limited liability company, as the most frequently used type of business corporation in the Czech Republic, has recently undergone significant changes concerning its legal regulations due to the recodification of private law. This thesis focuses on the share in the limited liability company and the equity instrument (the share certificate), by which the share can be represented, along with the transfer of the share. The treatises aims to identify interpretational disputes arising from the recently enacted civil and corporation codes and, while using resources available at the moment, attempts to adumbrate possible outcomes and solutions. The work itself is divided into five chapters. First chapter provides general description of the notion of the share in the limited liability company and defines its nature. Further, possible variations of issue of shares in the limited liability company such as issue of different classes of shares and the option of ownership of multiple shares in one company are examined. In the second chapter, the concept of the share as a thing in itself (personal property) and the selected implications of this concept are discussed. Share in a limited liability company as a subject of legal relations; equity certificate The master thesis analyses the issue of the transfer of a share in a limited liability company including the possibility to incorporate a share into an equity certificate. The main purpose of this study is to introduce in detail the different phases of the tranfer of a share, an equity certificate and draw attention to several interpretative problems related to the new law of business corporations. Besides the applicable law, which is purposefully subjected to the comparison with legal regulation before the recodification of private law, the work examines the legal literature, including periodicals, and still aplicable case law of the Czech courts. The thesis is divided into five chapters. The first chapter looks briefly at a share in a limited liability company and its definition as a subject of legal relations. The second chapter deals with the modes of the transfer of a share and the preconditions of its realization in the form of obtaining the relevant permissions. This section also outlines possible consequences of not giving the necessary consents with the transfer. This thesis focuses on legal questions of a business share in limited liability company and its transfer. The subject of the analysis is legal regulation of the transfer of the share, a contractual autonomy of shareholders given by the Commercial Code and relating to the transferability of the share and a contract for the transfer of the share. Business Share in a Limited Liability Company as a Subject-Matter of Legal Relations

In my dissertation I analyse the issue of the transfer of a share in a limited liability company which is one of the most common legal dispositions with the share. The work is based on the new legal regulation of private law which will come into effect on 1 January 2014 but at the same time it compares the existing and new legislation. Besides the applicable law, the work examines the legal literature, periodicals, as well as the case law of the Czech courts. The main contribution of this work is to provide a possible future interpretation of some institutes associated with the transfer of a share as well as to point out the changes that the new legislation will bring. The work is divided into five chapters whereas each of the chapters focuses on the specific issue of the share transfer. The first chapter defines the share in a limited liability company and introduces it as an eligible subject-matter of the legal relations. The second chapter deals with the various modes of the transfer of a share and certain preconditions of the transfer of a share such as the consents with the transfer and the necessary respect of the duty of loyal behaviour of the company's members. The purpose of my thesis is to analyse the legal regulation regarding the transfer of the business share in a limited liability company in the Czech Republic. I have chosen this topic because of a lack of its legal regulation on the one hand and controversy and topicality on the other hand. The study analyses relevant law, commentaries, books, articles and case law. Moreover, it also compares the current legal regulation with the new legal regulation represented by the new Civil Code and the Act on Commercial Corporations. The main contribution of this paper is in providing a critical perspective on the current legal regulation and also the comparison with the new one. The thesis is composed of five chapters, each of which deals with different issues connected with both the transfer of the business share and the agreement on the transfer of the business share and a comparison with the new regulation. Color-to-Grayscale Conversions

Grayscale pictures were never replaced by color ones and will probably never be, because they are indispensable in many areas. In this thesis was chosen three methods for color-to-gray conversion. These methods was implemented afterwards. Within this thesis was also made test set of 24 HDR pictures, which was together with existing set of 24 LDR pictures used to test and evaluate features of implemented methods. These methods were also compared from the point of accurancy and preference using questionnaire.

PowerPoint is an excellent tool for creating presentations and people are accustomed to using it. Its only handicap is that it is not installed everywhere and it exists in numerous versions. But there is an application that is installed almost everywhere and that application is the web browser. This work aims to create the PowerPoint presentation viewer for the web browser. With the internet as the environment, it may have a wide range of applications from the content sharing point of view. The solution is a web application that allows to upload the PowerPoint file and then the application displays the content of the file. The application also offers functionality such as navigation between slides and full-screen mode. The rendered slides in the web browser are very similar to the slides in PowerPoint. It does not support advanced features, but it supports displaying text, pictures, video and audio. Further, it supports basic styling options such as colours, margins, position and line height.

Mechanical design of rotary satellite antenna polarization system

The aim of this bachelor thesis is mechanical design of rotary satellite antenna polarization system. It is a part of a mobile satellite antenna positioned on the roof rack of a passenger car. Device must be designed to achieve precise positioning and smooth running. It must also resist moisture and temperature fluctuations. For this application, there has been selected and developed solution with toothed belt. The thesis includes a selection algorithm of drive, belt and bearings. The achieved polarization angle is 180 °. The results of this paper can be used to produce a functional mobile satellite antenna polarization.

MySQL and MS SQL Database Synchronization

This thesis describes the synchronization of MySQL and MS SQL databases . It explores and describes differences between these two database servers and further designs and implements alghorithms for their safety and economicaly favourable synchronization . Designed methods are implemented in a console application afterwards . Two case studies are used as an illustrative of its work . The result of this thesis is a manual on how to successfully convert MySQL database to MS SQL database (and vice versa ) and the convert application itself .

Porting NetCOPE Platform to EDK

This bachelor's thesis deals with porting of NetCOPE to Xilinx Embedded Development Kit (EDK). Main task is to create annotation of NetCOPE hardware for using in EDK. Before implementation of annotation itself, it is necessary both to study FPGA technology, possibilities of FPGA progamming, NetCOPE platform and PSF for anotation of NetCOPE’s IP-core.
