Audit of financial statements and the comparison with due diligence services

The aim of this thesis is to describe a process of audit and due diligence of an accounting entity. The work is devided into two parts, the first part is theoretical and the second one is practical. The theoretical part is focused on description of audit including audits procedures. This part is followed by determination of due diligence, which continues with differences and comparison of both these processes. Within practical part audit of financial statements and process of due diligence are performed in different accounting entities.
Merger Control in the European Union

The main goal in this paper is to make an in-depth analysis of the regulatory situations that can arise during mergers when political involvement takes place. The research is based on four controversial merger cases of undertakings within the same country (E.On-Ruhrgas), European Union countries (E.On-Endesa, Unicredit-Hypoverein) and between companies from the USA (Boeing-McDonnell Douglas) that have effect on the European market. We analyze the four mergers using Michele Ruta and Massimo Motta models from the paper "A Political Economy of Merger Policy in International Markets" (2008). By the end of the research we reached the conclusion that due to some lapses in the European Commission Merger regulation at the time of the mergers, as well as due to government involvement in the mergers, they are not always cleared in the benefit of the market competition or consumer welfare, but due to nationalistic interests of governments to have big players on the market or to keep governmental power in certain industries, even with the risk of harming competition. Along with this, from the mergers analyzed here, it becomes clear that local or union authorities scrutinize the foreign acquirers more.
Assessing the Synergistic Effects of the Selected Consolidated Entity

The diploma thesis focuses on the assessment of synergistic effect in a consolidated entity. The thesis is necessary to select appropriate indicators for the analysiss of the achievement of synergy. It is evaluated whether the consolidated group achieved a synergistic effect of the acquisition based on the evaluation indicators and other available informations.
Company's strategic change due to merger or acquisition

The dissertation’s subject matter is mergers and acquisitions (“M&A”). The reason standing behind the dissertation is the ever growing number of announced M&A transactions around the world. The research shows why M&A are important for the company management and why managers today see them as one of the greatest challenges. The work includes a chapter dedicated to the history of M&A and its current state, which has been affected by the financial crisis. One of the main objectives of the dissertation is to connect the economic and legal views on M&A. The work confronts theoretical knowledge with actual M&A cases. In order to provide a clearer understanding of M&A, cases of both successful and unsuccessful M&A transactions in various industries are described. The dissertation includes a detailed description of the specific stages in the M&A process. It deals with the preparatory stage, due diligence, implementation, and the subsequent integration of the two and more merged companies. The dissertation also provides evaluation of the individual stages’ importance. Special attention is given to the most frequent problems occurring during the entire M&A process: human resources and the integration process. In addition, the dissertation responds to the changes in economic environment that took place between the economic boom, at the beginning of the millennium, and the recession that commenced in autumn 2008. It also shows possible future developments in M&A. The dissertation was based on a review of the existing secondary sources; on primary research in companies with experience in M&A, and on collaboration with the tutor and other experts in the M&A field. On the grounds of secondary sources review, primary research, and discussions with experts, a guide on how to successfully implement an M&A transaction was prepared. The dissertation is to serve for didactic purposes in educating future managers, as a guide for companies’ management which implement M&A transaction, and should provide a basis for further research and scientific work in the M&A field. The dissertation’s conclusion evaluates hypotheses formulated prior to its elaboration.
Cooperation amongst Air Carriers

The thesis deals with the issue of cooperation amongst air carriers. There are mentioned several forms of cooperation in this field: bilateral agreements, global airline alliances and also very specific and current ways of cooperation which are mergers and acquisitions. The last mentioned forms are illustrated on specific examples of important European airlines which decided to improve their competitiveness by joining other air carrier or acquiring relevant stake in other airline. The trend of concentration in the aviation area has naturally affected Czech air transport market as well; therefore this thesis includes a separate chapter concerning acquisition of Czech Airlines by Korean Air which bought a 44 % stake in Czech flag air carrier. There are analyzed in detail the main impacts of the transaction from different points of view, including potential synergistic effects resulting from the cooperation. The thesis also deals with the recently established cooperation between Czech Airlines and its rival airline Travel Service which plans to buy a 34 % stake in Czech national airline and to become its legitimate shareholder besides Korean Air. The thesis includes an analysis of cooperation with this company as well.
Impact of moral hazard in the context of the global crisis on mergers and acquisitions in the financial sector

The main purpose of my final thesis is to present the development, function and real impact of moral hazard on the process of creating mergers and acquisitions (mainly in the banking sector) in the context of the financial crisis. I seek to analyse the acquisition process and the factors that affect it. Consequently, I focused on the synthesis of these factors, with emphasis on the role of moral hazard, which on the one hand acts as one of the potential culprits of the failure of markets, but on the other hand as the "driving force" for encouraging the creation of mergers and acquisitions in a financial crisis.
Choosing a strategic partner in the process of cross-border mergers and acquisitions

This master thesis is in its five chapters dealing with the issue of cross-border mergers and acquisitions, taking as its main objective to describe a process of acquiring one company by another - from the perspective of a foreign acquirer - with an emphasis on identifying key attributes of his decision and the main criteria for selecting the final acquisition target. The first chapter sets theoretical basis for the work and provides definition, classification and characterization of motives for the implementation of mergers and acquisitions. The second part enriches the thesis with the historical and current development of international acquisition activity. The third chapter chooses a strategic approach to M&A. The fourth part explaines the process side of these transactions. The final, fifth chapter follows up on the development in the CEE region and highlights the Czech Republic as a traditional acquisition target for foreign investors, assessing of areas that increase or decrease its attractiveness at once.

The first part contains general definition and classification of mergers and acquisitions and defines the generic process of mergers and acquisitions both theoretically and with practical suggestions. The second part includes the particularities of the information and communication technologies industry itself and an analysis of world-wide and Czech Republic’s transactional data.
Analysis of acquisition of EXIM Holding by REWE Group

The aim of this thesis is to assess particular cross-border merger (acquisition) of EXIM Holding by REWE Group, analyze acquired company, evaluate benefits, synergies and disadvantages of this acquisition for both represented parties and determine main motives of this transaction. Methods used are based on financial analysis, managerial strategic analysis and analysis of available information and documentation regarding given transaction. Practical part focuses on applying methods described in theoretical part on structures of EXIM Holding. The conclusion is summary of relevant findings of thesis itself and evaluates benefits of analyzed transaction.
Indicative Valuation of Mergers and Acquisitions – CK Fischer and NEV-DAMA

The main goal of this diploma thesis is to estimate the value of an entity NEV-DAMA, a.s. as of 30.6.2011; to describe the acquisition processes between CK Fisher, a.s. and NEV-DAMA, a.s. To achieve the former one, a discounted cash- flow method, namely DCF entity, was used. The valuation itself consists of a strategic and financial analysis. These constitute the cornerstone for value drivers analyses and financial plan. Lastly, both the market valuation using comparable enterprises was conducted and the outline of synergies from the above mentioned acquisition was compiled.
