Squeeze-out of minority shareholders under s. 183i and subs. of the Commercial Code

Resumé The purpose of my thesis named "Squeeze-out of minority shareholders according to § 183i et. seq. of the Commercial Code" is to bring a coherent insight at the chosen problems of share deprivation belonging to minority shareholders in the Czech joint-stock companies. Despite its relative recency (in the Czech law effective since 2005), the institute of squeeze- out has become notorious for lack of legislative quality, vast exploitation possibilities at the hands of the majority shareholder and for low respect paid to interests of small shareholders. Probably nobody would doubt an economical impact of the squeeze-out itself, but the Czech version evokes them. These doubts might be particularly seen in difficulties dealing with judicial review of the amount of compensation paid for the squeezed shares and subjectivity of the experts' estimation of shares value. In my thesis, I have focused primarily on the disputable aspects of the squeeze-out, tried to perform a critical view and introduce solutions (in terms of de lege ferenda) for some of the problems that might be found in the context of this institute, particularly the topic of the Main shareholder, Monetary compensation and chosen decision of the Czech High Court. Sudetendeutsche Landsmannschaft in the 21st Century in the Czech Republic and Germany

The diploma thesis "Sudetendeutsche Landsmannschaft in the 21st century in the Czech republic and Germany" deals with the position and influence of this organization on present Czech-German relationship. In the theoretical part of this work there is described the creation, structure, aims and needs as well as present problems of Sudetendeutsche Landsmannschaft. Further in the text is the analysis of the position of this organization in the Czech Republic and in Germany. The cooperation of the representatives of Sudeten Germans with German political parties and the attitude of Czech and German governments towards this association is the main part of the second - 4 - chapter. The last chapter deals with the influence of Sudetendeutsche Landsmannschaft, especially of sudetendeutsche question, on the selected periods of Czech-German relationship. Strained elections in 2002 and complicated entry of the Czech Republic to the European Union which was caused by the attempts of the Sudetendeutschen representatives to violate the Beneš Desrees approved that Czech-German relationship on the government degree can be cooled under some circumstances. The notion of Indianness in contemporary American literature with a focus on female authors

In the US 2000 Census, the number of Indian-Americans reached 1,678,765 people. It is the second largest Indian diaspora in the world preceded only by that in Myanmar, which comes near to three million.1 In January 2008, the Indian-American community gained a very important victory in politics through the appointment of Bobby Jindal as the Governor of Louisiana.2 Although his political views and decisions have been a source of disappointment and have provoked serious criticism, he is nonetheless the first Indian-American to reach higher echelons of power. The American cultural sphere has also felt 'the Indian touch'. In 2000 Jhumpa Lahiri, a young Indian female writer, was awarded the Pulitzer Prize for her collection of short stories. Aishwarya Rai has successfully avoided being remembered only as the 1994 Miss World and has appeared in numerous Bollywood and Hollywood productions. In 2003 she was the first Indian actress to be a member of the Cannes Film Festival jury. Her male colleagues have yet to wait to be thus honoured. Improving efficiency of the selection of the employees

The thesis shows the view of the process of recruitment and selection of the employees applied in companies. The process is decomposed into the specific activities that are analysed in more detail. Recruitment methods are evaluated from the perspective of both employers and applicants for posts. On the basis of the questionnaires lists the specific procedures used in practice by employers, applicants' approaches and experiences of the recruitment procedure.

The thesis deals with the functioning of depositories in the enviroment of the Czech market from the perspective of legislative and practical. The introduction is devoted to directives that make up a harmonized legal framework and the Czech legislativ, which specifically prescribes behaving of depositories. The main part is devoted to the depositary functions, such as operating in the Czech market conditions. This part of work is focused not only on the distribution of the depositary market, but also on the collected amount of the fees, the efficiency of regulation in the real market enviroment and in the importace of depositories in the Czech market. The final section is devoted to the findings, including the final assessment of the depositaries. As a first of its kind, this thesis gives a comprehensive view of activity of depositories and their importace for the Czech market, as the depositaries represent entities that control whether funds act in accordance with the legislation. Depository oversees as to prevent fraud and to qualified investors or collective investment contributed to the further development of the capital market, which is necessary for the further development of all economic sectors.

The GIS support to measures on the ground in case of leakage of liquid pollutant on the road

Accidents on roads associated with the leakage of hazardous substances are one of the major challenges encountered by disaster management. Because of the impossibility of predicting the place and time of the event, then it is necessary in the event of such an accident to proceed in quick succession of steps. They are designed primarily to protect human life and health, and then to minimize to property and environment damage. The paper describes the response to this event using GIS tools and generally available geodata. The simulated accident on the D1 highway near Ostrava is applied as a demonstration example.

Modelling, parameter estimation, optimisation and control of transport and reaction processes in bioreactors.

With the significant potential of microalgae as a major biofuel source of the future, a considerable scientific attention is attracted towards the field of biotechnology and bioprocess engineering. Nevertheless the current photobioreactor (PBR) design methods are still too empirical. With this work I would like to promote the idea of designing a production system, such as a PBR, completely \emph{in silico}, thus allowing for the in silico optimization and optimal control determination. The thesis deals with the PBR modeling and simulation. It addresses two crucial issues in the current state-of-the-art PBR modeling. The first issue relevant to the deficiency of the currently available models - the incorrect or insufficient treatment of either the transport process modeling, the reaction modeling or the coupling between these two models. A correct treatment of both the transport and the reaction phenomena is proposed in the thesis - in the form of a unified modeling framework consisting of three interconnected parts - (i) the state system, (ii) the fluid-dynamic model and (iii) optimal control determination. The proposed model structure allows prediction of the PBR performance with respect to the modelled PBR size, geometry, operating conditions or a particular microalgae strain. The proposed unified modeling approach is applied to the case of the Couette-Taylor photobioreactor (CTBR) where it is used for the optimal control solution. The PBR represents a complex multiscale problem and especially in the case of the production scale systems, the associated computational costs are paramount. This is the second crucial issue addressed in the thesis. With respect to the computational complexity, the fluid dynamics simulation is the most costly part of the PBR simulation. To model the fluid flow with the classical CFD (Computational Fluid Dynamics) methods inside a production scale PBR leads to an enormous grid size. This usually requires a parallel implementation of the solver but in the parallelization of the classical methods lies another relevant issue - that of the amount of data the individual nodes must interchange with each other. The thesis addresses the performance relevant issues by proposing and evaluation alternative approaches to the fluid flow simulation. These approaches are more suitable to the parallel implementation than the classical methods because of their rather local character in comparison to the classical methods - namely the Lattice Boltzmann Method (LBM) for fluid flow, which is the primary focus of the thesis in this regard and alternatively also the discrete random walk based method (DRW). As the outcome of the thesis I have developed and validated a new Lagrangian general modeling approach to the transport and reaction processes in PBR - a framework based on the Lattice Boltzmann method (LBM) and the model of the Photosynthetic Factory (PSF) that models correctly the transport and reaction processes and their coupling. Further I have implemented a software prototype based on the proposed modeling approach and validated this prototype on the case of the Coutte-Taylor PBR. I have also demonstrated that the modeling approach has a significant potential from the computational costs point of view by implementing and validating the software prototype on the parallel architecture of CUDA (Compute Unified Device Architecture). The current parallel implementation is approximately 20 times faster than the unparallized one and decreases thus significantly the iteration cycle of the PBR design process.

Camorra as a parallel system of the Italian state

This thesis deals with the history and evolution of the phenomenon of the Camorra in one of the southern Italian regions - Campania. Camorra originated as a result of appalling social conditions in the south of Italy before its unification. The former ruling system in Naples neighborhood was inefficient and distant for the general population. In contrast, the Camorra everyday system responded immediately and was efficient, fast and productive. Before the constitution of the modern Italian state in 1861, Camorra had already more than half a century of history and activities, and was firmly established itself in the society of Campania. From 1819, when the first written note about Camorra appeared till the first decade of the 21st century it has undergone a complicated and interesting development and changes. During this period, there were several transformations in the functioning of its system. From the initial racketeering and small crime the Camorra's system was transformed into the highly organized companies, whose representatives can be well established members of the highest levels of the Italian society. The position of women and "women question" in late Victorian and Edwardian society

The position of women in British society at the turn of the 19th and 20th centuries was influenced by the traditional conservative ideas which allocated their place in "private (domestic) sphere"; these views continued to have in Britain considerable influence and they were moreover supported by the new ideologies of social darwinism, social maternalism or eugenics. At the same time the influence of representatives of liberal, democratic ideas, the so called new people advocating women emancipation in all spheres of life largely grew. It is not possible to perceive the end of Victorian and Edwardian era as a period in which the modern ideas on women position in society succeeded; on the contrary old conservative concepts though often in new context and another "more moderate" version had the support of the majority of British society, including women. The main reason why the feminists failed to enforce their radical claims at the turn of the 19th and 20th centuries lied in the fact that women movement was confined largely to the liberal elites of middle classes and failed to obtain wider support.

Animal from the Garry Winogrand´s point of view

Work is an introduction to the work of Gary Winogrand and also analysis of the issue of limited possibility of looking which manifests in the particular problem, of impossibility of looking at animal. Work is based on essay from John Berger who concludes this communication problem trough the rise of capitalism and lost connection between human and animal creature. This thing is also connected to the phenomenon of zoological garden. Work is set in this certain context and further it is analyzing the photographs from Winogrand himself and also other authors, which are dealing with affinity problems like for example problem of authenticity (in the photography with the motive of animal), which is represented by Joan Fontcuberta. Or the problem of anthropomorphization (Walt Disney).
