Liability of governing bodies of limited companies against third parties for a breach of duty in the course of performance of function from a comparative perspective The thesis deals with the legal liability of company representatives, an important theme for several reasons. One is the fact that companies are legal persons, or entities which do not exist in reality and whose intentions are realised through persons distinct from them, namely their representatives. Both legislation and the memorandum of association impose many duties on representatives which must be fulfilled. It may happen that these duties are breached, resulting in damage to a company, its associates, and other neutral parties, most often the company's creditors. We must consider if the legal order should pierce the veil around companies and allow the possibility of persons acting on a company's behalf to be directly sanctioned. The thesis attempts to analyse the circumstances under which company representatives should be directly liable for their actions. With regard to the fact that the legislation is not developed in the Czech Republic, I had to work with foreign examples and deduce which provisions of Czech law might be useful for the development of the theory. Complex numbers, quaternions and their applications

The bachelor thesis is dedicated to the topic of complex numbers and quaternions and their application. The main goal of this thesis is to familiarize with the subject of complex numbers and quaternions and their important properties and to present these terms with suitably selected examples. Complex numbers can be used among others to represent a planar rotational movement, quaternions can be used to represent rotations in three-dimensional space. The aim of this thesis is to provide a well arranged summary of the theory and a sample solution of practical examples that would illustratively demonstrate the application of complex numbers and quaternions by description of planar or spatial movements or their further applications.

Civil emergency planning in Czech republic and its developement and role within North Atlantic Treaty Organization

The presented Thesis deals with Civil Emergency Planning (CEP) in the Czech Republic and its evolution and role within the Alliance. The theoretical section of the main body focuses on CEP at NATO and Czech national levels. In relation to NATO, this Thesis explains the concept of CEP, its origin and evolution within the Alliance. It describes the course of CEP development as NATO strategy concepts, priorities and CEP aims changed over the time due to changes in political situation. The important point to understand the whole issue is the depiction of tasks to be met by CEP within the Alliance, and the Ministerial Guidance being the primary CEP related document. Five basic tasks applicable from the very first edition of the Ministerial Guidance till now have been described in detail. An integral part of the NATO CEP is the visualisation of the organisational structure which is necessary for understanding the practical portion. The other section of the main body focuses on CEP as designed for the Czech Republic. At this level, the CEP is a methodological tool for management of incident and crisis planning guaranteeing their interaction and preventing duplicities with defence planning. It defines CEP´s areas of interest and it depicts legislative and institutional support. The practical portion is mainly focusing on meeting basic tasks by individual responsible entities working within four basic planning groups. To get the best possible view of tasks fulfilled based on the Ministerial Guidance, the following method has been chosen: main tasks defined by the Ministerial Guidance have been divided into three main parts in compliance with the task categories of the Ministerial Guidance. The tasks are coped with within the four planning groups. The planning groups are then assigned to ministries that are the responsible entities in terms of the Czech Republic. The result is a clear picture showing main tasks of public administration central bodies, and how these tasks are met within the Alliance plus their translation into the terms and conditions of the Czech Republic. The system also shows the history of each task depicting its conclusion or processing in which case it is transferred into the period of the next Ministerial, now Political, Guidance. The discussion analyses the issue of task fulfilment and importance of financial support to the CEP. The discussion concludes highlighting the necessity of interconnection between the national and NATO levels. This is ensured via permanent representatives in CEPC and representatives in individual planning groups. An example of some member nations shows, how the communication between CEP representatives works (or does not work) at various levels. The end of this Thesis evaluates legislative and institutional CEP interlinking of the Czech Republic and NATO. Unlike the institutional interlink, the legislative interlink is insufficient. The system of interlinking underlines the important role of the permanent representative in CEPC and representatives in planning groups. The main part of conclusion is dedicated to the facts resulting from outcomes and discussion giving clue whether the aims of this Thesis have been reached. The system, how the Czech CEP is working, has been found very efficient even in comparison with long-term members like Great Britain or France. Despite its clear quality and efficiency, it would be desirable to integrate the CEP into the legal system of the Czech Republic and thus to achieve its self-contained legal form. This change would not impact the work itself, but it could add to CEP´s political importance. At the end, a positive response is given to the research question evaluating whether the current status of CEP functioning in the Czech Republic is covering the needs of NATO.

Igbo national consciousnes

Before the direct contact with Europe, the area of present-day south-eastern Nigeria was inhabited by a dispersed population limited to only village or local consciousness but in 1967 representatives of this region declared the independent state of Biafra with the intention to separate from Nigeria which indicates strong collective consciousness. The bearers of this consciousness consider themselves to be Igbo and the collectivity has features of a nation. Therefore it is the Igbo national consciousness I deal with in this thesis. In the theoretical introduction I situate a nation within the sphere of ideas. The historiographic part of the thesis examines how the Igbo nation came into existence. It deals with traditional culture, trade, missionary activity, education, colonial administration, migration, decolonization and politics in independent Nigeria. The second, semiologic part is based on my research among the Igbos in Prague and focuses on the contemporary means for the inter-subjective maintenance of their national consciousness. I try to explain it using a concept of national symbols which can be understood as narratives supporting the idea of continuity, strengthening of borders and assuring the internal homogeneity as distinguished from the external differences.

Genesis of a "New Woman": lives and activities of academically educated women in the Czech lands in the first half of the 20th century through the example of the organized women academician's movement

The proposed diploma thesis focuses on the poorly explored theme of the women participation among university intelligentsia in the Czech Lands in the first half of the 20th century. The chosen theme is analyzed from the point of view of women's academic clubs, which have appeared in this region already at the beginning of 20th century. In addition to their representative function they have also fulfilled the mission of peculiar cultural and social agents of their age. Concurrently with the exploration of history, this thesis follows the significance and the structure of three forms of organized women academicians' movement, the prospective 5 personal and ideological continuity in the women academic society, which concentrated in the 'Ženský kroužek Slavia', in the Sdružení akademicky vzdělaných žen, and between the two world wars in the 'Sdružení vysokoškolsky vzdělaných žen v R. Č. S. For the purpose of encompassing a broader context, within which the mentioned fellowships have pursued their activities, the thesis also partly mentions the general evolution of the possibility of women's academic education, and also the dimension of sociability of women intelligentsia, which became expressed in the International Federation of Women - a prestigious organization, in which female academicians from more than 30...

The Controlling Study

The main goal of this Diploma´s Thesis is to make a model for calculation of water and sewer rates for the company Vodovody a kanalizace Náchod, a.s. when sticking to the set criteria both from the side of VaK Náchod, a.s. and law regulations. Based on the theoretical part an analysis of customer sensitivity to the price changes using the data for last 20 years follows. Findings from the first two parts are used in risk analysis in next part. The created model calculates the water and sewer rates based on the information from the company accounting system in the way to generate sufficient financial resources to fulfill the renovation plan of infrastructural property plant and equipment and to transfer given amount to the company funds. In addition, the model monitors whether the legal condition of maximal allowable increase of profit per m3 is met. In the customer sensitivity to the price changes part the price elasticity of demand for water and sewer rates is calculated based on the data from 1995 to 2015. The assumption of inelastic demand is confirmed. Risk analysis part is deals with potential risk regarding the demand and prices. Potential impacts for the most significant risk are quantified. The analysis uses knowledge gained in the first two parts. It was confirmed that potential risks are exiting but do not have any significant impact on the going concern of VaK Náchod, a.s. The created model has been already used for the calculation of prices for the year 2017. Customer sensitivity analysis to the price changes and link to the potential risks is an additional information for VaK Náchod, a.s. which validates that nowadays, there are no significant threats which could affect the demand and water and sewer rates significantly.

Potential of IoT in Smart City

The aim of this masters thesis is to identify, in which phase of adoption of Internet of Things (IoT) application areas of concept Smart City are nowadays Czech regional cities, what is their outlook to 2025 and also identify in which dimensions of concept Smart city, supported by IoT technologies, perceive Czech regional cities the greatest potential. Based on information obtained from the studied materials, the concept of Internet of Things (IoT) is described, along with a detailed description of one of its application area, namely Smart City. This area is further divided into specific dimensions, that cover specific application areas which can, through internet technology, support things in a special way. With these insights, the questionnaire (built on identified IoT application areas of smart city) was developed. Thesis should be beneficial for all towns in the Czech Republic, because it provides a comprehensive view of individual IoT application areas of concept Smart City including information on which of these IoT application areas are currently focusing regional cities, and on which they want to focus to the future. On the other hand, the survey results could also be beneficial for commercial entities, which focus on IoT implementation in cities. These entities will be able to recognise which IoT products are currently best for cities.

Insurance of employment agencies on the Czech insurance market

The main goal of this bachelor thesis is to describe the insurance of employment agencies against bankruptcy, reasons for its implementation and its development since 2011. The first part deals with characteristics of employment agencies, which are getting more and more attention in the Czech Republic. It focuses on specific features of its activity compared with other business entities and explains the essence of agency employment. The second part focuses on guarantee insurance. It describes general characteristic of guarantee insurance and specific kinds of this insurance product, which we can find on the Czech insurance market. It distinguishes the voluntary and obligatory guarantee insurance. There are two kinds of obligatory guarantee insurance on the Czech insurance market -- insurance of employment agencies against bankruptcy and insurance of travel agencies against bankruptcy, which exist here since 2000.

Good Will in The World of Organizations Professionalization of the Olga Havel Foundation: A Case Study

The presented work aims to map the trends in the development and professionalization of foundations on the background of the civil society that was formed in the Czech Republic after 1989. It addresses the importance of endowment and appreciation of foundation assets in the long-term perspective and describes the circumstances that led to the creation of the Foundation Investment Fund (NIF). It also tries to follow the legislative and economic conditions for the development of the Czech endowment sector. In this sense the paper aims to bring some contribution to the civil society studies. Through a case study on The Committee of Good Will - The Olga Havel Foundation the thesis deals with the causes, effects and changes of the foundation's professionalization process. The research uses the means of internal and external document analysis, interviews with the foundation representatives and the method of participating observation. The effects of the professionalization process have manifested in personnel management changes (eg. recruitment of paid employees, hiring external professionals), project management changes and overall change in the scope of the foundation's activities. Modern Methods in Marketing

Traditional marketing methods are losing their effectiveness and credibility. It has been worse and worse to communicate with customers, and marketers are therefore looking for new techniques and way how to appeal buyers. They turn to the use of modern marketing methods, which typical features are possibility of accurate targeting and low costs, and, also, the fact that they are still not considered being a classic promotion. In the theoretical part of the diploma thesis the alternative marketing forms are described; word-of-mouth, product placement, guerilla marketing, mobile marketing, event marketing and social marketing. Their main features, forms, pros and cons are analyzed, and a practical example is included. The analytic part of the work is dedicated to a company of Budějovický Budvar, n. p. and a launch of a new product Pardál to the Czech beer market at the beginning of 2007. This very important step in the history of the Budějovický Budvar brewery was preceded by a detailed company strategic marketing analysis. This resulted in a decision of an unusual and original new product development and brand launch based on event and buzz marketing principles. The opportunity to influence the final attributes of the new product was given to the very customers -- beer drinkers. They participated in a project called "My New Beer" where the final taste and name of the beer was determined, and they also cooperated at a launch communication campaign of the Pardál brand in the Czech Republic. Significant sales and marketing results were achieved, and the unoriginal product development process and its marketing have been discussed by marketing specialists and professional media since. The brand has entrenched in the Czech beer market and has strengthened its position.
