Decision-making on the Choice of a Business Form

The diploma thesis focuses on decision-making process during choosing the form of business. It finds and describes the criteria that should be considered in this selection. These criteria compares and evaluates on a model situation in relation to the five chosen variants. The thesis contains suggestions of precedures leading to the choosing the suitable form of business, characterizes their advantages and disadvantages and presents situations in which the procedure is convenient to use.

Employee Motivation in a Selected Business Company and Changes Related with its Concept.

The main aim of this thesis is to propose changes to the current motivational program in a selected business corporation and other areas closely related to employee motivation. To achieve this goal, the relevant theoretical background has been studied. Subsequently, key terms such as motivation, stimulation and others were defined. Furthermore, an analysis of the current situation in the company was made. The research consists of a statistical test that examines the relationship of pre-specified qualitative factors. The calculations are based on data from the questionnaire survey. The results can, for example, indicate whether factors in the form of work environment, age or level of education affect employee preferences in motivation. Based on the acquired knowledge and data, specific changes in relation to employee motivation were proposed. For example, a proposal in the area of financial or non-financial bonuses, a program for young people, leisure activities, competition employee of the month and others.

The Study of Order Processing in the Business Company

The bachelor's thesis deals with the study of order processing in the business company BMKco. s.r.o., which sells fasteners as a wholesaler. This work is divided into three parts, where the first part of the work is focused on a theoretical basis. The second part is analytical, where I analyze the current state of the contract, which is based on the materials provided, interviews with specific employees, and research of individual processes of the company with the help of research methods. The last part is the proposals, which contain suggestions for eliminating risks in the company.

Formation, incorporation and invalidity of business company

The title of this master thesis is "Formation, incorporation and invalidity of business company". The study is based on the Czech law contained mainly in the Commercial Code. The first part of the thesis describes the entire constitution process of a new business company. The second part focuses on issues related to invalidity of a business company. The Czech Commercial Code distinguishes six forms of business companies - general commercial partnership (unlimited partnership), limited partnership company, limited liability company, joint-stock company, European company and European economic interest grouping. Constitution process of a new business company can be divided into two phases - establishment of a business company and creation of a business company. Each of these phases contains specific issues that are analysed in particular chapters of the study. The thesis is composed of seven chapters. Chapter One provides general characteristics of a business company including its legal regulation. Chapter Two deals with establishment of a business company. It describes business company's founder and focuses on issues related to the founder's deed including its substantial requirements. Members of Individual Types of Business Companies The purpose of my thesis is to analyse the differences between the regulation of members of individual types of business companies in the current Commercial Code and in the Business Corporations Act (hereinafter the "BCA"). The reason for my research is the fact that the BCA will become effective on 1 January 2014. Therefore, it is in the best interest of shareholders to become sufficiently familiar with the new regulation. The thesis is composed of six chapters. Chapter One is introductory and defines the basic terminology used in the thesis. The chapter is subdivided into three parts. Part One defines a business company, Part Two defines a member and Part Three deals with the transition to the new act. Chapter Two focuses on General Commercial Partnership (Unlimited Partnership). This chapter addresses the major changes, e.g. more precise definition of the Partnership, (non)transferability of the share, and the very interesting possibility to pay one's business contribution by performance of work or provision of services. Company members in individual types of companies

The thesis sets its goal in finding and identifying the most significant elements of differentiation between a legal statuses of members of individual forms of business companies in Czech law system. These elements are being a subject of further analysis and research of how they result both in the companies' operations and internal relations between members. Despite the fact that in general, rights and duties of members of individual types of business companies are based on values and mechanics that are common to all, legal statuses of members are diametrically different in many ways. These differences have major impact both on forms and extent to which members can excercise their rights, as well as matters of their duties and consequences of their default. However, these distinctions systematically correspond with whether a personal or capital element prevails in the type of the corporation. The first chapter introduces the essential parameters and specifics of individual forms of companies, emphasising their role and importance within a business environment.
