The conflict of interest of the providers of investment services and the modes of its resolution

The aim of this thesis is to analyze conflict of interest which is connected to investment services as well as its current and upcoming regulation. The reason for that is quite obvious - there simply is a lot of going on within financial market and its regulation right now. This particular issue might seem to be theoretical and technical, though the consequences are crucial for practice in today's sophisticated, global and complex financial market that is under pressure from the public and politicians. The thesis is composed of six chapters, each of them dealing with different sorts of regulation of conflict of interest, except for Chapter One that is introductory, defines basic terminology used in the thesis and its purpose as well as points out basic questions that are answered in conclusion. First question is whether or not regulate conflict of interest. If so, what is the direction that should be followed by legislators - prevention, management of conflict of interest etc.? And is current regulation of conflict of interest sufficient and effective? And in that regard is it correct to differentiate more between retail and professional investors? Interrelationship dynamics of certain subjects of healthcare system: pharmaceutical industry, physicians and patients

1 Abstract: The diploma thesis applies sociological perspective on interrelationships of pharmaceutical industry, physicians and patients. Its main focus is on the role of pharmaceutical industry in context of relationships with the two other actors. The first part of the work summarizes available Czech and mainly foreign social science literature referring to the broad network of relations. The transformation of medical profession in current society and the development of international pharmaceutical industry in the Czech Republic are also discussed. The empirical part of the thesis reports the findings of a qualitative interview study undertaken with ambulatory physicians concerning their relationships with pharmaceutical companies. The goal of the research was to explore how and why Czech physicians interact with the pharmaceutical companies, gain insight into their ethical evaluation and assessment of consequences and detect the strategies and rationalizations they use to cope with these relationships. Functionning of the Constitutional Law on the Conflict of Interest in Slovakia: Study 1.168

Práce je zaměřena na proces přijímání zákona o střetu zájmů na Slovensku. Smyslem této legislativní normy je zamezit veřejným činitelům ve zneužívání svého postavení, jež může spočívat v kumulování neslučitelných funkcií, nebo v nezákonném obohacování plynoucím ze své veřejné funkce. V práci jsou postupně analyzovány jednotlivé časové úseky, během kterých byly různé podoby předmětného zákona několikrát zamítnuty a posléze přijaty. Kromě samotného legislativního procesu tvorby zákona jsou rozebrány také postoje jednotlivých politických stran a jejich představitelů, dále několik novelizací, jejichž cílem bylo zefektivnit působení zákona v praxi, a nakonec samotný reálný dopad zákona – nakolik jsou dotčené osoby ochotny jeho nařízení respektovat a zda příslušné kontrolní orgány mají dostatek ochoty k řešení sporných případů.

Transparency in regional autonomy: a case study of the Central Bohemia Region during the electoral period 2012 - 2012

The main aim of the thesis is to demonstrate different views on transparency, problems and aspects that may be linked to it and the possibilities of strengthening transparency. Based on one of the aspects of transparency, that is publishing information about commercial companies founded by region or with its property participation, the thesis seeks to find out in which commercial companies the members of the regional assembly and the regional council of the Central Bohemia Region participate, and whether they can be in a conflict of interest. The thesis is structured into three chapters. The first one deals with theoretical definitions, the second one with organizations in the Czech Republic, which are dealing with the issue of transparency. The third chapter analyzes the participation of representatives and councilors of the Central Bohemia Region during the electoral period 2012 -- 2016 in commercial companies.

Declarations of Conflict of Interests in Various Countries: Study 1.159

Srovnávací studie právních úprav střetu zájmů ve vybraných evropských státech. V úvodní části tohoto informačního podkladu autoři poukazují na vývojovou linii, kterou vývoj právních úprav střetu zájmů a podávání prohlášení o nich sleduje. Stručně zmiňují důvody, které k zavedení tohoto institutu vedly. Zároveň konstatují, že dochází k neustálému rozšiřování počtu osob, které mají povinnost takové prohlášení podat. Poté se autoři zaměřují na popis obecné charakteristiky jednotlivých trendů, které se v současných právních úpravách střetu zájmů dají vysledovat. Věnují se trendu britskému, francouzskému a nordickému. Kromě toho, že se zmiňují o existenci dvou typů prohlášení o střetu zájmů, kterými jsou prohlášení o majetku a prohlášení o činnosti, poukazují zejména na různé důvody, pro které je prohlášení podáváno, na důvěrnost či naopak veřejnost v něm poskytnutých informací nebo na to, zda je proces jejich podávání formalizován či nikoli. Těžiště práce však spočívá v popisu stávajících právních úprav ve vybraných evropských státech. Situaci, která se vyskytuje v každém z nich, je věnována samostatná kapitola sledující toto základní schéma: U každého typu prohlášení (existují-li v daném státě oba typy) je taxativním či demonstrativním výčtem uveden okruh osob, které jsou povinny či oprávněny jej podat, dále se pojednává o jeho formálních a obsahových náležitostech, o orgánu, ke kterému se podává a o lhůtách, v jakých je nutno tak učinit. V závěru je uváděno, zda v dané zemi existuje orgán, který na podávání prohlášení dohlíží a případně, zda lze porušení povinností s podáváním prohlášení spjatých sankcionovat a pokud ano, jakým způsobem, za jakých okolností a kým.

Position of Statutory Bodies in Production Cooperatives

In 2012 a fundamental legislative change occurred and the new Civil Code and the Law on Commercial Corporations were brought into action, and thus the legal system of cooperatives was changed. This change affected an internal organisation, as well as a legal status of members of the Board of Directors, and explicitly specified a remuneration of members of statutory bodies. The position of a member of a statutory body is not and will not be easy. They can impact operation, functioning and management of cooperatives both positively and negatively, and their direct responsibility in case of failure threatens to exceed to a personal level.

Conflict of Interest - International Recommendations and Czech Approach

The aim of this work is to describe the area of the conflict of interest in the public sector in general and then in the Czech Republic. Firstly, it works with international overview on this problem. It defines the purpose of the conflict of interest and the public officials. It also presents recommendations refer to this policy, mainly accepted in the Organisation for Economic Cooperation and Development (OECD). Next, it is presented, how the conflict of interest is managed in the Czech Republic. The work also analyzes Czech conflict of interest act and the activities, which carries out the global civic society organisation Transparency International. Finally, it is evaluated the efficiency of the measures which were accepted in the Czech Republic.
