Cross-border transfer of the company's seat within the European Union

The possibilities of cross-border transfer of company's seat within the European Union represent contemporary issues in the European company law. Currently, there is a large development in this field. The development is mainly based on judgements of the Court of Justice of the European Union. Over the last decades, cross-border transfer of company's seat has been the subject of controversy. The main reason is the lack of political interest in this issue. On the other hand, some of arguments relate to the difference between the approaches of the member states and the controversy between two main conflicts of laws theories: the incorporation theory and the real seat theory. The purpose of this thesis is to analyse the possibilities of cross-border transfer of company's seat within the European Union in the context of private international law. The thesis is composed of five chapters, each of them dealing with different aspects of corporate mobility. The first part of this thesis explains the theoretical background of the topic and defines the basic terminology. This part continues with the specification of aspects and conditions as regards the recognition of foreign companies as legal subjects. Based on outputs from this, there are solutions designed to help prevent this problems. Making these suggestions streamline work and improve working process, as well as facilitating employee work.

Copenhagen School of Security Studies - Societal Dimension and the Case of Egypt Securitization and its Impact on Human Rights

The aim of this paper is to find out whether the securitization theory of the Copenhagen School is applicable outside euro-american space. This topic is chosen because of the contradicting opinions of theorists regarding the universality of the theory. Many authors criticize also the disregard of the process, context, pictures or physical actions. The theory is applied in societal sector in Egypt on nine cases including human rights non-governmental organizations, political opponents, critics and asylum seekers. The development of securitization, implementation of extraordinary measures, results and impact of the securitization are monitored in these cases. Attention is paid also to the fact whether securitization took into consideration context, process and whether pictures and physical actions played any role and what role it was. Method used in the paper is instrumental case study. It aims at the explanation of narrowly defined case on the basis of the theory. In the stated cases the threats to identity are presented as "others", alien and with the exception of one case as "Western" which means different from the Egyptian identity. This Bachelor’s thesis deals with the analysis of financial performance ŽOS Zvolen Company, Inc. by statistical methods. The first, theoretical, part is treated the issue of financial analysis, regression analysis and time series. The second, practical part describes this company and analyzes selected indicators, which are further processed by means of regression analysis and time series analysis. In the third part is completely analyzed situation and processed proposals for its improvement.

The second part contains evaluation of the current situation in OBB stavební materiály s.r.o. and compares its business to others using benchmarking method. I used public data from financial annual accounts and database Amadeus. Socio-cultural centre with townhall for the district Brno-Kohoutovice

The building of the town hall Brno Kohoutovice is situated on the site next to the local hospital. Currently, there is a widespread paved area, which has become the place for markets and other cultural activities. Town hall completed urban structure, built on the most visible plot, and closes the plaza on the east side. From the south, the square is open to Kohoutovická valley. It is closed and opened at the same time by a colonnade. Functional composition is expressed in both - size and material. On a solid concrete base, which holds cultural and social events, lie two light steel boxes dedicated to the town hall. The middle part is cantilivered into the square, which symbolizes the proximity of town hall offices to the citizens. It is dedicated to the departements, which are in daily contact with the public. The upper part with large terrace has representative function. There are the internal departements and a ceremonial hall.

The conclusion advises on several proposals that lead to the overall improved state of the chosen firm.
