The Legal Status of a Member of the Statutory Body of a Dependant Joint Stock Company

(EN) The dissertation deals with the issue of the legal status of a member of the statutory body of a joint stock company in a situation when the influence of the concern's controlling entity interferes with his/her powers. Attention is paid in particular to the definition of the boundaries of due care and to the binding nature of the concern's guidelines and instructions. In preparing the dissertation, general methods of scientific work, such as deduction, analysis, synthesis and the descriptive method, were used. In addition, specific formal legal methods were employed, namely grammatical interpretation, logical interpretation and systematic interpretation (considering the context and place of the provisions from the point of view of the legal regulation, the system of private law, as well as from the point of view of the entire Czech legal system). As supporting methods, historical interpretation (the rules prior to the recodification of private law) and teleological interpretation (reasoning that uses the meaning of corporate law) were applied. Europeanisation of environmental policy in the Netherlands

Integration in the European Union (EU) in terms of the legal as well as economic spheres has grown in depth, scope and speed since its establishment. The EU has significantly affected various fields of policies within its member states, including the environment. This is understood as the 'Europeanisation process'. The Netherlands, considered one of the pioneering countries to establish environmental measures, has approximately 80% of its legislation in the environmental field derived from European legislation. The thesis seeks to answer how Dutch environmental policy has been affected by the EU over the past twenty years. The implementation process of three environmental directives is analysed concerning water, biodiversity and air, to understand this process. The concept of Europeanisation and the related theory of goodness of fit is applied to argue that the implementation process of European environmental directives in the Netherlands is effective if there are no major adjustments necessary in the national setting, i.e. there is no policy or institutional misfit between domestic and European legislation, and no veto players impede the process. Small Company Mobile Security

In the course of the work, an analysis of security issues with the use of mobile devices in a small company is created. Based on this analysis, are identified risks that could have an impact on the security of the company's information due to malicious code on the mobile device or unauthorized access to the mobile device. To eliminate or reduce these risks, are proposed safety measures inspired by the measures in the ČSN ISO/IEC 27002 standard, on which the bachelor's thesis is focused.

The accounting duties for the middle accounting units

The bachelor thesis deals with the accounting duties for the middle accounting units, which have come after the amendment to the Accounting Act. The theoretical part is focused on accounting regulation, its methods and instruments in the form of directives. Subsequently, individual directives, their changes and their cancellations are described together with the transposition process into national law. The theoretical part also includes the amendment to the Accounting Act and the list of substantial changes effective from 1st January 2016, particularly the categorization of accounting units and their duties. In the practical section, the internal directives of particular accounitng unit are analysed and changes are introduced together with new obligations that the accounting unit must obey after the amendment to the Accounting Act.
Tobacco Directives

In my thesis, I summarized the main reasons for specific German position towards tobacco advertising directives. In my opinion, the main reason consisted in tobacco companies and lobby groups activity. Adoption of tobacco directive was partly inevitable, but the above mentioned interest groups succeeded (via Germany) in limiting the directive's impact and postponing its adoption. Long-term and elaborated tobacco company's strategy succeeded in persuasion the German public. They, inter alia, indirectly force them to believe that tobacco industry is essential for the German economic growth. In my opinion, the strategy was successful because of its complexity and sophistication. Even though Germany was not successful before European Court of Justice with its second action for directive annulment, it still indirectly achieved to limit the directive impact and postponed its adoption for several years. But at the end, Germany was also forced (under the threat of fine) to implement the directive into its legal system.

Selected directives of the European Union from the period 2009 - 2010, their transposition and economic impact in the Czech Republic

The aim of thesis is to evaluate the effect of selected directives in individual sectors in the Czech Republic. The theoretical part defines the defining characteristics of European Union law, especially the directives and their transposition into the Czech rule of law, also describes the decisions and voting in EU and lobbying organization. The analytical part deals with the four selected directives: biofuels, renewable resources, electronic communications and energy performance of buildings. For each directive analysis was made of the transposition and influence in the sector with the result which confirmed in all directives the prevailing negative impact for the Czech Republic.
