The legal form change of a trading company conversion is a difficult process due to which the structure of the company changes dramatically. This step is a result of the company dramatical growth. Also lately the company goes through increasing demand factor of its market environment. The purpose of the company legal form change in our case is a clearer capital structure assignment and also the possibility of free tallage disposal.

This thesis presents a business plan for development of trading company. Based on thorough analysis of significant external and internal factors I present the draft of conceptual changes in areas: organizational structure, employee motivation, sales management. Target of changes are increase market share and increase competitiveness. This thesis will serve management as implementation document for the realization of the proposed changes.

This thesis deals with business plan of a trading company. Aim of this business plan is a proposal of expansion and structural change of commercial section of the company. I have created project of simple and working split of sales and technical department of the company. This plan is supposed to improve the productivity of labour, increase staff motivation and company sales.

Valuation of the company SOME Jindřichův Hradec s.r.o.

This Master's thesis aims to valuate Czech company SOME Jindřichův Hradec, s.r.o. with valuation date set as 31th December 2014. For this purpose is performed strategic analysis for each of company's divisions separately. Conclusion of this analysis contains two variant forecasts of company's turnover and SWOT analysis. Following financial analysis contains both vertical and horizontal analysis of financial statements, financial ratio analysis and analysis using solvency models. Based on findings, there was not sufficient evidence for implicit acceptance of going concern principle and therefore improvement plan is prepared. Following this plan presents another variation of the valuation. In the end, the valuation of the company is performed using EVA method.

The final thesis analyzed the position of purchase in logistics of a trading company, moreover there are analysis focused on processes that take place in the purchasing management in this company. The aim of final thesis is to improve current system. This fact will lead to optimization of processes and activities in procurement.

Foundation and origin of a trading company

This bachelor thesis is focused on the aspects of foundation of a trading company. The aim of this thesis is to enlighten the essence of particular legal forms of national as well as transnational trading companies which are regulated by the Czech legal system, namely to explain their legal regulation, from which the conditions and specifics of companies' foundation result. To create a compact unit involving all items that are connected with the subject matter, there are also key-words explained and institutions introduced in the forepart of this thesis which are related to the matter of companies' foundation and origin. This main subject matter therefore combines general information about the legal regulation, division of trading companies and key-words such as business assets, business property, capital stock and related stocks and others. Attention is also given to the Companies register, which has cardinal importance for the origin of the company in the Czech Republic. To comprehend gained theoretical knowledge and information better, the process of practical foundation and origin of a trading company in ČR is described in the last part of this thesis.

Financial analysis of FINOSA, s.r.o.

Cílem prezentované bakalářské práce bylo zhodnotit finanční situaci společnosti FINOSA, s.r.o. v období vymezeném roky 2003 a 2007. Společnost FINOSA, s.r.o. je předním dodavatelem tabákových výrobků a doplňkového sortimentu pro provozy večerek, čerpacích stanic či tabákových prodejen. Práce má celkem tři části. První část je teoretická, zaměřena na popis uživatelů finanční analýzy a použité metodiky. Druhá část je věnována bližšímu představení společnosti FINOSA, s.r.o. a jejího předmětu podnikání. Poslední část je věnována aplikaci metod a postupů definovaných v úvodní části. Výsledky analýzy jsou interpretovány a následně krátce zhodnoceny.

Financial analysis of FOLLYX s.r.o.

The main goal of this bachelor thesis was to analyze and to evaluate financial position of FOLLYX s.r.o. between the years 2003 and 2007. The above-mentioned company is one of the most recognizable wholesalers of its kind throughout the Ústí region. The thesis is divided into three main parts. In the first part applied methodics and users of financial analysis are described, the second part is oriented on description of FOLLYX s.r.o. and its history. The last part concentrates on application of methodics on concrete data of the analyzed company, in conclusion the results are evaluated and some recommendations are given.
