The concept of trust in Czech law

During the legislative works on a new Civil Code for the Czech Republic, it has been proposed that the concept of trust be introduced into Czech law, largely by transplanting the concept of fiducie contained in the Civil Code of Québec. The thesis, after introducing the principal concepts of trust as known around the world today, whether in common law jurisdictions, civil law jurisdictions or mixed jurisdictions, describes the principal commercial uses of trust in trust jurisdictions and analyses the possibilities of current Czech law to replicate the trust function not using the trust. The thesis argues that the classical civilist objections to the possibility to implant true trust into civil law jurisdictions are largely unfounded in respect of the Czech legal system. The thesis further performs a comparative assessment of the Czech Civil Code proposal. It is argued that the legal construct at hand in the proposal is actually not trust, but a mere trust-like arrangement, as it lacks one of the trust's most salient features -- transfer of the trust property by the settlor to the trustee. Apart from that, the thesis analyses specific provisions of the proposal and subjects them critique. Based on this analysis, it introduces a number of proposals for the enhancement of the proposed provisions.

Financial analysis of Nestlé Česko Corporation, Inc

The aim of the bachelor thesis named "Financial analysis of Nestlé Česko Corporation, Inc" was to evaluate property, pension and financial situation of the company. The work is divided into three parts -- methodical, practical and conclusion. Methodical part aims generally at absolute, differential and ratio indicators. The point of practical part is application of theoretically obtained knowledge about factual corporation which was analyzed between years 2007 and 2009. The analyzed corporation is introduced in the beginning of the practical part. There is also conducted analysis of balance sheet of corporation along with familiarization with the rival corporation. The rest of the practical part is dedicated to the indicators of profitability, liquidity, activity, cost and also to the bankruptcy and creditworthy models which reveal financial fitness of the corporation. Conclusion of the work is dedicated to the evaluation of property and financial situation and to the whole summarization of facts from analyzed field.

Marketing of HN, LN, MF DNES and Právo

This thesis deals with marketing of the serious Czech newspapers (HN, LN, MF DNES and Právo) with a focus on possible models of their brand valuation. The main goal of this work is a marketing analysis of the four subjects using the electronic data sources. The analysis includes basic information about the publishers, their property relations and economic results for the period from 2005 to 2009. After that follows the introduction of the studied newspapers, including their content description, readers profile and new technologies. The aim of the practical part is also to choose appropriate method for evaluating the brands of the dailies. It was performed an external, financial and SWOT analysis to ensure correct application of the approach. Valuation results showed that the highest financial value has the brand Mladá Fronta DNES, the second is Právo, followed by Hospodářské noviny and Lidové noviny.

The Duty of Loyalty of a Member of a Business Company

The duty of loyalty of a member of a business company This thesis deals with the topic closely connected with the field of corporate governance which is a part of corporate law. According to the American legal theory is duty of loyalty one of the fiduciary duties. The traditional classification of fiduciary duties is based on dualism - duty of loyalty and duty of care. But this concept is changing over time mainly due to case law. There is no settled opinion on the basic question how many fiduciary duties there are. Current opinion of the respected authority in this field - Delaware' Supreme Court is based on dualism of fiduciary duties, but not in the traditional meaning. The duty of loyalty includes according to the opinion of the judges not only conflicts of interests and self-dealing situations, but breach of good faith as well. On the other hand the traditional point of view was settled on two fiduciary duties - loyalty and care as well. Duty of loyalty was connected with conflicts of interest situations between principal and agent, when the personal financial interest of the agent was present. Using Nothing We Want to Change the the World

This work focuses on the evolution of Dada and its manifestation in Czech literature, especially in the twenties of the twentieth century, but, of course, it focuses on later manifestations too. It focuses on the main features of dadaism, like abhor technics, mysticism and rituality, destruction, universality, dada language or humour. Application of dada to czech discourse would be unable, without defining these features. This work focuses on real or potential dadaistic manifestations and theoretical reception in the czech discourse, which is represented by Karel Teige on the side of oppositors and the Devetsil group of Brno on the side of propagators. The last chapter is about the relations between dadaism and carnival culture, that wat theoretically formulated by Bachtin. I focuses especially on identical properties. Database of students and their payments

The present work contains a database scheme for managing data about high school students, school clubs or events, attendance to these activities and payments for them. It also includes functions to faciliate the scheduling. An entity-relationship model and a data flow model are described. The defi nition of user roles and their properties is also a part of the project. The database is protected against data inconsistence. A part of user interface is implemented to provide an example of the form of possible further application. The implemented part contains most of the processes supported by one of the user roles. Moreover, it contains a program unit for logging to system. The work includes a CD with source codes for creating all database structures, triggers and procedures. Source codes for the implemented part of user interface are also included.

Digital media and the administration of copyright

English summary Digital media and the protection of authors' rights Law is not a panacea. Although it lays down rules of human conduct, it cannot guarantee they will be observed also in practice. The decision whether we will conform to these rules depends only upon our choice. For example, the law stipulates the speed limit for motor vehicles. However, this measure it-self does not hinder driving faster and it is obvious this is happening frequently on our roads. In the situation when the law alone is not able to prevent the interference with the protected interest, it is appropriate to employ additional non-legal instruments to supplement this protection. In the mentioned example, it can be a media campaign notifying of the possible consequences of fast driving. Another eligible solution is the exercise of technical measures which would exclude the breach of legal norms or at least make it substantially difficult. The car would, for example, receive a signal designating the speed limit at a particular place which could not exceed. Such measures are not limited only to the protection of public law rules but can be used by private persons to protect their own property. Sensitivity analysis of the energy rating of buildings

The master´s thesis was focused on parametric computer simulations of the energy performance of buildings. The aim is to determine the sensitivity of the individual operating and climatic influences on the final energy demand of the building, which will be reflected in final form Et-curve. Parametric simulation for building energy efficiency is planned to use the BSim and ready climatic database for a specific location in place of the assessed building. The outcome of the evaluation of the real use of property in Et-curve using a custom application.

The real estate appraisal as a collateral

The real estate appraisal within the banking industry is a specific discipline. Hence, there is a lack of theoretical background, especially in the Czech language. The aim of this work has two main parts. Firstly, there are analysed potential valuation bases and concrete approaches which are offered. Secondly, it is focused on practical determination the market value and the collateral value of the real property, regarding the current approaches using in the Czech banking industry.
