Primary and secondary liability of members of the board of directors against third persons

The purpose of my Thesis is an analysis of primary and secondary liability of Members of the Board of directors agains third persons especially against creditors. The main aim of the Thesis is to provide a comprehensive explanation of how the law enshrined in the creditors'pursuit of their rights directly to the members of the Board compared with the international rules. The thesis is composed of tree chapters. Chapter one is a general introduction to an organization, functions, duties and responsibilities of a joint-stock company.The chapter is subdivided into three parts. Part one describes generaly the Board of directors and focuses on its nature, actions, as well as on the casting of its members, on the membership itself and the relationship between the company and its members.The part two targets the rights and obligations related to executing the function given. Part tree pays attention to the responsibility and lability of Members of Board to joint-stock company. Chapter two examines relevant Czech legislation of legal personal lability of Members of the Board, who took part in establishment and managment of the legal entity. Good Will in The World of Organizations Professionalization of the Olga Havel Foundation: A Case Study

The presented work aims to map the trends in the development and professionalization of foundations on the background of the civil society that was formed in the Czech Republic after 1989. It addresses the importance of endowment and appreciation of foundation assets in the long-term perspective and describes the circumstances that led to the creation of the Foundation Investment Fund (NIF). It also tries to follow the legislative and economic conditions for the development of the Czech endowment sector. In this sense the paper aims to bring some contribution to the civil society studies. Through a case study on The Committee of Good Will - The Olga Havel Foundation the thesis deals with the causes, effects and changes of the foundation's professionalization process. The research uses the means of internal and external document analysis, interviews with the foundation representatives and the method of participating observation. The effects of the professionalization process have manifested in personnel management changes (eg. recruitment of paid employees, hiring external professionals), project management changes and overall change in the scope of the foundation's activities. This thesis deals with the Czech legal regulation of joint-stock company's board of directors and supervisory board remuneration system. The conditions of the rise of right to remuneration, its payment and even the cases of unpaid discharge of office are defined. Furthermore, the international recommendations, future Czech legal regulation in the compensation area and recent legal changes in financial sector are covered.
The Relationship of Corporate Governance with Firm performance and Tax Fees

The aim of this thesis is to examine the relationship of all corporate governance indicators with firm performance (proxied by price to book value) and tax fees. Using a sample of 133 large U.S firms, in a single model, we explore the correlation of price to book value with board of director's structure (composition and size). Our results show that smaller and younger boards with less independent directors lead to a higher firm performance. We further find that presence of women on board is important rather than their number. The outcome of the study shows also that financial expertise of audit committee members has a significant and positive influence on the amount of tax fees. Overall, the results suggest that board characteristics are important and they influence firm performance. Monistic structure of joint-stock company This thesis is concerned with monistic structure of joint-stock company in the Czech Republic. It seeks to characterize the legislation relating to this legal institute, which is quite new in the Czech legal system. To be able to evaluate this legislation, the thesis provides the reader with a broader range of information concerning this topic. Therefore, on the basis of these pieces of information, the thesis analyzes the Czech legislation in force that regulates monistic structure of companies. The aim of the text is to provide different views on this issue, various interpretations and proposals on the future development of this legislation. First the thesis gives general information on corporate governance systems, i. e. a monistic structure and a dualistic one, which are subsequently compared. Remaining part of the thesis deals with the structure chosen as a topic for this text. Second part is concerned with regulations of monistic structure in foreign countries and their legal systems. My master thesis deals with the position of members of the board of directors in a joint-stock company. The focus of this thesis is to deliver a complete overview of information on members of the board of directors of a joint-stock company and other aspects related to the performance of this function. The entire thesis is divided into six chapters, where the first chapter deals with the board of directors and its role in a company. Followed by a chapter on a sole fuctioning of a member of the board of directors. Subsequently the thesis deals with the agreement on performance, which steadily continues in the definition of rights and duties of members of the board of directors. Significant part of this work is dedicated to the sphere of action of the board of directors and the responsibility of its members.
A Monistic and dual organizational structure of a joint-stock company

The thesis deals with two types of organizational structure of a joint-stock company regard to changing legislation, effective from 1st January 2014. The work is initially focused on new type of organizational structure - a monistic organizational structure. It consists of the board of directors and the statutory director. The work explains the operation and scope of the company's bodies. The second type of organizational structure, which analyses the work, is dual organizational structure. It consists of the management board and the supervisory board. The work is based on the Civil Code and the Business Corporations Act.
State-owned enterprises and their role in creating opportunities for corruption

The thesis deals with state-owned enterprises and their potential for corruption. In the first chapter is characterized corruption in the Czech Republic in the context of social, economic and political changes in the end of the twentieth century. This section also contains typology of corruption from Rasma Karklins, which is also the methodological basis of this work. The second part focuses on the characteristics of state-owned enterprises, and also on internal and external control mechanisms, which should reduce their potential for corruption. The third chapter presents in detail the processes and results of legislative changes in recent years, regarding the increase of external control mechanisms of state-owned enterprises.
Structure of executive and supervisory bodies of joint-stock companies

The subject of the thesis is analysis of executive and supervisory bodies of joint-stock companies based on the legislation effective since 1st January 2014. The goal is to describe the structure of such bodies, their establishment, competence and guidelines for action. By comparing with the former legislation, it aims to find the differences, new institutes a possibilities brought by the recodification of private law and thus evaluate their effect and possible future influence. The thesis also points out some potentially controversial parts and defects of the new legislation.
Corporate Governance in Financial Crisis

This Master's thesis aims to analyze changes in the corporate governance during the financial crisis, highlight the main changes in the field of corporate governance in UniCredit during this period and compare UniCredit`s Corporate Governance with OECD principles. In addition, on the basis of the analysis carried out, my objective will be to recommend possible updates in the Principles and also generalize the findings in order to help Czech companies improve their current system of governance.
