Předmětem práce je analýza statutárních a dozorčích orgánů akciové společnosti dle právní úpravy účinné od 1. ledna 2014. Cílem je objasnit funkci těchto orgánu z hlediska jejich struktury, ustavení, okruhu pravomocí a zásad pro činnost. Komparací s předchozí právní úpravou, jejímž cílem je nalézt změny, nové instituty a možnosti, které přinesla rekodifikace soukromého práva a zhodnotit jejich dopad a možný vliv do budoucna, jsou vytyčeny základní odlišnosti obou úprav. Práce také poukazuje na některé potenciálně sporné body a nedostatky nové úpravy. The subject of the thesis is analysis of executive and supervisory bodies of joint-stock companies based on the legislation effective since 1st January 2014. The goal is to describe the structure of such bodies, their establishment, competence and guidelines for action. By comparing with the former legislation, it aims to find the differences, new institutes a possibilities brought by the recodification of private law and thus evaluate their effect and possible future influence. The thesis also points out some potentially controversial parts and defects of the new legislation.
