Selected matters covered by statutory provisions on shareholders protection as set out in the commercial code

This dissertation looks at selected matters covered by the statutory provisions on the shareholders protection as set out in the Commercial Code. It focuses mainly on the matters contained in Section 196a of the Commercial Code, Section 193 (2) of the Commercial Code, and on the issue of financial assistance. In addition, this dissertation deals with the legal protection of shareholders under the Business Corporations Act which is to take effect on 1 January 2014, and provides a brief outline of how these matters are regulated under certain foreign laws. As well, it provides a comparison with the legal regulations of the European Union. This dissertation is comprised of three sections, each having several parts. The parts are further divided into articles. Section 1 analyses the statutory provisions on the protection of shareholders as given in the Commercial Code, and is divided into four parts. The introduction, given in Part I, focuses on the protection of shareholders under the Commercial Code in the general sense. The remaining three parts concentrate on the above said selected statutory provisions. Business Valuation by Using Income Capitalization Approach

This master thesis deals with evaluation of the company TSS, spol. s r.o. (Ltd.) Třebechovice pod Orebem using earning based methods. The theoretical part contains theoretical foundations and procedures used for company evaluation. The practical part consists of strategic analysis, financial analysis, SWOT analysis, financial plan construction and final calculation of company value via DCF entity and EVA methods. The result of the thesis is the ekvity value of TSS company.

Legislative changes of the equity with the impact on accounting

The bachelor thesis is oriented on the analysis of specific components of equity and substantial changes which have occurred since 2014 in the Czech legislation. The main goal of this thesis is to characterize these legislative changes and apply it in practice with the selected entity. The best way how to achieve these results is comparison of the Business Corporations Act, Accounting law and the new Civil code in the period of 2013 - 2014.The analysis determines how these changes have affected the entity in both positive or negative meaning.

Private equity fund greenhouse business plan focusing on the financials

The thesis analyses and discusses the creation of a business plan inside a private equity fund. The business plan deals with the development and management of a fully illuminated and heated greenhouse and focuses mostly on the financial part, due to reasons explained in the thesis. In the theoretical section, the author discusses the developments in the entrepreneurship and private equity field and follows by describing the important terms concerning a business plan, its structure and the approach to its creation. The practical section deals with the circumstances in which this business opportunity is considered and covers the business plan itself, specifically the market analysis, marketing approach, operational side and financials in detail. The aim of this exercise is to validate the market expectations and economic rentability of the whole project. To this end the author utilizes several standardized criterions for investment assessment.

This bachelor‘s thesis focuses on the financing of investment of a particular company. The thesis consists of three parts. The first part describes basic concepts, various sources of financing and methods of investment evaluation. In the second part, the company itself is introduced and there is also described the intention of the investment. In the third part the suggestions of the financing of investment are made. In the conclusion, there is chosen the exact suggestion, which is the most suitable for the company.

The third part presents selected proposals for financing of the investment and their comparison and includes a recommendation for most advantageous proposal for financing of the investment. Analysis of the development project for the construction of an administrative building in Brno

The aim of this diploma thesis is determine feasibility and profitability of property development project at particular lands in Brno. Solution of problem includes both, the legislative part that determines possibility lands focused on change of territorial plan and the financial part that estimates costs and revenues in project balance and potencial profits for investor, if project will be realized. Main result of this diploma thesis is to answer the question, if property development project should be realized at particular lands in question and estimate future value of lands and project. Diploma thesis \uv{Analysis of the development project for the construction of an administrative building in Brno} is useful for everyone, who needs estimate potential of a land for profit from realization of property development project.

Efficiency and Financial Stability of Investment Project

The Master Thesis focuses on an investment project’s economic effectiveness and stability of financing. In the theoretical part of the thesis there are basic ideas on investment projects explained and further the thesis deals with project lifecycle phases, cash flow predictions, methods of investment economic evaluation, factors that influence investment decision making and sources of project’s financing. In the practical part there are these theoretical findings applied on a real investment project and by analyzing it is searching for a recommendation for a project realization.
