Regulation of retailer-supplier relatiohships within the food chain
Mokrejšová, Veronika ; Zadražilová, Dana (advisor) ; Klosová, Anna (referee) ; Zeman, Jiří (referee) ; Vyhnálek, Petr (referee)
This thesis deals with retailer-supplier relationships within the food chain, and with possibilities of their regulation. The aim is to assess the effect of regulation of retailer-supplier relationship, through "Act on Significant Market Power and Abuse thereof" on particular food chain members, and eventually to propose an alternative solution of their regulation. The thesis states the following hypothesis: The Act on Significant Market Power does not change bargaining power between suppliers and retailers. The thesis is divided into five parts. The first of those defines the issue of retailer-supplier relationship, especially the so called "unfair practices". The mind-set of the European Commission which judges the unfairness of a practice, according to its impact on consumer, investment and competition is stressed. When comparing market shares and profit abilities, it is obvious that supplier sector is not disadvantaged in relation to retailing, however, there are cases of small and medium enterprises over which retailers can impose their bargaining power. Retroactive changes and excessive risk transfer on a business partner are then indicated as unfair, which is confirmed by microeconomic analysis. The second part maps means of regulation, through hard and soft law in the EU and its member states with focus on the Czech Republic, where the Act No. 395/2009 Coll., on Significant Market Power in the Sale of Agricultural and Food Products and Abuse thereof is applied. It is found that regulation within the EU is heterogeneous and the results of different regulatory mechanism in different countries differ. The third part talks about self-regulatory possibilities constituted by corporate social responsibility. The main solution of retailer-supplier relationships is represented by stakeholder dialogue, in which contractual parties look for the basis of their antagonistic positions (which are hidden in their interests and needs), and try to identify mutual needs and to create shared value. This approach increases the created value, which is advantageous for both partners, instead of redistributing the value to the benefit of the stronger partner. The fourth part presents the results of a survey conducted among retailers, retailer suppliers and farmers, their opinions about the Act on Significant Market Power, about changes caused by this Act and about particular unfair practices. It was realised that the Act does not help the suppliers very much, in that the bargaining position was improved only with a tiny part of the respondents, and the Act even did not fulfil the role of small and medium sized enterprises protection. The everyday practice of retailer-supplier relationships remains (after changing few legal formulations in the contracts) almost the same as it was before the Act came into force. The only considerable change is shortening the payment period to 30 days; however, there are suppliers that are not content about this provision. The farmers do not feel any consequences of the Act; retailers regard it as business barrier and excessive regulation. Thus, this part confirms the hypothesis. The final part of the thesis proposes a solution to this issue by engaging many stakeholders: the business partners (self-regulation), the State (regulation through general universal act), consumers, non-governmental organisations and media (generating demand for responsible behaviour of firms).

The Russian- Chinese relations since the end of bipolar world
Bastova, Vita ; Maslowski, Nicolas (advisor) ; Cibulková, Petra (referee)
Russian-Chinese relations have been differed by the complex and full relations, which have been highly emerged since the end of the Cold War. Transition of the power in the world system had overcome the intention of Russia and China for the closer cooperation in order to decline the American sole hegemony. Concluding the Friendship treaty, it had become the first step towards cooperation which today can be considered as stable one. Master thesis will be focused on the realist approach, which at the same time will help to evaluate Rusian-Chinese relation through the pragmatic realist prism. Analyzing the relations in a global context within further movement to regional one, I will try to experience Sino-Russian relations through different approaches and relying on the balance of power theory. Description of the strategic partnership, supported by the multipolar world view and multilateral diplomacy as the tool for the national interests promotion, the research will move towards bilateral modes estimating security, political and economic relations. All in all, the conclusion will be made in order to predict the future of the Russian-Chinese relations and results which both countries have achieved by now.

Insolvency proceedings with a European international element
Šebková Stráska, Eva ; Smolík, Petr (advisor) ; Zoulík, František (referee)
in English In this thesis, I analyse Council regulation (EC) No 1346/2000 of 29 May 2000 on insolvency proceedings and its practical effects in EU member states' bankruptcy proceedings. The regulation creates a European insolvency law which is aimed at proper functioning of the internal market. The market requires efficient and effective cross-border insolvency proceedings in order to protect creditors. I review interpretations of the principle of controlled universality, Lex fori concursus, recognition of insolvency proceedings, and cooperation of liquidators whose function is to administer or liquidate assets located in various member states. I also examine the process of launching primary and secondary proceedings in relation to the debtor's centre of main interest and to his place of operations where the debtor carries out a non-transitory economic activity with human means and goods. I demonstrate the current legal reasoning of the Court of Justice of the European Union in e.g. the Judgment of the Court (Grand Chamber) of 2 May 2006 in Case C-341/04, Eurofood IFSC Ltd. which interprets Articles 1, 2, 3 and 16 of the regulation, and in the Judgment of the Court (First Chamber) of 21 January 2010 in Case C-444/07, MG Probud Gdynia sp. z o.o., which interprets Articles 3, 4, 16, 17 and 25 of the...

European Private International Law - Domicile and Brussels I Regulation
Řápková, Lucie ; Pauknerová, Monika (advisor) ; Kučera, Zdeněk (referee)
European Private International Law - Domicile and Brussels I Regulation Abstract It is undisputable, that the Council Regulation (EC) No 44/2001 on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters, the so-called Brussels I Regulation, constitutes the cornerstone of the European Private International Law. The term domicile, employed as the most important connecting factor for the determination of jurisdiction under the Brussels I Regulation, is the key word thereof. Domicile as such is a very interesting, although complicated, legal concept. This holds true even in the case of domicile for the purposes of Brussels I Regulation. At the European level, the tradition of domicile, being the connecting factor in most cases of the determination of jurisdiction, was established by the Brussels Convention. Nevertheless, it did not provide for a uniform definition. Instead, it referred to the national laws of the then contracting states. By adopting, with an exception, a uniform definition of a legal person's domicile, the Brussels I Regulation has partially deviated from this practice. However, as regards the natural person's domicile, the reference to the national laws of the European Union Member States was upheld. As the understanding of this concept differs from...

Seifertová, Kristýna ; Hubinková, Zuzana (advisor) ; Pospíšilová, Iva (referee)
The topic of this thesis are disabled people and their integration in the enterprise. The aim of this work is to determine what the status of the persons with disabilities in the labor market is, the opportunities to find work, if they are not able to perform any job and if there are cracks and gaps in the laws governing the employment of people with disabilities. Custom research was conducted in five selected companies where the people with disabilities are employed. To find information, I used the method of interview in the form of open and closed questions. After reviewing research, I came to certain conclusions regarding the interest of employers to persons with disabilities. I compared own research with current laws and theoretical assumptions to employ these people.
