The Influence of the Tax and Accounting Aspects for the Formation of the Cooperative and Its Business Activities

The aim of this Bachelor thesis is the revelation of the advantages and disadvantages of circumstances of cooperatives and their impact on its business performance. The final output of the thesis will be the expression of opinion, whether the influence of legal, tax and accounting aspects relating to the creation and activities of the cooperative creates business advantage, or rather not.
The Czech political parties' statutes

Bachelor thesis studies the subject matter of the Articles of three Czech political parties - Social democrats (ČSSD), Christian People's Party (KDU-ČSL) and Civic Democratic Party (ODS). It aims to describe in the most detailed way how Articles have evolved in twenty-five year period since the Velvet revolution until today. The paper focuses on membership in those parties, how it is established, how it can be canceled and what rights and duties are jointed with the membership. Thesis also describes party's bodies, their mutual relationships and powers they have towards the regular member (and conversely). Parties' inner democratic principles and their impact on parties' structure nor topics as membership fees aren't omitted. Research method chosen for the thesis is qualitative analysis of more than forty documents, some of which are older than twenty-five years. They have been archived by Ministry of the Interior of the Czech republic. Based on political science theories the author derives four hypotheses, which he subsequently verifies by studying law as a system of obligatory rules, which parties have to project into their Articles and organizational structure and parties'Articles themselves as formal prescriptive to obey.

1 Summary "STATUTES OF UNIT OWNERS ASSOCIATION" The thesis deals with the statutes of a unit owners association as they are regulated in the Czech law (hereinafter referred to as the "Statutes"). The Statutes are the basic legal document of any unit owners association, through which the rights and obligations of the individual unit owners are exercised. The Statutes should provide any unit owners association with a framework for its smooth functioning in relation to its members (unit owners), as well as in relation to third parties. Much like other juridical (legal) persons, a unit owners association is created when registered to the public register. Its creation is preceded by a founding legal act of the future unit owners, i.e. the future members of the association. Statutory law (i.e. the new Civil Code No. 89/2012 Coll.) stipulates under what conditions the founding members are allowed to establish the unit owners association. For a successful registration of the association in the public register, ordinarily, the Statutes have to be approved by the founding members. The legislation sets out certain mandatory requirements, nonfulfillment of which would lead to a dismissal of the registration. Goal of this bachelor thesis is to give an instruction about ways and possibilities to reach a subsidy. In the first part is subscribe clearly theoretically few pages about applied research, including dividing and describing the most often use research methods. In the second part bachelor thesis point on describing organization which gives a subsidy and describing subjects which can receive a subsidy. In the third part is the description of few projects, which were successfully finished.
The association of the premiere cinemas (1928-1938)

Cinematography in the Czech lands went through a dynamic development during first decades of the 20th century. Original nomadic theatres and vaudevilles were replaced by permanent cinemas. The first one of this kind in the Czech lands was opened in 1907 in Brno. Movies became soon one of the most common way of spending free time as it was obtainable to all sorts of public. The biggest amount of movie theatres were obviously located in bigger aglomerations, the highest level of cinemas in Czech lands were concentrated in Prague. Here, in the center of the Czech capital, had also started a new trend of building a big screening halls, for a first time originaly projected only for a cinema purpose. These venues, builded in the 20's of 20th century as a part of commercial and financial palaces, were unique for reason to be premiere cinemas. Owners of majority of these special cinemas got together into a special ellite club called The association of the premiere cinemas. 58 The Abstract of my thesis The topic of my thesis is the legislation on the bylaws (statutes) of the banks in the Czech Republic. The bylaws are the most important documents not only of the banks, but also of every joint-stock company in general. The aim of this paper is to describe the present (contemporary, actual) national (Czech) legislation on the banks' bylaws and to emphasize the differences between the bank's bylaws and the bylaws of the ordinary joint-stock company. The first two chapters are focused on the explanation of the (the first two chapters explain) basic terms used in this work, specifically the terms "bank" and "the bylaws of the bank" in the light of the Czech law. In the following chapter I attempt to discuss division of the necessary parts of the bylaws. Then I continue with more detailed analysis of the bylaws requisites prescribed by the Czech Commercial Code and also required under the Law on Banks. At the end of this chapter there is a comparison of the particular provisions of the two leading banks' bylaws regarding their management and control systems, since these matters are individually tailored for each bank. THESIS SUMMARY: ARTICLES OF APARTMENT OWNERS ASSOCIATION The thesis deals with the regulation of apartment owners associations in the Czech Republic, in particular, with the articles of association of such legal entity. The paper is divided into three parts. The first part focuses on the Czech statutory regulation (especially The Act on Ownership of Apartments No. 72/1994 of Collection of Laws, and The Government Order No. 371/2004 Coll.) of the apartment owners association in general. There has been provided a short survey of the historical evolution of the ownership of apartments in the world as well as in the Czech Republic and a short depiction of the approaches on apartment ownership models - Anglo-Saxon-French and German Models. Greater attention in the first part is given then to the legal entity of apartment owners association. It examines the foundation and dismissal of the association, its legal capacity (and limits given by law), the membership in such association, and its bodies - assembly, statutory body, and other optional bodies. in English The thesis analyzes memorandum of association and by-laws of a joint-stock company, from both general point of view as well as from the point of their required particular informations. The part concerning general point of view describes and evaluates memorandum of association as document incorporating a joint-stock company, it is described what role is performed by this document throught the whole process of incorporation of a joint-stock stock company and what role is assigned to this document after the company has been established. The part concerning general point of view then covers the by-laws as a document which is a basic norm for functioning of a particular joint-stock company. The functions of a by-laws in relation to the chosen subjects are described and evaluated. The two general parts are connected through the tract about the relation between a memorandum of association and by- laws, where the relation is evaluated and the role and significance of the two documents is compared. Identification and definition of the Bank's Articles and practical analysis of two effective Bank's articles. The aim of this thesis was to emphasize the special treatment of banking statutes and to point to the importance of requirements for the banking statutes of the Commercial Code and Law on Banks. Due to the fact that banks are subjects with a strict state regulation, articles of association are also influenced by the secondary legal acts issued by CNB. The thesis is further focused on effective banking statutes of the two banks in order to estimate the statutory requirements accomplishment. The work consists of an introduction, four chapters, conclusion, appendices and bibliographies. In the introduction the author briefly introduces the reader to the problems and outlines the reasons why she chose the topic as the goals which should be achieved in the thesis.
