Business contract concluded with consumers

This thesis deals with the legal regulation of contracts concluded with consumers contained mainly in the Civil Code under the provisions on obligations under contracts concluded with consumers. It starts with a brief overview of historical development of consumer protection legislation. This is followed by an analysis of basic concepts, specifically definition of consumer and the trader, and also description of commercial contracts concluded with consumers. Following this, the work provides a complex overview of the relevant Czech legislation. Subsequently, the thesis focuses on the analysis and evaluation of the general rules of the process of concluding contracts with consumer in the Civil Code and also an analysis and evaluation of current legal regulation of contracts on financial services concluded with consumers by distance form. Specifically, it deals within the general rules of the consumer contract process, information obligation of the trader, rules on the interpretation of the content of consumer contracts, prohibited terms in consumer contracts and specific rules on withdrawal of consumer from the contract. Good morals in business relations Abstract This thesis explores the concept of good morals in in business relations. Its aim is to contribute to a deeper understanding of the role of good morals in commercial relationships and to provide a comprehensive view of their significance and application in the current Czech legal environment. Through an analytical approach to case law, legislation, and theoretical concepts, it aims to offer a complex analysis of the importance and implementation of good morals in business interactions. Good morals, with a long tradition tracing back to classical Roman law, represent a key moral corrective in legal relationships, evolving through the First Republic and the General Civil Code to the current Civil Code. The work examines how good morals function as a tool for regulating business relationships, focusing on specific cases where the morality of actions between businessmen was subject to judicial review. The bachelor thesis is focused on taxation of the the income of enterpreneurs, who use a car for their business. It deals with the concrete application of expences leading to the tax optimalization of the taxpayer and the impact of using a car for private purposes. In thesis uses methods of analysis, synthesis, induction, deduction and comparation. Thanks to them we came to the conclusion that an enterpreneur should buy a new car and add it to their business assets.
Preventive Restructuring as Protection against Bankruptcy

The topic of this thesis is the issue of preventive restructuring as protection against bankruptcy. It is a new and topical topic that solves the unfavourable economic situation of businesses and entrepreneurs in a different way than the insolvency law stipulates. Preventive restructuring has become part of the Czech legislative environment in response to the requirements of the European Union. The newly adopted law gives entrepreneurs the opportunity to restructure their companies in a timely and effective manner and thus avoid resolving their debt situation through bankruptcy. The thesis is focused on assessing whether there is any real hope in limiting or reducing the number of undesirable liquidations of viable businesses and enterprises due to this new aspect of Czech legal and economic life, as well as to evaluate the substance of business restructuring in comparison with the rules of insolvency law as a solution for negative economic situations of businesses.

This work is dealing with formation of a business plan for a concrete company small scale and verification of its feasibility and competitiveness in the Czech market environment. The thesis is divided into a theoretical and practical part. In the theoretical part I deal with on basic business terms. In the practical part already I apply the theory into practice. I also deal with drawing up a concrete business plan. This is followed by the practical part of starting a business with a focus on e-shop clothing. Based on the compiled plan I reviewed the conditions of establishment, potential risks and business competitiveness.
