Classes of Shares in Limited Liability Companies

1 Název, abstrakt a klíčová slova v anglickém jazyce Classes of Shares in Limited Liability Companies Abstract The Business Corporations Act has brought a number of innovations to Czech company law and has also opened up questions that almost no-one raised while the previous legal regulation was effective. Although many institutes already existed under the Civil Code of 1964 and the Commercial Code, the practice did not use the possibilities provided by the old regulation. Indeed, even the legal doctrine did not address many issues. One of these institutes is the institute of classes of shares. The dissertation is devoted to the creation of different classes of shares. The main research methods used when drafting this dissertation were selective literature research and analytical method, including comparative analysis. The method of abstraction and synthesis of acquired pieces of knowledge was used for generalizing the conclusions of the research goal. As regards the interpretation methods, a grammatical, logical, systematic, historical, teleological and comparative interpretation was used. Stock Market Manipulation

The disertation thesis deals with the market abuse through the market manipulation. Its focuses, in particular, to the merits of the regulation itself and specific regimentation. Manipulation is one of two pillars which creates the subject of the area of law dealing with market abuse. The thesis is divided into five basic parts, which are further divided into seventeen chapters. We proceed from the general definition of basic concepts, categories, and economic context to clarify a particular concept of manipulation and its operation in practice to particular subject matters of manipulation. The conclusion is then added to the list of negative description and liability arising from manipulation. The first five chapters, which are contained in Part A deals with general introductory remarks (Chapter 1), including notes dealing with the concept and methodology of the thesis, its objectives and determination of verified hypotheses (Chapters 3, 4 and 5). Chapter 2 of this part is partially devoted to the issue of terminology used in the thesis. Cooperativity of cytochrome P450 monooxygenase system in view of the modulation of drug and carcinogen metabolism

System of mixed function oxidases and oxygenases is very much involved in metabolism of xenobiotics and endogenous compounds. System consists of several components: cytochrome P450, NADPH: cytochrome P450 oxidoreductase (CPR), cytochrome b5 and NADH: cytochrome b5 oxidoreductase. It was found, that all these components interact with each other, thus ensuring operation of the entire system. Cooperativity of the system is then dependent on many factors, notably the nature of the interactions between the components. Apparently the most frequently discussed are the interactions between CPR, cytochrome b5 and cytochrome P450. The main redox partner of cytochrome P450 is CPR that during the electron transport undergoes a significant conformational change. Cytochrome b5 may have both inhibitory and stimulatory effects on the enzymatic reaction and its mechanism of action has not been fully elucidated. Cytochrome P450 can interact among themselves to create complexes which presence may have significant influence on enzymatic reaction. However cooperativity of the system in terms of character of enzymatic reaction does not depend only on quantitative effects, such as inhibition and stimulation. Collective investment scheme from the position of corporate governance Abstract The purpose of the dissertation thesis is to research the possibilities of application of corporate governance mechanisms in the area of collective investment scheme. In particular, the author surveys what corporate governance mechanisms are available for shareholders of ordinary corporations, what mechanisms are available for fund investors, what are the common overlaps of these mechanisms, and vice versa, where differences can be seen. These topics are analysed above all from the point of view of American law and European law. The thesis understands corporate governance mechanisms as the devices, institutions, and mechanisms by which shareholders assure themselves of not losing their investments. In principle, shareholders have three types of corporate governance mechanisms at their disposal, namely, regulatory, self-regulatory and market mechanisms. Regulatory mechanisms are instruments developed by legislator. Information duties, shareholder voting, board monitoring of management, fiduciary duties, remuneration schemes and debt instruments are analyzed in the area of regulatory mechanisms. Study of molecular organization of cytochrome P450 system using photoactivatable proteins

The cytochrome P450 system plays an important role in metabolism of endogenous compounds and xenobiotics. This system consists of cytochrome P450, NADPH:cytochrome P450 oxidoreductase (CPR), cytochrome b5 and NADH:cytochrome b5 reductase (CYB5R3). Explanation of protein-protein interactions among these reaction partners is essential for understanding the function of the entire system. Covalent cross-linking is a favorable method for studying these interactions. In this work a photo-activatable analogue of amino acid L-methionine (L-photo-methionine) was used as a cross-linking agent. This work is focused on the organic synthesis of L-photo-methionine, expression and isolation of CPR and CYB5R3 as photoactivable proteins containing incorporated L-photo-methionine. Auxotrophic strain of E.coli B834 (DE3) and minimal media were used for the expression. CYB5R3 with incorporated L-photo-methionine was successfully expressed and isolated. The extent of L-photo-methionine incorporation was verified by mass spectrometry. Furthermore, the photo-initiated cross-linking of CYB5R3 with cytochrome b5 was tested. Remuneration of executive bodies' members in joint stock companies

The PhD thesis deals with the issue of remuneration of executive bodies' members and other executives of joint stock companies in the Czech Republic and on the international level. This issue is a key area of corporate governance and constitutes an ever current and debated topic. The main research intent of this thesis is an analysis of the development and current shape of regulation in the area of executive remuneration and a related assessment of the regulation` influence on the practice in this area in joint stock companies in the Czech Republic and internationally. Attention is focused on both private and public (listed) companies. The thesis presents the results of the doctrinal and normative research led within the framework of the specific research questions set by the author within the defined research intent. The thesis focuses in detail especially on the question of effectiveness of the post-crisis regulation of remuneration on the global scale, on the interpretation of the regulation of remuneration of executive bodies' members in joint stock companies in the Czech Business Corporations Act and on the proper future shape of Czech rules of corporate governance for listed joint stock companies.
Dispersed Ownership of Shares

Two different systems of corporate governance globally coexist - the concentrated ownership system and the dispersed ownership system. The dissertation focuses on the history of companies and large economic entities. Attention is also paid to the relationship between the state and corporations. The importance of the first regulation of joint stock companies is discussed as well. Governance of large corporations is described and analyzed. The presented non-legal reasons for the existence of two systems of corporate governance are also summarized. Particular attention is paid to the legal preconditions for the dispersed ownership. Common law and civil law are compared. The differences in law of corporations (company law) are extensively analyzed - co-determination, fiduciary duties, piercing of corporate veil, board and independent directors. Detailed attention is focused on executive pay (remuneration / compensation).

Doctoral thesis: Law of concern groups and financial conglomerates Abstract The thesis analyzes the law of groups and financial conglomerates and is divided into three approximately equal sized blocks forming the puzzle in the form of a pyramid. Without understanding the supporting base made up of institutes of concern law, especially the terms of control, concerted practices and unified management, you can not move to the upper floors of qualifying holdings and close links to the top of the pyramid, which balances on the complicated definition of a financial conglomerate. In the spirit of this difficult journey up, the work is designed and its main objective is not only the clarification of the subject, especially the regulation of the financial conglomerate, which has so far not been the subject of a detailed literary exploration, but also the considerations de lege ferenda on weaknesses and strengths of the current Czech regulation of groups and financial conglomerates. In the first part it deals with the terminology of concern law, clarifying terms especially the business group, the majority shareholder, control, parent and subsidiary entity versus controlling and controlled entity, acting in agreement, the concern and its types.
