This bachelor thesis focuses on a comprehensive analysis of a real estate purchase agreement, including its legal framework and potential risks for both parties - the seller and the buyer. The theoretical part provides a detailed interpretation of the basic concepts and principles related to the contract of sale and transfer of immovable property. It defines key aspects such as the object of purchase, purchase price, acquisition of title, incidental arrangements and termination of the contract. The practical part presents a detailed analysis of a model contract of sale and transfer immovable property. It identifies and describes in detail the potential risks and shortcomings commonly encountered in practice. It proposes concrete and practical solutions to prevent risks and minimise their impact on the ontracting parties. The aim of the work is to provide a comprehensive overview of the problems of the purchase contract on the transfer of immovable property. To raise awareness of the risks and pitfalls associated with this type of contract.

Side agreements in the purchase contract

The bachelor thesis adresses side agreements in the purchase contract that help modify the purchase contract to the needs of the parties and the specific situation. The aim of the work is to thoroughly describe the selected side agreements, especially the price clause, which is the main focus of the practical part. The practical part aims to present the use of the price clause in particular in the light of the current crisis linked to rising consumer prices as well as producer prices. Using a semi-structured interview, the current situation in the four companies contacted was identified. Based on the information gathered from the empirical research, three model price clauses have been compiled which reflect the needs of the parties as much as possible.

2 Abstract The subject-matter of this thesis is the analysis of legal regulation concerning purchase contracts which, in functional market economy, represent the most important relations based on legal obligations between individuals who are non-entrepreneurs, and also the most frequent contracts of transfer of ownership rights. The thesis aims to make a detail survey of legal regulation of purchase contract in general terms. The work is divided into two basic parts. The first part deals with the current legal regulation of purchase contract as defined by the civil law. The other part deals with codification issues of private law, including civil-law codification of purchase contract which will enter into effect in the Czech Republic on 1 January 2014, and focuses mostly on the changes in legal regulation of purchase contract. The Commercial contract of purchase (law and perspectives) The contract of purchase is one of the most concluded contracts between artificial persons as well as between natural legal persons. It is surely appropriate to analyse modifications related to New Civil Code that is being drafted and means one of the biggest legislative changes that is being made in almost fifty years in the Czech private law. Therefore, the purpose of my thesis is to analyze both an effective law of the commercial contract of purchase including the international level, and forthcoming changes first and foremost related to liability for defects, consequences for the attainment of the ownership from the wrongful proprietor in general as well as in connection with real estate. I divided the thesis in two main parts; the first one is dealing with an effective law of the commercial contract of purchase, the second one is dealing with legal regulation in New Civil Code according to contract of purchase. Each of these parts is divided into minor chapters for better lucidity. The concept is therefore very broad, for the depletion of the issue it was necessary to examine the issue from the perspective of various legislations - private as well as public. The purpose of this work is to provide the most comprehensive picture of the institute of purchase contract, which constitutes one of the fundamental pillars of contract law. It also aims to reflect the planned amendment to the civil code, which shall significantly affect the concerned topic.

This bachelor thesis deals with the delivery terms and its meaning and aplication in the purchase agreement. The first part is theoretical. It provides an interpretation of the theory of international purchase agreement and the function and use of the Incoterms rules. It describes in detail the different rules and the comparison of the latest edition of International Commercial Terms 2010 with the previous version. The second part analyzes the practical use of different delivery terms in the business contract of specific company.

This thesis deals with the purchase contract. The purchase contract is the most widespread contract in the Czech Republic. In the first part there is the history of the purchase agreement described, the definition of the legal adjustment and the comprehensive view of the purchase contract. In the first part there is also the chapter called the comparison of purchase contract with the new Civil Code. In this part there are the most considerable changes defined and described. The new Civil Code is effective from the 1st of January 2014. In the second section there is the purchase agreement assembled. Every particular part is analyzed and described. The particular parts contain the own opinions and commentary. The purchase contract is closed on real estate. For the greater interest the other changes in the private law are pointed.

The topic of thesis is the purchase contract. The goal was to give its complete description, as it´s the most common type of contract, and to address everything that is related to this topic. The partial goal was to compare the civil and commercial legislation concerning the purchase agreement as well as taking into account the new Civil Code. The thesis is divided into two parts, theoretical and practical. However, by definition it is clear that these two parts are interconnected and the whole work represents a complex text. The focus of the analysis is placed on a sample purchase contract. Individual provisions of the sample purchase contract are supplemented by commentary, which includes suggestions and recommendations as well as personal opinions de lege ferenda.
