Franchising in the Context of Competition Law

Thesis: Franchising in the Context of Competition Law Author: Iva Horáčková English Abstract In the paper called "Franchising in the Context of Competition Law", the author deals with a topic that has not yet been elaborated in detail in Czech legal science. As in Czech law, there is no special regulation regulating franchising, there are no more detailed studies that would address the individual issues of the franchise relationship. Franchising as a form of enterprise is being often used in the Czech Republic and the numbers of franchise chains operating here are increasing every year. Therefore, it may be assumed that urgent events from practice will generate a deeper interest of legal science in franchising in the future. In the introductory explanation, the author clarifies the essence of franchising and distinguishes the franchise contract from the variety of contracts regulated by the Civil Code. However, the main topic of this work is the conflict between franchising and competition law. The work examines the aspects of both public law and private law. The European Union's regulation is taken into consideration particularly in the analysis of individual issues related to the protection of competition. The theoretical part of my thesis concentrates on basic information about franchising and the pros and the cons of enterprise. This part of my thesis also includes an analysis of conditions for obtaining a franchise license, analysis of law and economic conditions for franchising in the Czech Republic and analysis of a franchise agreement. The practical part of my thesis consists of analysis of the franchise market, it also analyses the corporations, which already operate on domestic market and it also analyses specific case. The main target of the thesis is to evaluate thanks to using a specific research and the general pros and the cons and to find out if franchising is a good way to run a business for rookies. The final part of thesis contains general recommendations for entrepreneurs.

The Use of Franchising in the System Providing Health Care Services in the Czech Republic

This thesis deals with the usage possibilities of franchising within the scope of health care services provided in the Czech Republic. First part of the thesis concerns franchising in general, describes its principals, development, law regulation etc. Second part analyzes franchising market in the Czech Republic and subsequently identifies respective concepts that are active within the scope of health care services. In my opinion, based on the analysis performed and with respect to theoretical findings, due to specifics of health care services, franchising might represent a suitable form of cooperation only among selected types of these services. Recommended among the concepts available on our market within the scope of health care services are those, which according to my opinion have potential to become a successful business opportunity.

This Bachelor Thesis is Focused on the Problematics of Franchising and Its Use in the Field of Services, Fitness Clubs Tangibly. The Theoretical Part of the Thesis Describes History of Franchising and Its Development. It Defines the Term Franchising, Describes Its Variations. The Thesis Specifies Elements of a Franchising Interrelationship and It Describes the General Procedure of Setting up a Franchising Branch. Then It Discusses Pros and Cons of Franchising from Both of the Parties and Macroeconomic Point of View. In the Practical Part there is Described a Franchising Network of Fitness Clubs for Women, Its Beginning, Current State and Planned Future Development. The Thesis Describes Setting Up of a New Branch and It States Preliminary Costs and Fees. It Discusses How to Select the Right Locality for the Branch. The Thesis Explains How the Franchisor Supports the Franchisee before, during and after Setting up the Branch. In the end there Is Summary which Evaluates Eligibility of Using the Franchising Method in the Fitness Area.
Franchising as a form of business on the example of selected company

The theme of this work is "Franchising as a form of business on the example of selected company" - Coffeeshop Company. The aim of this thesis is to analyze the concept of franchising to the case of Coffeeshop Company. The thesis is divided into three chapters. The first chapter deals with basic concepts, characteristics and advantages and disadvantages of franchising as a form of business. The second chapter is devoted to the legal aspects: legislation changes introduced by the new Civil Code, establishing a franchise company and franchise agreement. The third chapter is devoted to presentation of Coffeeshop Company, its products, franchise concept. In the second part of the chapter there is a questionnaire survey among franchisees, which is followed by recommendations for improving cooperation between the franchisor and franchisees.

The work provides the basic knowledge and principles of operation of the franchise business methods. In theory explains the path which leads to a formation of franchise system, from creation of conception to signing of franchise contract. The introduction captures dedicate to development of franchising from the very beginning, explains the basic concepts and the nature of franchise, advantages and disadvantages that brings stakeholders and briefly describes the legal environment in Czech republic. The following is a detailed description, step by step, leading to a creation of a franchise system and signing of franchise contract. The work deals with the content of franchise agreements, clarifying the role of franchise associations and Ethical Code in developing this type of business.
Mezinárodní franchising jako metoda pro obchodní expanze

The present Master Thesis investigates the concept of international franchising from both business and legal standpoints. The actuality of the topic is obvious: Franchising becomes one of the most perspective and fast-developing method for business expansion, and this Diploma was written as a reflection of such tendency. In the meantime, Franchising is an extremely complex and arguable business issue and still causes a kind of confusion in people's mind. For this reason, my effort in this Work is concentrated on the diversified influence franchising has on the business and economic environment, especially in times of economic troubles. And the Thesis proves the strong correlation between the economic and legal climate from the one hand, and the business opportunities from the other. This Diploma aims at the comprehensive research of the selected theoretical and practical aspects of international Franchising. The research is focused on detailed description of the three major pillars: franchise contract, the most evident franchising trends in terms of potential opportunities and risks, and, finally, the franchise overview with the analysis of the specific industries. The main conclusion that arises from this Thesis is definitely that international franchising is not just "a vehicle for conducting business" for large-scale experienced companies, but a real driver for globalization process now-a-days. The key message is that franchising tends to be considered more as the great business opportunity, even for small- or medium-sized companies, rather then a risky business concern. It is my great hope that this Master Thesis might help the potential entrepreneurs to create a broader view on franchising in international business format before making an intelligent decision about investing in a franchise.
