Transaction with securities and their legal regulation

Resume: The aim of my thesis is to define the area of investment banking and point out its specifics in terms of Czech life and institutions in carrying out securities transactions by way of analyzing relevant legislation, its doctrinal interpretation, supplemented by some practical conclusions drawn from relevant case law and opinions of regulatory bodies. The thesis is divided into three separate parts. The first part tries to grasp theoretical concepts used in the title of this work. The definition and nature of security is essential for its later usage in terms of operations which are performed with such securities by investment banks. Types of such operations are defined by various investment services which determine the extent of investment banks' scope of business. In addition to those investment services, the Czech regulatory environment also addresses the status of investment banks whose different models (in terms of their functioning) can lead to terminological questions of why some investment banks are not a bank in a legal sense. Caves and their legal protection

This diploma thesis aims at Czech legislation related to conservation of caves both in terms of its link to the protection of caves as subterranean spaces and parts of the natural environment and of its relation to other fields of expertise, including legal studies (e.g., mining law) and other disciplines (e.g., geology, carsology). First, our attention is paid to definition of the term "cave" and to links of the term to natural sciences. Further, we analyse the development of legal conservation of caves and approaches to caves as a subject of legislation per se. The example of Slovenia - being a prominent speleological country with recognized legislation in terms of its quality and detail - is used in order to compare Czech approaches to cave conservation. Concerning the practical issues, we present an example of conservation effort devoted to one single cave in Czechia, which enables to describe functioning of legal conservation tools, including the themes where these tools overlap. We also present and discuss the only one Czech case-law dealing with the legal aspect of caves.

The master's thesis analyses the contemporary corporate governance standards and their legal framework. The paper describes the development of different corporate governance principles and the key legal pieces that regulate the corporate governance area (eg. Sarbanes-Oxley, Basel II, EC regulation). The core of the paper focuses on corporate governance failures that led to the current financial crisis, analyses their link to the corporate governance principles and describes the trends for development in the corporate governance regulation.

Criminal offence of poaching

114 Summary In my work I would like to put near the problems of criminal offence of poaching, with which the general public meets very rarely. First of all, in this, work I tried to take into parts this provision of criminal law from the sight of material criminal law. I tried to draw attention to problems of poaching commission in the Czech Republic and to describe in details the legal signs of factum of poaching delict. I could not, of course, to leave out excursion into history, because poaching belongs among unlawful conducts with a very rich history, which ranges back until at Early Middle Ages and it is linked with dividing of society according property right, and in my opinion it is a very interesting topic. First of all in the parts of historical chapter of poaching is well seen, that rulers and their counsellors were able to create specifications - patents, which are up-to-date (actual) nowadays. Many historical documents, which concern to poaching, would be used effectively in present-day legislation. Of course, I do not mean capital punishments or torture, which the poachers had to pass at apprehension at unlawful hunting, nevertheless for example, provision about longtimed prisons for organized poaching groups, expended in patent of the ruler Maria Terezia would have actual signs nowadays. Rights of a child under the competence of bodies responsible for social and legal protection of children

70 Resumé In my thesis named " Rights of a child within the scope of the social-legal child protection authorities" I tried to focus on the activity of different entities relating to the social-legal protection of children. I have chosen this theme because I think this problem is very important and each advanced society should protect and take care of children as they can't take care of themselves. The thesis provides an initial introduction to the statutory regulations relating to the social-legal protection of children, which are primarily set out in Act No. 359/1999 Sb., on social-legal protection of children. In the present work I offer a brief overview of the most important child protection institutes, with focusing on the specific activity of the public authorities and the private entities operating in this area. My thesis is conceptually devided into seven, logically linked chapters in which I am trying to demonstrate the protection of children. In the first chapter there is a brief overview of the historical evolution of the social-legal protection of children, then, in the second chapter I am mentioning the most important law sources relating to the delineated issue. WORKING TIME, ITS DURATION AND ALLOCATION SUMMARY Working time is relevant working conditions. For employee and employer are legal regulations of working time, its duration and allocation very important. The life of employee is impressed with regulation and concrete used form of working time, because working time is closely linked with rest time. The employees are in labour relation the inferior side that is why the labour code guarantee against employers by peremptory rules. Legal regulation of working time is arranged in fourth part of act Nr. 262/2006, labour code, which is effectual from 1.1. 2007. Legal code contains legal regulation of general provisions of working time and its duration, of allocation of working time, of lunch break and safety break, of rest time, of nightwork, of overtime, of working preparedness and of joint provisions of working time and one last of enabling clause. The new labour code reinforce expressively the principle of liberalization. Labour code extend liberty of contract of participants of labour relation. Life insurance - usage in practice

First part of this work introduces the history of life insurance, the division of life insurance and legislation of insurance in the Czech Republic. Another part is devoted to the advantages and disadvantages of life insurance. Furthermore, life insurance is compared as protection and as saving or investment. In this context, attention "TANK" indicator. Another part of the work deals with the development of life insurance. In part that concerns the simulation of life insurance in the other life-cycle of the clients there are described three situations according to the age of the client: a 20-years old client, a 40-years old client and a 65-years old client. The conslucions of this work was to show practical examples of advantages and disadvantages of life insurance, its practical application in practice and compare in this context, term insurance and unit link insurance.
