The General Meeting of a Joint-Stock Company

General Meeting of the joint-stock copany The aim and purpose of this thesis is a comprehensive summary and description dealing with the problem of the General Meeting of the joint stock company. At the same time, this work attempts to draw attention to the basic practical problems that are related to the General Meeting of the company. This paper therefore attempts to characterise the fundamental issues with the assistance of the court findings and legal sciences. At the same time this work is trying to highlight the latest changes that have occurred in connection with transposition of the Directive Nr. 2007/36/EC of 11 July 2007 "on the exercise of certain rights of shareholders in listed companies" in our legal system. The structure of this work is conceived from the perspective of the course of the General Meeting, where individual chapters are arranged chronologically. The only exceptions are the last two chapters dealing with the rights of shareholders in General Meeting and the decision of the sole shareholder in the scope of the General Meeting. Endocrine function of adipose tissue and its role in development of atherosclerosis.

Adipose tissue represents a multi-functional endocrine organ. Obesity may lead to the increased release of proinflammatory factors and adhesion molecules from adipose tissue, thus playing an important role in the development of atherosclerosis. Recent research studies were focused on the mechanisms of the endothelial dysfunction, low-grade inflammation and adipose tissue endocrine function dysregulation, and their mutual relationships. These processes are of a great interest due to their clinical relevance and increasing numbers of patients suffering from cardiovascular diseases or being at high risk of early atherosclerosis progression. Exact mechanisms and interrelationships of these factors are yet to be fully clarified. (...) Results of this project may represent another step on the way to the detailed explanation of the mechanisms and relationships between adipose tissue endocrine function or dysfunction and atherosclerosis development. Better understanding and ability to prevent or treat the negative metabolic effects of adipose tissue-derived molecules would be of great importance for numbers of patients at high risk of cardiovascular diseases.

Semantic and pragmatic aspects of the prosodic component of the message in simultaneous interpretation

Julie Marešová, Semantic and Pragmatic Aspects of the Prosodic Component of the Message in Simultaneous Interpreting, Institute of Translation Studies, Faculty of Arts and Philosophy, Charles University, Prague, 2009 The thesis focuses on the prosodic component of the message in SI from the point of view of the speech listener, the interpreter and the interpretation listener. First we described the general function of prosody and its role in SI. We mentioned Gile's Effort model which is closely related to the prosody of source speech. We also considered the interpretation quality assessment from the point of view of the final client. The empirical part is focused on the way the prosodic character of the source speech influences the interpreter's work and whether the same influence can be seen in the client's assessment of the interpretation. Using computer analysis (computer programme PRAAT) and retrospective questionnaires we have found out that the interpreters are completely aware of the source speech prosody. If the prosody is unnatural or inadequate it raises the demands on concentration and understanding and makes interpretation more difficult. 70 Collective bargaining Resume The thesis written by Lukáš Manhart concerns about the issue of a social dialogue and a collective bargaining in The Czech Republic, as these issues have been formed during the process of the social and economical development in the country. Social partnership, tripartite, bipartite, collective bargaining, collective agreements and their expansion, strikes, social conciliation are the conceptions which emerged in connection with the solution of social conflicts between employees and employers, labour unions and employers' associations. The conception of a ,,social dialogue", after which is usually the communication between social partners and their representatives called in its whole width of possible topics and forms that take place in a company social dialogue but even at a sectorial, regional or national (tripartite) level, is not definite. Summary New legislation on the prospectus, its benefit and significance for functioning of the capital market The purpose of my thesis is to deal with the prospectus and the new European Prospectus regime introduced by the Prospectus Directive and Regulation, to analyse its benefits and its significance for functioning of the capital market, to recognize its main changes and innovations, and to consider the implementation of the Prospectus Directive in the Czech Republic. The thesis is composed of 13 chapters, each of them dealing with different aspects of the prospectus. Chapter One is introductory and describes the purpose of the thesis and working methods. Chapter Two mentions the development of the legislation in the European Union and in the Czech Republic. Chapter Three contains a definition of the prospectus and describes its functions. Chapter Four deals with the conception of the current legislation on the prospectus and with the role of CESR. Chapter Five concerns with the obligation to produce and publish a prospectus. The fundamental of this case is to explain principles of function of rent and lease in the Czech legal environment and to clarify basic specificities and differences of both instruments to a reader. The main part is then paid to a historical development until the present, to a definition of the most important conceptions and a charakterization of concrete contractual relations. At the end of each chapter are brought out advantages and disadvantages resulting from experience and the whole work is finished by a confrontation of rent and lease.

Financial analysis of AC Sparta Praha fotbal, a. s.

This bachelor's thesis is focused on the processing of financial analysis of football club AC Sparta Praha fotbal, a.s. The theoretical part of the work deals with the subject and the development of financial analysis, users of financial analysis, sources, methods and techniques used in the processing of financial analysis, and definition of objectives and areas of financial analysis. Practical part of the work put the theoretical knowledge into practice, in the specific case of football club AC Sparta Prague. The specificity of the environment in which the sports clubs in the Czech Republic do business is reflected in the calculated ratio indicators. Selected indicators are compared with other entities located in the same industry. The aim of this work is to determine through an external financial analysis, how to manage a football club, to assess its financial situation and propose solutions.

Relationship between practical wisdom and ethical states in Aristotle

In our text we examme the relationship between practical wisdom and ethical states in Aristotle's Nicomachean Ethics. The goal of our work is to define the function of practical wisdom in ethical virtue. We gradually analyze the indiviual parts of definition of ethical virtue from EN II, 6, that is, that virtue is a state concerned with choice which holds the mean relative to us in such a way as a man of practical wisdom would define it. After the analysis of state concerned with choice and practical wisdom we arrive at the determination of practical wisdom as the source of virtuous action; only practical wisdom can be the criterion that pronounces what is bad and good; desire in itself is not capable of deliberation. Following from this a new question arises: how can practical wisdom influence the irrational part of the soul, which is the seat of desire? Practical wisdom, having no direct influence on desire, uses ethical virtue-temperance as it's intermediary. This induces in irrational desire the intention to follow practical wisdom and thus practical wisdom becomes master of desire. Křesťanské hodnoty v životě dospívající mládeže Diplomová práce Diplomová práce Křesťanské hodnoty v životě dospívající mládeže je koncipována jako pracovní materiál pro terapeuty, kněze a další pomáhající profese. Vycházím ze svých zkušeností poradenské praxe v oblasti osobnostního rozvoje a řešení konfliktních situací. Zaměřuji se na problematiku dospívajících a jejich potřeby zvládnout své osobní problémy, vyplývající z disharmonických rodinných vztahů a z různorodých negativních podnětů současné společnosti. Cílem práce je zviditelnit různorodost vlivů na utváření názorů dospívajících a současně nabídnout způsob, jak vytipovat a vybrat vhodné morální hodnoty křesťanského etosu, pro potřeby podpůrného rozhovoru s dospívajícím. V první kapitole vymezuji pojmy hodnota, morální princip a morální norma. Dále navrhuji základní kriteria, která musí být splněna, aby navrhované hodnoty byly přijaty. Téma doplňuji o pohledy hodnotové filosofie, křesťanské antropologie a morální teologie. V závěru kapitoly se zamýšlím nad morálním jednáním člověka ve vztahu ke svobodě a dobru. Ve druhé kapitole shrnuji poznatky současné psychologie o významu a funkci rodiny a jak ovlivňuje své jednotlivé členy. Následně uvádím, jaký význam rodině přikládá křesťanství. Stress in working environment

The diploma thesis deals with the issue of a stress load in the working environment, specifically of employees of the criminal police. The theoretical part provides a general definition of basic concepts such as stress, personality or resistance. It introduces the various types of stress, its symptoms, causes and possible responses to psychological stress. The larger section is devoted to stress in the working conditions. It describes the most common stressors, risk of a burnout and possibility of stress reduction in general and directly for the police officers. The knowledge gained from the theoretical foundations is applied in the empirical part. The aim of the empirical part is to find the level of stress load among respondents from the ranks of the criminal police using qualitative methods of investigation, interview, in combination with the use of a questionnaire Meister. This section focuses on the positive and negative factors in the workplace, preventive measures and assesses differences based on gender, age, length of practice or marital status.
