Liability of Supervisory Board

This thesis deals with civil liability of the Supervisory Board and its members for breaching his duties. Emphasis is placed on responsibility and legal relationship, whose content is obligation to pay damages, between Supervisory Board and its member and business companies (in the new terminology "business corporation"). This thesis is dealing at first with the legal anchoring of the Supervisory Board as such, the creation and termination of the Supervisory Board and the definition of its living space not only in the relation to corporation, but also to individual shareholders, General Assembly and of course to the Board - including their mutual rights and responsibilities. Thesis is crossed by author's intention to evaluate the active legislation, whose legislative life is coming to an end, and on the basis of that to comment upcoming legislation that at least brings a fresh wind to the corporate life. Shortly is discussed upon by the factual impossibility to prosecute members of the Supervisory Board for crimes associated with their performance.

Analysis of Debt Collection in the MERCI, s. r. o. Company

This Bachelor thesis analyzes the debt recovery in the company MERCI, Ltd. The theoretical part of thesis deals with not only recovery of debt, but also the reasons behind debt occurence, therefore the creation, debt security and termination debt. Finnaly, it recommended an effectvie way of recovery and proposed preventive measures against the occurrence of overdue debts.

Psychological problems from leaving a job

The goal of my work is to show problems which are connected to unemployed individuals and to show reduction options of unemployment effects on a human being. This bachelor work is divided into two parts: involuntary job termination and leaving the job because of the old-age retirement. In the first part, after explanation of job importance for a man and after explanation of the term unemployment, I focused to field of unemployment psychology, where I showed importance of historical researches, gave a list of unemployment effects, described phases of reaction to unemployment, barriers in adaptation and I also describe risk groups, which are predetermined by their specificities to long-term or repeated unemployment. I also studied unemployment influence on mental and physical health of individuals. Unemployment is a stressful event therefore I paid attention to stress causation and stress management models. Then I wrote a list of mental and somatic illnesses and disorders. I also concerned living through unemployment in different age stages and different support and help to unemployed people. At the end of the first part I generalize pieces of knowledge about long term unemployment and I show summary of profit and loss of unemployment. 1 SERVICE RELATIONSHIP OF MEMBERS OF SECURITY FORCES This master thesis deals with the duty of the security forces. The work is divided into three main parts, the first is focused on the history of services in the security forces, the second part concerns the preparation and establishment of the new service law and the third discusses the legal regulation, as described in the Act No. 361/2003 Coll ., The law of service of Security Forces, the effectiveness of this act occurred on 1.1.2007. The main goal of this thesis is to clarify all the institutes, which The law of service of Security Forces includes, describe them and find the gaps, which should be removed in future. The Act edits all relationships between officers and security forces, which include: the Czech Republic Police, Fire Brigade of the Czech Republic, the Customs Administration of the Czech Republic, the Prison Service of the Czech Republic, the Security Information Service and the Office for Foreign Relations and Information. Selected issues of conflict of laws in international family law

This thesis is aimed at specific questions of conflict rules of the international family law. Specifically, it focuses on the conflict law rules of matrimonial law with an international element. It takes into account the domestic, as well as the international regulation and regulation of the European Union. The thesis is divided into eight chapters. It starts with an introduction, which is followed by the second chapter which deals with the concept of international family law and its sources. The third chapter devoted to a general explanation of the conflict rules including the most significant related terms, such as determining factor or public order. The fourth chapter is aimed at the legal regulation of concluding a marriage with respect of the conflict rules determining the law applicable in case of capacity to conclude a marriage, its validity and form. This chapter also deals with consular marriages and marriages concluded abroad in case of threat to life. The fifth chapter contains he conflict rules of personal and property situation of spouses. The purpose of my thesis is to analyze the State Enterprise Act. The main aim is to describe the life of state enterprise from its foundation to its termination and to point out the major legal issues. My desire was to recommend some improvements to legal regulation of the state enterprise. My thesis is divided into several chapters, each of them dealing with different aspects of the state enterprise. The first theoretical chapter examines the question whether the state enterprise is a legal entity on the background of civil doctrine. The next chapter deals with the foundation process of the state enterprise. Who is authorized to create the state enterprise and what are the essential elements of the charter of foundation. It describes the process of signing into the Commercial Register and its legal impact. This thesis also provides a view to the relationship between the authorized representatives and the state enterprise. It shall answer the questions about the powers of governing bodies and their liability. The next part is devoted to the administration of state-owned property by the state enterprise. Občanské fórum in Slaný

The object of this study is the creation, activity and termination of Občanské fórum (OF) in the central Bohemia city Slaný. The OF in Slaný was established after the general strike on 27th November 1989 at home of one of the founders. Other OF were created spontaneously in the workplace and in schools and gradually merged into the urban OF. In the early days the dialogue was the priority, members of OF Slaný called for discussion by their deputies in the local national committee. The main objective is to clarify the activities of OF and its influence on events in Slaný in November and the days following. Many different people with different interests, motivations and desires came and left the OF. And it influenced his future direction and impact on the political scene in Slaný. Without the establishment of the OF it would be more difficult to put pressure on city officials to allow access to the administration for the non-communist parties. The parties and movements have been isolated. The OF was able to unify the parties and joint efforts have produced results. Legal consequences of human gender-reassignment

This Bachelor Thesis deals with the issue of legal recognition of gender reassignment and its relation to human rights. First, it provides an overview of legislation that deals with this topic. It also contains the definition of gender identity, transsexualism and transvestism, development of transsexualism in the Czech Republic and the actual phase of a complete surgical sex change and of an administrative sex change, which includes alteration of personal data, documents, and especially changes to the personal identification number, to which this thesis is mainly focused. Sex change is also related to the termination of marriage, issues of personal status of human and property and family relationships.
