Competencies of the General Meeting of a limited liability company

This thesis deals with competencies of the General Meeting of a limited liability company in the Czech legal order. At the first place its aim is to define the term competencies of the General Meeting. The next main task is an in-depth analysis of each issue that falls within the competencies. The attention is concentrated predominately on how decisions about the issues concern the General Meeting as the highest body of the limited liability company, i.e. which requirements, procedures and limitations have to be complied with according to the law. The intent is to point out all the areas within the subject matter of this thesis that are ambiguous or the areas without any consistent view on them for any reason including providing with my own commentary or opinion of a possible solution. The essential part of the thesis is an analysis of a current practice of higher courts of the Czech Republic related to the subject matter of the thesis. The purpose of the first chapter is to introduce briefly the issue of the competencies of the General meeting to the reader. Jednou z klíčových změn, které přinesla Lisabonská smlouva je vytvoření funkce Vysokého představitele pro zahraniční věci a bezpečnostní politiku, který předsedá Radě EU pro vnější vztahy a který je zároveň místopředsedou Evropské komise. Institucionálně se tak propojily dvě klíčové složky zahraniční politiky EU. Na tento post byla navržena dne 19. listopadu 2009 na neformálním zasedání šéfů států a vlád členských států EU v Bruselu Catherine Ashton z Velké Británie. Stalo se tak těsně před vstupem Lisabonské smlouvy v platnost dne 1. prosince 2009. Evropská služba pro vnější činnost (ESVČ), někdy také označovaná jako diplomatický sbor Evropské unie, je poté zcela novým útvarem jenž přináší Lisabonská smlouva.

Evaluation of municipality financial needs in Czech republic

The diploma thesis describes and evaluates system of fundamental territorial administrative units -- municipalities -- financing. First theoretical part of the thesis deals with explanation of basic terms in this field, second part includes comparative analysis of an administration of theree selected municipalities. Those vary in the area, number of inhabitants as well as in quantity of administration they perform. The analytic part is focused on the characteristics of revenues and expenditures which flow to/from budgets of municipalities, their structure and amount both in absolute and relative numbers. Data from years 2006 -- 2010 were used for this purpose.

Municipalities Activities in Autonomous and Delegated Competence

This bachelor thesis will deal with the issues of activities in an independent and delegated powers of municipalities. The bachelor thesis is devided into theoretical and practical parts. In theoretical part are defined basic terms and relations interested in this issues and then the metodology for determining the contribution to the performance of state administration and proportion of activies in an independent and delegated powers of municipality. In the practical part the thesis is keen on analysis of the activities of a particular office and determines the proportion of independent and delegated powers.

The authority of the financial control of the community - connections and confrontations with the EU

In the project I discuss the issue of the authority of financial control of the community {--} connections and confrontation with EU. The pursuit of clarify the question: "What is the community?", "Which authorities does it have?", "How is its way to wield a region of the independent field of activity and in the region of the delegate sphere?" The target of the project is to make the activity of the authority clearly, let us say to specify the authorizations of the authority of financial control of the community. The community is a ground of the state. The constitution of the Czech Republic characterizes the community like a fundamental area of a citizen association which has right to self-government. Each part of the Czech Republic territory is inseparable from some districts of the community. The law number 128/2000 of statute-book, about the community (community establishment) in the wording of late directive gives wide choice of unite, to establish the confederation. In the Czech Republic, like in another states in European Union, creates each individual community the fellowships wickedly its interests. The communities have tasks in a region of the independent field of activity and in the region of the delegate sphere. The practical invoking of laws and regulations are not without the serious troubles. The communities have to meet the requirements according to the instructions from above. Strictly speaking they have not an option to influence retrospectively and determine to form of the legislation. Because the state is one and only, it can gives a definition about its interests wickedly its conceptions. To the contrary is countless numbers of communities in the Czech Republic. The disparateness of the component interests of constituent communities is thus understandable. The independent authorities have a big power (authority) in the Czech Republic. This reality brings with itself the humungous responsibility. In the Czech Republic is about 6 254 communities. About financial resources which are leak through the financial authority of territorial autonomy {--} it is about 250 milliards Czech crowns per a year {--} make decisions the members of the community and region.

State of the statutory body in companies

The diploma thesis is focused on a state of the statutory body in companies. The legal regulation is set by the Act Nr. 513/1991 Coll. commercial code, as amended. The attention is given to the way to institute statutory bodies, duties and responsibility of members of statutory bodies and the way to act of companies. The new conception of the legal regulation of companies, especially of the state of statutory bodies, is mentioned at the conclusion.

Public guardian of the rights in European Union, Czech Republic and Slovak Republic

The diploma thesis focuses on institution of ombudsman in European Union, Czech Republic and Slovak Republic. It is aimed at questions of legal regulations of this institution in the mentioned formations. Particular chapters of this thesis are structured into following 5 task parts. The first chapter describes the history of the origin of this institution, explains the term of ombudsman by using definitions, classifies existing kinds of institutes of ombudsman and specifies the field of action. The second chapter identifies the European ombudsman. It is focused especially on analysis of received complaints in practically whole period of existence this institution and evaluation of activities in 2008. In the third chapter is described the institution of ombudsman in the Czech Republic and in the fourth chapter in the Slovak Republic. The last chapter of the diploma thesis deals with comaparison of ombudsman institutions in these two countries.

Krajské zřízení

Práce nejprve vymezuje podstatu územní samosprávy a popisuje vývoj krajů na území českého státu od jeho vzniku. Podrobně je zkoumána působnost krajů, a to zejména s ohledem na způsob jejího přiřknutí krajům a rozdělení celkové působnosti kraje mezi jeho orgány. Práce dále sumarizuje teoretické koncepce použitelné pro vnitřní organizační výstavbu kraje. Těžištěm práce je rozbor vztahů mezi orgány kraje (kreace, odpovědnost, řízení, kontrola apod.) a zkoumání vnitřního uspořádání jednotlivých orgánů kraje, tedy právní postavení členů těchto orgánů a vztahy mezi členy orgánů kraje. Práce také navrhuje principy jednání orgánů kraje.
