1 Abstract Remuneration of members of governing bodies of joint-stock companies Remuneration of members of governing bodies of joint-stock companies is very topical. The aim of this thesis is to analyse the topic and its fundamental aspects, to compare legislation before and after the re-codification of Czech private law and to compare Czech and British law relating to remuneration. The first chapter defines the basic terms, aims and methodology of this thesis and describes relevant economic concepts (e.g. principal-agent problem, fragmentation of ownership of joint stock companies). The second chapter focuses on the issue of concurrent engagement as a director and as an employee of the company. This issue had been object of legal uncertainty in the past. The third chapter focuses on entitlement to remuneration. After the re-codification, the director is not entitled to remuneration unless otherwise stipulated by the parties. The right to be remunerated can be based on a service contract, internal directive or a resolution of the company. This is being compared in the thesis to the British regulation where decision-making about remuneration may be entrusted to the board of directors itself. On the other hand, the...
Poetics of Tomáš Klus Lyrics
Prchalová, Tereza ; Hník, Ondřej (advisor) ; Peterka, Josef (referee)
Resume There are two Klus's professions, acting and music, intertwined in the album Racek by the means of the songs inspired by Chekhov's play of the same name. By that connection, there aroused highly respected songs in the Czech music scene. Together with other pieces, they create a lexicon of Klus's peculiar and nowadays highly popular poetics, which is formed especially by frequent metaphors, set phrases, defamiliarization, intertextuality, author's words and expressive, derogatory, bookish, antiquated, diminutive, regional and borrowed expressions. Though his songs consist of various automatized expressions, his lyrics as a unit appear to be original and sincere, and, at the same time, they are understandable for common audience, because he transfers colloquial speech and generally known expressions into them.
Routing policies and real paths in the Internet
Hlaváček, Tomáš ; Peterka, Jiří (advisor) ; Kruliš, Martin (referee)
Routing policies are now represented by RPSL and by its evolutionary extension called RPSLng. These languages can be used for describing unique routing policy of each autonomous system. Experience shows that even though there are translation tools from RPSL and RPSLng to configuration formats of commonly used routers, the actual network configuration is rarely generated from RPSL sources and routing policy is then perceived as marginal paperwork, which often does not reflect the real network settings. There will be most likely a need for RPSL format change in order to remedy the discrepancies. To support this I present long-term measurements of inaccuracies in routing policies compared to real paths in the Internet. I also present a list of the most frequent problems, and I offer suggestions, how to reform RPSL to improve situation in the long term. Powered by TCPDF (www.tcpdf.org)
