Due Diligence in the Field of Mergers and Acquisitions
Dendisová, Zuzana ; Moravec, Tomáš (advisor) ; Čadílek, Jan (referee)
Diploma thesis "Due Diligence in the Field of Mergers and Acquisitions" analyses due diligence in perspective of Czech legal practice and clarifies the due diligence concept during M&A transactions. The first chapter is an introduction to due diligence . The second chapter is dedicated to international mergers and acquisitions. The third chapter explains due diligence in practice and the fourth chapter analyses benefits and risks of M&A.
Základy vývoje řízeného sekvenčním uměním
Moravec, Martin ; Koubský, Petr (advisor) ; Tichý, Jan (referee)
To develop and deliver an innovative and technologically superior product is not enough to succeed when it does not meet the user's daily needs. To develop such a product, you need an abstract and easy to use communication platform for target users, decision makers, and developers, that can also act as a model of the relevant part of the real world displaced by a possible innovation, auxiliary tool in creating a mind map and documentation, and a way of promoting the final product. An instance of such a platform is a sophisticated comic book, itself an instance of sequential art. Not only is it a feature rich and intuitive tool for collaboration of interested parties with different backgrounds, skills and roles, but since it essentially reflects the relevant part of the real world displaced by the innovation, it's pretty easy and quick for a new user to learn and master. Although not limited to such instances, it can be found as an especially useful tool for crowdsourced and open source based projects. This thesis will lay down the much needed theoretical basis for the Sequential Art Driven Development method and offer a practical application of such method, with an open call for contributions from members of the crowd, in the form of a CC0 licensed comic book series "Who is Secret Agent X-9?", a showcase platform for cutting edge technologies like the Bitcoin network and Nemo Mobile operating system.
Miloslav Kabeláč - Complete Works for Piano and Chamber Music for Strings and Piano
Bartoš, Jan ; MORAVEC, Ivan (advisor) ; KLÁNSKÝ, Ivan (referee)
The purpose of this dissertation is to analyse Miloslav Kabeláč's piano works. It collects informations and answers questions relating to this narrow focus. The dissertation also tries to find interpretative clues to his two most important piano cycles - Seven pieces op. 14 and Eight preludes op. 30. The dissertation points out the fact that if we want to present and understand his works correctly, it is necessary to study Kabeláč within a broader context.
Monitoring of Internet and its benefits to business tools from SAS Institute
Moravec, Petr ; Pour, Jan (advisor) ; Rott, Ondrej (referee)
This Thesis is focused on the ways of getting information from the World Wide Web source . The Introduction pays attention to the theoretical approach towards data collection options . The main part of the Introduction is engaged in the Web Crawler program as the possibility of data collection from internet and consequently they are followed by alternative methods of data collection. E.g. Google Search API. The next part of the Thesis is dedicated to SAS products and their meanings in the context of reporting and internet monitoring. SAS Intelligence platform is presented as the crucial Company platform In the framework of the platform there could be found concrete SAS solutions. SAS Web Crawler and Semantic Server are described in SAS Content Categorization solution. Whilst the first two parts of Thesis are focused on the theory , the third and closing part pays attention to practical examples. There are illustrated examples of Internet Data collection, which are mainly realized in SAS. The practical part of Thesis follows the theoretical one and it cannot be detached.
Insolvency Crimes
Valíček, Jan ; Moravec, Tomáš (advisor) ; Grošpic, Pavel (referee)
This thesis deals with the special category of crimes related to the bankruptcy of the debtor and to the insolvency proceedings. The first and second parts of the thesis are devoted to the general introduction into the both law branches, i. e. into the insolvency law and criminal law. The third part of the thesis focuses on interconnection of the mentioned law branches reflected in the category designed as insolvency crimes. The thesis analyses particular crimes utilizing the legal acts, technical literature and judicature. The fourth part handles the available statistical data regarding the insolvency criminality provided by the Czech Police. At last the thesis evaluates the social harmfulness of the insolvency crimes, its legal regulation and the protection against it.
Nonequilibrium condensation processes in steam turbines in the light of new measurements of heterogeneous particles
Hrubý, Jan ; Kolovratník, M. ; Ždímal, Vladimír ; Bartoš, Ondřej ; Moravec, Pavel ; Jiříček, I.
In a steam turbine, droplets are formed either homogeneously or via heterogeneous nucleation on pre-existing heterogeneous particles. In a pioneering work, the present team developed a system to measure the number and size of heterogeneous particles down to diameter of 3 nm. This work reports on measurements at Power Plant Prunéřov II. For the first time, the data is at higher parameters (0.27 MPa, 250°C), and the diffusion battery was used to determine the size distribuition of the particles, showing count-mean diameter of about 13 nm.
Heterogenní částice v parních turbínách: měření na elektrárně Prunéřov II a další vývoj měřicích metod
Hrubý, Jan ; Kolovratník, M. ; Ždímal, Vladimír ; Jiříček, I. ; Bartoš, O. ; Moravec, P.
The form in which various impurities and admixtures are transported in steam circuits of power plants is a missing piece of knowledge needed to fully understand the processes of liquid phase formation in the low-pressure stages of steam turbines and, consequently, to model these processes and suggest modifications of turbine operation and design. The existence of heterogeneous particles in the superheated steam has been proven by the present team using an original sampling device, enabling using standard aerosol instrumentation to characterize the heterogeneous particles in superheated steam. We report measurements at power plant Prunéřov II, where 5.6E9 particles per kilogram of dry steam was found. The Sauter diameter of the particles d32=30nm was determined. The mass balance indicates, that substantial part of the mass of impurities is contained in particles <3nm, the current detection limit. For this reason an expansion chamber is being developed with a goal of detecting particles down to 1nm.
Regulation of Free Movement of Companies in European Community Law and in some Member States
Moravec, Tomáš ; Pavlok, Jan (advisor) ; Brodec, Jan (referee)
V práci se zabývám úpravou volného pohybu společností v komunitárním právu. Přibližuji ustanovení primárního práva o svobodě usazování a jejich výklad Evropským soudním dvorem. V práci dále zkoumám možnosti přesunutí registrovaného a skutečného sídla obchodních společností uvnitř jednotného trhu. Práce analyzuje proces přesunutí sídla jak u nadnárodních forem společností, tak nepřímé přesunutí sídla u národních forem společností.
