Akcionářské dohody (s důrazem na utvrzení jejich závazků v širším slova Tato diplomová práce analyzuje institut akcionářských dohod s důrazem na utvrzování jejich závazků. Hlavní ambicí této práce je snaha o zmapování obvyklých ujednání, které utvrzují závazky z akcionářských dohod. Teoretické závěry této práce jsou dále využívány v rámci kvalitativního výzkumu zaměřeného na utvrzení závazků z akcionářských dohod. Výzkumný vzorek tvoří dvacet osmi akcionářských dohod, jejichž společný jmenovatelem je fakt, že byly povinně zveřejněny v práce je rozdělena do pěti vzájemně navazujících kapitol, ze kterých lze vyzdvihnout zejména poslední dvě kapitoly, které obsahují materiální podstatu této diplomové práce. První kapitola diplomové práce prozkoumává limity akcionářských dohod a odlišuje je od stanov akciových společností. Závěr této kapitoly se snaží poskytnout komplexní definici akcionářských dohod s důrazem na vzájemné odlišnosti. V rámci druhé kapitoly, zabývající se závazky z akcionářských dohod, jsou rozebírány důsledky, které by mohla vyvolat publikace akcionářské dohody v registru smluv, a to zejména v kontextu případné závaznosti ze strany cílové společnosti a důsledek publikace ve vztahu k výkonu funkce členů statutárního orgánu cílové společnosti. Shareholders agreements (focusing on corroboration of their obligations in a broad sense) Abstract This master thesis analyses the institute of shareholder agreements from the perspective of corroboration of its obligations. The main ambition of this thesis is to examine usual contractual arrangements which ultimately corroborates obligations arising from shareholders agreements. Theoretical conclusions from this master thesis are subsequently applied in qualitative legal research focused on corroboration of the obligations from shareholders agreements. Research sample consists of twenty-eight shareholders agreements, which have in common that they have been obligatory published in the registry of contracts. This thesis is divided into five interrelated chapters, of which the last two chapter may be considered as crucial as they contain core findings of this master thesis. First chapter explores limits of shareholders agreements and distinguishes them from articles of associations of joint- stock companies. The conclusion of this chapter attempts to provide a comprehensive definition of the shareholders agreement with an emphasis on differences between them.
