RESUMÉ Druhy akcií v úpravě zákona o obchodních společnostech a družstvech Cílem této diplomové práce je analyzovat, popsat a rozpracovat změny, které přinesl do českého právního řádu zákon č. 89/2012 Sb., občanský zákoník a zákon č. 90/2012 Sb., o obchodních společnostech a družstvech. Diplomová práce je rozdělena do pěti kapitol, které se postupem od obecné ke konkrétní problematice a zaměřením se na zahraniční právní řády zabývají jednotlivými aspekty akcií a druhů akcií. První kapitola této práce je soustředěna na obecný pojem cenného papíru, jeho definiční vymezení a historický vývoj cenného papíru jako jiné majetkové hodnoty a věci. Dále se v této kapitole věnuji pojmu účastnický cenný papír a jeho významu v nové právní úpravě. V poslední řadě se tato práce obecně zaměřuje na možnosti inkorporování práv a povinností v akciích. Druhá kapitola představuje stěžejní část této diplomové práce a věnuje se samotným druhům akcií. Předně je tato kapitola zaměřena na výklad termínu druh akcie a jeho definiční znaky. Následně je věnována část základním institutům kmenových a prioritních akcií. Třetí kapitola se věnuje akciím se zvláštními právy, konkrétně zákonně zakotvenému zvláštnímu právu na rozdílný, pevný nebo podřízený podíl na zisku a likvidačním zůstatku společnosti. Types of shares in the regulation of the Business Corporations Act The purpose of this diploma thesis is to analyze, describe and elaborate changes that into the Czech legal order brought the Act No. 89/2012 Coll., the Civil Code and the Act No. 90/2012 Coll., on Companies and Cooperative association. The diploma thesis is divided into five chapters that process from the general to the specific issues and focus on foreign legal orders which deal with particular aspects of shares and types of shares. The first chapter of this thesis is focused on the general concept of security, its definitional delimitation and historical development of security as other property value and thing. Furthermore, this chapter deals with the concept of participating security and its importance in the new legislation. Finally, this thesis generally focuses on the possibilities of incorporation of rights and obligations into shares. The second chapter is a crucial part of this diploma thesis and deals with types of shares as such. Firstly, this chapter focuses on the interpretation of the term type of share and its definitional features.
