Tato práce se věnuje problematice přechodu práv a povinností v pracovněprávních vztazích. Hlavním cílem práce je zmapovat dosavadní judikaturu SD EU a shrnout závěry z ní vyplývající. Práce je rozdělena do několika kapitol, kdy po krátkém popisu části historického vývoje právní úpravy této problematiky v České republice a také v Evropské unii, je stručně řešena otázka, zda je judikatura SD EU závazná pro soudy členských států. Dle mých zjištění tomu tak je. Podstatná část této práce se proto věnuje právě závěrům judikatury SD EU vztahujícím se k výkladu směrnice Rady 2001/23/ES. Tato judikatura je tak stěžejním zdrojem informací pro vypracování této práce. Z dotčené judikatury zjistíme, že dle výše uvedené směrnice je přechod práv a povinností vázán na hospodářskou jednotku, která si zachovává svou identitu. Taková hospodářská jednotka může mít dvě základní podoby v závislosti na vykonávané činnosti, tj. může být tvořena skupinou zaměstnanců, nebo ji vytváří hmotný či nehmotný majetek. Podle toho, o jaký typ hospodářské jednotky se jedná, je třeba posuzovat jednotlivá kritéria k tomu, aby mohlo být rozhodnuto, zda taková jednotka byla převedena či nikoli. Přechod práv a povinností může nastat pouze v důsledku smluvního převodu nebo sloučení závodu nebo jeho části. Pojem smluvní převod je ovšem dle... This thesis deals with the issues of transfer of rights and obligations arising from employment relations. The main objective of the thesis is to map the CJEU existing judicature and summarize the conclusions arising therefrom. The thesis is divided into several chapters. After a brief description of some historical development of legal regulations of this issue in the Czech Republic as well as the European Union, the question whether CJEU judicature is binding for courts of EU Member States is dealt with in brief. According to my finding, it is. The substantial part of the thesis is, therefore, focused on conclusions of CJEU judicature related to the interpretation of Council Directive 2001/23/EC. This judicature thus forms a crucial information source for my thesis. The judicature in question tells us that according to the above directive transfer of rights and obligations is linked to an economic entity which retains its identity. Such an economic entity can have two basic forms depending on the activity carried out, i.e. it can be formed by a group of employees or by tangible and intangible property.
