Smluvní autonomie při konstrukci druhů akcií a její limity Abstrakt Tato diplomová práce se zaobírá tématem Smluvní autonomie při konstrukci druhů akcií a jejími limity. Vzhledem současnému trendu, kdy dochází k poskytování stále širší svobodě soukromoprávním osobám ujednat si svá práva a povinnosti odlišně od zákona, je toto téma stále aktuální, přičemž i názory na jednotlivé dílčí otázky se vyvíjejí. Téma je navíc aktuální i s ohledem na již platnou, ačkoliv zatím neúčinnou novelu zákona o obchodních korporacích, která má dopady i na akcie a jejich druhy. Cílem této práce je vysvětlit problematiku druhů akcií a limitaci smluvní autonomie zakladatelů, resp. akcionářů při jejich vytváření. Byť na většinu dílčích otázek bylo napsáno vícero právních publikací, je mnoho otázek zodpovídáno nejednotně, a proto panuje pro adresáty právních norem nejistota ohledně toho, co si mohou a nemohou ujednat. Práce je rozdělena do tří hlavních částí (kapitol) a několika podkapitol. Jejich systematika je zvolena takovým způsobem, který autor této práce považuje za vhodný, aby popisovaná problematika byla vyložena plynule. První část této práce se věnuje pojmu akcie. Jeho vymezení je nepochybně základem pro pochopení problematiky druhů akcií a limitů jejich konstrukce. Jedná se tak o základ pro navazující kapitoly. Druhá... Contracting autonomy in construction of classes of shares and its limits Abstract This diploma thesis focuses on the topic Contracting autonomy in construction of classes of shares and its limits. Giving today's trend of providing increasingly wider freedom to private persons to negotiate their rights and obligations differently from the law, this topic is still actual, whereas even opinions concerning individual partial issues are evolving. In addition, the topic is also actual with respect to already valid, yet ineffective, amendment to the Business Corporation act, which concerns shares and classes of shares as well. The goal of this diploma thesis is to explain the issue of classes of shares and the limits to contracting autonomy of founders, respectively shareholders in their construction. Although several legal publications about the most of partial issues have been written, many issues are answered inconsistently, therefore there is uncertainty among recipients of legal norms concerning what they can, and they cannot negotiate. Thesis is divided into three main parts (chapters) and several subchapters.
