01 Shrnutí: Souběh funkce statutárního orgánu a pracovněprávního vztahu Tato diplomová práce si klade za cíl analyzovat a souhrnně zpracovat problematiku souběhu funkce člena statutárního orgánu a pracovněprávního vztahu. Účelem této práce je zmapovat tuto problematiku z hlediska aktuální právní úpravy, judikatury i odborné diskuze. Zároveň se práce snaží vypořádat s různorodostí pohledů a přístupů k této otázce. Diplomová práce je rozdělena do čtyř kapitol, odpovídajících rozdělení cílů práce dle úvodu práce. První kapitola obecně pojednává o teoretických východiscích. Jsou zde vymezeny základní pojmy jako smlouva o výkonu funkce nebo závislá práce, bez jejichž definice by se práce neobešla. Druhá kapitola analyzuje historický vývoj této problematiky se zaměřením nejen na právní úpravu, ale i na judikaturu. První podkapitola se zabývá obdobím od 1. ledna 1993 do 31. prosince 2011, jako prvním zkoumaným historickým obdobím. Druhá podkapitola zkoumá krátké období od 1. ledna 2012 do 31. prosince 2013, které je považováno za jedině období, kdy byl souběh výslovně dovolený. Třetí kapitola nabízí exkurz do úpravy souběžného výkonu funkce a pracovněprávního poměru v zahraničí. Je zde stručně představena právní úprava ve Spolkové republice Německo a úprava dle práva Anglie a Walesu. Ve třetí podkapitole se... 01 Abstract: Concurrence of the office of governing body and employment relationship The principal objective of this thesis is to analyse and collectively process issue of concurrence of the office of governing body and employment relationship. The aim of this thesis is to analyse this issue from the current legislation, jurisprudence and also from expert discussion point of view. At the same time, the thesis seeks to deal with the diversity of views and approaches to the issue. The thesis consist of four chapters, which do correspond to the main goals of the thesis, as stipulated in the Introduction. Chapter one deals with the theoretical background. There are defined basic terms such as agreement on the performance of a position or employment relationship, necessary for this thesis. Chapter two analyses the historical development of this issue, focusing not only on legislation, but also on jurisprudence. The first subchapter covers the period from 1 January 1993 to 31 December 2011, as the first examined historical period. The second subchapter examines the brief period from 1 January 2012 to 31 December 2013, which is considered the only period when the concurrence of the office were explicitly allowed.
