Resumé Právní režim koncernu po rekodifikaci soukromého práva v ČR Tato diplomová práce se věnuje problematice koncernového práva v širším slova smyslu jako právu podnikatelských seskupení, zahrnujíc instituty vlivné osoby a ovlivnění, a to po rekodifikaci soukromého práva v České republice. Práce se člení celkem do sedmi kapitol. V první kapitole je charakterizován pojem koncernového práva, jeho dva hlavní modely regulace - německé pojetí a francouzský koncept Rozenblum - ve vzájemném srovnání. Následuje výklad o evropském koncernovém právu v jeho vývoji a s dopady na právní řády členských států Evropské unie. Kapitolu uzavírají východiska nové právní úpravy v zákonu o obchodních korporacích. V druhé kapitole je pojednáno o vybraných pojmech, užívaných zákonem o obchodních korporacích, s vymezením pojmů jednání ve shodě a většinový společník. Kapitola třetí definuje pojem a znaky podnikatelského seskupení, přičemž je poukázáno rovněž na důvody seskupování. Kapitola čtvrtá uvádí podstatné znaky vlivné osoby a ovlivnění jako institutu, který se uplatňuje v rámci jednotlivých typů podnikatelských seskupení. V souvislosti s ovlivněním je předložen výklad pojmu rozhodující a významný vliv, ve vztahu k vlivné osobě pak rozbor vynětí osob z aplikace ustanovení o ovlivnění. Legal regime of a group company after recodification of private law in the CR This master thesis is devoted to the group of companies law in a broader sense of the business groups, including the terms influential entity and influence, after the recodification of private law in the Czech Republic. The thesis is composed of seven chapters. Chapter one briefly characterizes the term group of companies law, its two main models of regulation - the German and French approach, including the Rozenblum concept and a comparison of these two models. Subsequently, it presents the European regulation of the group of companies, along with its development and impact on the legal systems of the member states of the European Union. Lastly, a legal basis of the new legislation in the Business Corporations Act is considered. Chapter two describes certain legal terms of the Business Corporations Act, in terms of acting in concert and majority member. Chapter three defines the term and the characters of the group of companies in the sense of the business groups, and it also points to the reasons why the grouping occurs.
