Srovnání ručení člena statutárního orgánů za dluhy obchodní korporace pro porušení povinnosti odvracet úpadek obchodní korporace a wrongful trading Cílem práce je srovnat ručení členů statutárních orgánů za dluhy obchodní korporace pro porušení povinnosti usilovat o odvrácení úpadku a wrongful trading. Důvodem volby tématu byla diskuze vedená v posledních dvou letech o rozsahu ručení členů statutárních orgánů za dluhy obchodní korporace pro porušení povinnosti usilovat o odvrácení úpadku. Práce je rozdělena do tří kapitol. První kapitola poskytuje obecný pohled na ručení za dluhy obchodní korporace pro porušení povinnosti usilovat o odvrácení úpadku. Zabývá se velmi širokým osobním rozsahem ručení, který zákonodárce stanovil nejenom na členy statutárního orgánu, ale také na vlivné a ovládající osoby obchodní korporace. Dále rozebírám nově uzákoněnou povinnost usilovat o odvrácení úpadku a její dopad na členy statutárního orgánu, stejně tak jako nově uzákoněný typ ručení, založený na základě soudního rozhodnutí. V této části práce se zabývám otázkami typu, jaký rozsah lze předpokládat u tohoto typu ručení, jak se projeví akcesorita ručitelského vztahu či jaké právní následky z rozhodnutí soudu o založení ručení statutárního orgánů lze předpokládat. Comparison liability of statutory representatives for company's debts in case of breach of the duty to strive to avoid insolvency and wrongful trading The aim of thesis is to compare liability of statutory representatives for company's debts in case of breach of the duty to strive to avoid insolvency and wrongful trading. The reason for choosing this topic was discussion which was last two years about extent of liability of statutory representatives for company's debts in case of breach of the duty to strive to avoid insolvency in Czech Republic. The work is divided into three chapters. Chapter one provides a general overview of the liability of statutory representatives for company's debts in case of breach of the duty to strive to avoid insolvency. It explains very wide extent of personal liability which the legislature provided not only to members of the boards of directions, but also the influential and controlling person Business Corporation. Furthermore, I analyze the enactment of the new duty to strive to avert bankruptcy and its impact on the members of the board of directors, as well as the newly enacted type of liability, based on a judicial decision.
