1 Abstrakt Mezinárodní právo soukromé a otázky práva cenných papírů Tomáš Borčin Zákony č. 139/2011 Sb. a č. 172/2012 Sb., novelizujícími zákon o mezinárodním právu soukromém a procesním, byly do českého právního řádu zavedeny nové kolizní normy pro cenné papíry. Obsahově totožnou úpravu obsahuje do budoucna i zákon č. 91/2012 Sb., o mezinárodním právu soukromém, jež nabyde účinnosti 1. ledna 2014. I přesto, že tato recentní kolizní právní úprava řeší některé zcela zásadní otázky přeshraničních transakcí s cennými papíry, zůstává problematika cenných papírů v mezinárodním právu soukromém nadále na okraji pozornosti české právní teorie. I proto je hlavní ambicí této práce podat komplexní analýzu těchto kolizních pravidel, a to prostřednictvím zkoumání jak jejich teoretických východisek, tak praktických důsledků jejich aplikace. Práce je členěna do sedmi kapitol s různým rozsahem a zaměřením. Podstatou první kapitoly je zodpovědět otázku, co jsou to cenné papíry a jakým způsobem jsou upraveny v českém právu. Především se zaměřuje na definici cenných papírů a jejich členění, nicméně nejsou zde pomíjeny ani změny, které v této souvislosti přináší rekodifikace soukromého práva v České republice, zejména pak nový občanský zákoník. Druhá kapitola podává výklad vybraných aspektů nepřímé držby cenných papírů, která... Private International Law and the Issues of Securities Law Tomáš Borčin Acts No. 139/2011 Coll. and No. 172/2012 Coll. have introduced a set of brand new choice-of-law rules in respect to securities into the Czech legal system. The same set of rules has rather simultaneously been adopted by the new Act No. 91/2012 Coll., on Private International Law, coming into force on 1st of January 2014. However, despite the fact that these amendments had brought the much needed conflict of laws rules for cross border transactions involving securities, the actual subject of how the securities are treated in private international law remains mostly unexplored by Czech jurisprudence as of this date. Therefore, the core ambition of this thesis is to provide a complex legal analysis of the aforementioned rules by the means of examination of their theoretical basis as well as of practical implications of their application. The thesis consists of seven chapters of various extent and scope. The ratio behind the first chapter is to address the question of what securities are, and how are they treated pursuant to Czech legislation.
