Článek pojednává o možnosti statutárního orgánu či jeho člena vykonávat obchodní vedení společnosti v pracovněprávním vztahu jako zaměstnanec. Vedle analýzy právní úpravy dochází autor též k četným návrhům de lege ferenda. Being a chief executive officer does not, of inself, make that person an employee of the company. On the contrary, general powers of management are, in accordance with stabile Czech Supreme court' case law, the main reason why a chief executive officer is not an employee. But the legislature has changed the Commercial Code.
